HSS工程获510万合约

（吉隆坡11日讯）甫转至主板交易的HSS工程（HSSEB，0185，主板贸服股），获水务资产管理公司（PAAB）委任为依斯干达区的工程顾问，负责升级优先配水系统，合约总值510万令吉。

HSS工程通过文告表示，联号公司HSS综合私人有限公司，被委任为工程顾问。

项目将在9月19日动工，预计2022年次季竣工，相信可贡献2017至2022年财年的财务表现。

HSS工程执行董事丹斯里库纳西丹帕兰表示，水务是公司下一个增长领域。

他说，人口不断增长，需求也不断增加，如今进军水务领域适时。

“这是我们获得的第二个水务合约，并预见会有更多参与的机会，涵盖区域包括水务分配系统、污水处理厂等。”

该公司3月宣布获得达鲁阿曼水务公司（Syarikat Air Darul Aman）颁发总值540万令吉的合约，以提升吉打的水处理厂，放眼在2021年3月竣工。

库纳西丹帕兰续称，水务领域的前景明朗，因为升级是必须的，这样才能支撑不断增长的人口和城市化的速度。

HSS工程今天向交易所报备，该联号公司从PNB Commercial私人有限公司（简称PNBC）获得上述合约，提供项目管理顾问服务。

这些服务把包括为位于柔佛新山柏林花园（Taman Perling），总面积达7.5亩的混合发展项目，提供建筑信息建模服务（Building Information Modeling，简称BIM）。

该项目预料在2022年末季内完成，当中包括24个月的缺陷责任期，期间会为公司带来收益。

HSS工程2.7亿购SMHB
合并后竞标合约4.65亿

（吉隆坡29日讯）HSS工程（HSSEB，0185，主板贸服股）与水务基建咨询公司SMHB工程签署暂定协议（HOA），以2亿7000万令吉建议收购后者全数股权，两者合并后的竞标合约价值高达4亿6500万令吉。

HSS工程执行董事丹斯里库纳西丹帕兰，今天出席签约仪式后向媒体表示，该公司正竞标价值2亿5000万令吉的项目，而SMHB工程竞标中的项目价值高达2亿1500万令吉。

一同出席签约仪式者，包括HSS工程执行董事拿督凯鲁丁、主席拿督莫哈末萨凯尔斯迪、总执行长兼执行董事拿督聂奇纳丹、SMHB私人有限公司主席丹斯里沙尔莫哈末沙哈布汀、董事经理拿督张佐武、执行董事沙尔莫哈末阿南，及执行董事普瑞古玛尔。

SMHB主席沙尔莫哈末沙哈布汀，同时也是国家水务委员会（SPAN）委员之一。

冀推高净利至3900万

库纳西丹帕兰补充，公司现有订单约4亿令吉，对方未入账订单有3亿3800万令吉，两者合并后可推高至约7亿4000万令吉，可让公司忙碌3至5年，视项目的复杂程度和期限而定。

同时，HSS工程放眼该收购计划可推动净利，从1400万令吉走高至3900万令吉，员工人数也会从现有的600人，增加至超过1000人。

他点出，HSS工程是以7.7倍的企业价值比（EV/EBITDA），提出2亿7000万令吉的收购价，其中60%将以现金支付，剩余将通过发售新股予对方，并放眼明年首季可完成。

其中60%的现金来源，一半是银行贷款，另一半则从私下配售和发行附加股进行筹资。

SMHB工程私人有限公司主要提供水务工程咨询服务，在滤水、水坝、减洪、灌溉和环境服务等工程，拥有丰富的咨询经验。

HSS工程的专长为建筑和基建项目管理、工程设计和建筑信息建模服务（Building Information Modeling）。

逐渐争取海外项目

库纳西丹帕兰表示，看好SMHB工程的发展潜能，希望可借助对方在水务工程咨询服务多年的经验，扩大HSS工程的业务。

他解释，业内许多国际大公司都如火如荼地展开并购活动，因现在的项目规模比以往更大，复杂程度高，所以需要更大的团队规模去支撑。

询及合并后是否放眼竞标国际项目？他说，公司会逐步建立业务规模，目前视东盟国家市场作为起步目标，逐渐扩展至中东及印度市场。

考虑到汇率因素和相关风险，HSS工程将以谨慎和保守的态度去争取国际项目。【e南洋】

融资收购SMHB工程
HSS拟私配发附加股

（吉隆坡27日讯）HSS工程（HSSEB，0185，主板贸服股）建议私下配售与发行附加股，融资收购SMHB工程私人有限公司，借此提高技术与竞争力。

该公司今日向交易所报备，与SMHB工程股东签署股权买卖协议，并会发行每股1.14令吉的9473万6842股新股，再加上1亿6200万令吉现金，收购SMHB。

买附加股送红股凭单

为了筹资，HSS工程提议私下配售最多5230万股，和发行最多3190万8101股附加股。

每持有10股可认购1股附加股，而每认购2股附加股，就会获赠1股红股和3张凭单。

该公司将发行最多1595万4050股红股，以及4786万2151张凭单。

假设每股1令吉，HSS工程将通过私配与附加股筹得8420万8000令吉，加上8500万令吉银行贷款，共1亿6920万8000令吉。

执行董事丹斯里库纳西丹帕兰说，合并后的公司将拥有广泛的技术，为交通、水务、基础建设和环境领域提供工程咨询服务。

为什么HSS工程（HSSEB，0185，主板贸服组）自从宣布收购SMHB工程后，股价却一直下滑（从RM1.14跌至大概RM1.00）。此股可以投资吗？估值应该多少？

答：根据公司股价走势显示，自9月29日宣布上述收购计划之前，股价已从约90仙扬升至约1令吉14仙价位，接着在宣布后的20天内下跌至约1令吉。截至11月1日，股价又再回升至约1令吉14仙水平。

当时，该公司的宣布也包括将会进行私下配售新股及发售附加股筹资，以及银行借贷等融资收购。

一般而言，投资者都不太欢迎公司发售附加股，特别是股东需要掏腰包，付出更多资金给公司作企业活动或营运，从而脱售股票，这也可能是当时造成股价一直下滑的原因。

该公司是以2亿7000万令吉收购SMHB工程股权，相信也有可能是一些股东或投资者，不太看好这项收购，特别是涉及庞大的资金或融资，选择脱售股票退场。

接着，该公司甫于10月27日正式宣布建议推行附加股和私下配股新股活动，即分别计划筹措最多3191万令吉及5230万令吉，以融资部份收购资金。同时，也宣布打算向银行贷款8500万令吉。

至于此股可否投资，最重要是收购SMHB工程后的未来业务发展与潜能。

SMHB工程为一家环境工程谘询服务公司，主要涉足水务领域已有50年光景，可说是本地老牌公司。该公司以2亿7000万令吉收购，所给予的企业价值/营运盈利比例为7.7倍、本益比为10.8倍，与类似上市公司的估值相当一致，所以，公司认为收购价格合理。

这家新购公司工程谘询业务，与公司现有工程业务能够相辅相成，提升公司能力和竞争力，以便在国内外市场竞争投标。公司预期收购计划在2018年首季完成后，公司的工程合约订单，即从现有约4亿令吉增加至7亿3800万令吉。

再看估值，艾芬黄氏资本在10月30日的报告中指出，给予的目标价为1令吉34仙（当时市价为1令吉15仙）。

该行认为，一旦完成上述收购及集资活动后，该公司扩大股本将最高达5亿1400万股（增加61%），包括新股予卖主（9500万股）、私下配售（5200万股）、附加股（3200万股）、红股（1600万股）。

现有股本为3亿1900万股，一旦凭单全面执行转换母股，则进一步增加至5亿6200万令吉。

该行认为，上述收购有助提升HSS工程的盈利表现。若假设发行最高股额、附加股发行参考价及私下配售新股价格为1令吉、凭单的执行转换价为1令吉63仙计，在完成收购计划后，该公司的每股盈利将增加53%，惟目前的净现金将转为净负债0.16倍。该行给予“买进”评级。

HSS工程第三季净利飙88%

（吉隆坡16日讯）营运费用减少，HSS工程（HSSEB，0185，主板贸服股）截至9月杪第三季，净利年涨88.04%，报284万7000令吉或每股0.89仙。

HSS工程今日向交易所报备，营业额从3647万1000令吉，年增2.48%至3737万4000令吉。

累计九个月净利年涨33.25%，达897万6000令吉；营业额报1亿450万5000令吉，年升2.16%。

营业额增长，主要归功于项目管理业务，在第三季和首九个月，分别增长约33%和47%，为1320万令吉和4110万令吉。

工程营收跌

反观工程服务，因项目完成拖累营业额减少，在第三季和首九个月，分别走低10.88%和21.8%。

执行董事丹斯里库纳西丹帕兰说，截至9月杪，未入账订单企于约4亿令吉，包括目前的项目管理服务，如巴生谷捷运（MRT）路线2的独立咨询工程、东海岸铁路（ECRL）各阶段的工程设计，以及隆新高铁的参考设计。

“这可支撑未来5年净利。值得注意的是，我们的订单主要来自交通领域。”

另外，HSS工程建议私下配售和发行附加股，融资收购SMHB工程私人有限公司，料能增加水务基础设施项目的订单，预计明年首季完成收购。

（吉隆坡28日讯）已是东海岸铁路（ECRL）赢家的HSS工程（HSSEB，0185，主板贸服股），再获该大型基建项目的合约，为东铁提供监督顾问服务，总值约8250万令吉。HSS工程今日通过文告宣布，获得东铁配套1的监督顾问服务合约，将负责为该铁路零公里至231.5公里的基建工程，提供监督顾问服务。

这并非HSS工程首次获得的东铁合约，在今年已获委任为东铁第一期和第二期工程的设计顾问，以及为零公里至220公里的基建工程，提供初期设计顾问服务。

HSS工程执行董事丹斯里库纳西丹帕兰指出，这项新监督顾问合约，代表着HSS工程进一步参与东铁项目，协同该工程从初期的设计阶段，迈入更关键的兴建阶段。

今年获1.76亿订单

“我们在东铁的角色，将一同协助实现国家在各区域创造经济发展的宏源。我们将会如同在设计阶段般，同样为处于兴建阶段的东铁工程提供最佳和适时的服务。”

今年，HSS工程共获得近1亿7600万令吉的合约，超越市场预期的1亿5000万令吉，冀将此动力延续至明年。

刚在今年8月底获转板到主板上市的HSS工程，是国内顾问与工程服务业者的佼佼者，在大型的基建项目有强稳的记录。除了东铁，HSS工程也是隆新高铁主要顾问之一。

根据联昌国际投行研究早前的报告，在其4亿令吉的未完成订单中，有40%是与铁路相关。 【e南洋】

HSS工程向马交所报备，联号公司HSS Integrated私人有限公司今日收到来自ECRL公司的委任信，将负责为该铁路零公里至213.5公里的基建工程，提供施工设计的顾问服务。

根据文告，该合约将从今日起正式生效，预计直至2026年次季完工为止。

HSS工程指出，上述合约预计会在2018至2026财年间，积极贡献净利和净资产值。

受邀参与纳闽-梅浓布大桥
HSS工程料获1431万咨询合约

（吉隆坡18日讯）HSS工程（HSSEB，0185，主板工业产品股）宣布，受邀参与连接纳闽-梅浓布（Menumbok）大桥兴建工程，或有机会拿下潜在价值高达1431万令吉的咨询服务合约。

HSS工程今日向交易所报备，联号公司HSS Integrated私人有限公司，接获联邦直辖区部的邀请函，为上述项目提交建议书，为项目可行性提供咨询服务。

该建议书须在下周二（23日）中午12点前呈交。

一旦建议书被接纳，HSS Integrated的预期工程范围，包括初步工程设计、经济和财务分析、道路安全审计和第三方实地工作，例如勘测、土壤监测、沿海研究、交通研究和环境研究。

工程预计次季开始，并料2019年首季完成。这项合约预计能贡献HSS集团2018和2019财年的表现。

同时，HSS Integrated还会与另一子公司HSS工程私人有限公司，有专营合作安排，合力完成上述工程。

HSS工程放眼市值增30%

（吉隆坡30日讯）HSS工程（HSSEB，0185，主板贸服股）收购水务基建咨询公司SMHB工程建议，获得股东批准，并放眼事成后市值可增约三成！

HSS工程财务总监吴坤仪，今日在股东特别大会后的记者会上说，为收购SMHB工程，公司将展开一系列的企业活动，包括私下配售、发行附加股和送红股及凭单。

上述议案，包括收购SMHB工程，均在今天的特大上获得股东批准。

吴坤仪称，目前公司的已发行股量约有3.19亿股，完成以上的企业活动后，股本料会扩大至5.05亿股。

“我们不能给予目标价，但之后公司市值预计会去到6亿至7亿令吉。”

据彭博资料，截至今日闭市时数据，HSS工程的市值企于约5.2亿令吉。

今日其他出席者，包括营运总监莎丽花阿兹丽娜、总执行长拿督聂奇纳丹、执行董事丹斯里库纳西丹帕兰、SMHB私人有限公司主席丹斯里沙尔莫哈末沙哈布汀、董事经理拿督张佐武和执行董事普瑞古玛尔。

HSS工程是在去年9月29日，与SMHB工程签署暂定协议（HOA），建议以2亿7000万令吉收购后者全数股权，两方合并后的未入账订单值将高达7亿4200万令吉，可贡献未来三至五年营收。

今年或再收购

库纳西丹帕兰指出，将SMHB工程收纳后，公司今年或还会再有收购行动。

“公司正在探索更多并购机会。最近，我们拒绝了来自印度50多个企业献议，因为该些公司的条件并不符合。”

他称，之前首次公开募股（IPO）筹得的资金，目前尚余2400万令吉，而市面上仍有很多“珍宝”，公司正积极探寻机会。【e南洋】

重新分配上市余款
HSS工程扩展BIM业务

2018年2月7日
（吉隆坡6日讯）在完成收购水务基建咨询公司SMHB工程后，HSS工程（HSSEB，0185，主板贸服股）将重新分配在2016年8月上市筹得的剩余资金，重点发展旗下的建筑信息建模服务（BIM）业务等。

HSS工程今天发出文告，该公司将重新分配上市筹得余款2400万令吉，于4个发展活动。

当中，800万令吉将用作于BIM业务上，包括策略合作、并购活动以及人力资源发展方面上；另800万令吉为来发展高端设备管理服务相关活动。

削减拓展印度资金

原本用于扩展至印度市场的资金1500万令吉，在这调整活动中则被削减至500万令吉；而剩余的300万令吉则保留在发展发电业务。

除了资金用途变动，该公司也将原有的资金使用期18个月，延长至36个月，从上市当天（2016年8月10日）计起。

HSS工程指出，政府放眼在2019年，总值超过1亿令吉的公共建设项目绘图，必须以BIM的数字格式完成。因此促使该公司决定扩大业务。

“相比其他国家如美国和英国的BIM使用率，分别高达71%和54%，我国的相关使用率目前只有17%。显示仍有巨大的上涨潜在空间。”

执行董事丹斯里库纳西丹帕兰在文告中提到，HSS工程通过上述变动来应对市场形式的变化，以巩固市场地位。

他指出，该公司自2012年来开始提供BIM服务。如今政府的强制要求，有望提高该业务的表现。

另外，HSS工程也计划，通过为医疗和铁路等领域提供的高端设备管理服务，能够带来长期固定收入。【e南洋】
