冀多元化摆脱颓势 米乐斯洽商进军房地产

(吉隆坡23日讯)近几年表现不济的米乐斯(MILUX,7935,主板消费产品股),希望借多元化业务摆脱颓势,目前正与多方洽谈进军新业务,包括产业领域。

5月12日,米乐斯迎来一名新大股东RGF置地(RGF Land),以720万令吉购入600万股,相等于11.03%股权,晋升为大股东。

随后,RGF置地再度于6月2日增持150万股,将持股率推高至13.78%。

米乐斯董事经理许必成接受《南洋商报》电访时表示,RGF置地是一家产业投资公司,对米乐斯而言,是个新的策略投资者。

“我希望新股东入股,可为米乐斯捎来贡献。”

与多方洽谈寻商机许必成说,公司正与多方展开洽谈,包括RGF置地,旨在寻求新商机,以多元化米乐斯的投资组合。

“与RGF置地之间的洽谈,还不清楚会否有定案,目前还不是透露详情的时机,预计还需要1至2个月,才会公布新进展。”

没有负债

他称,公司一直都放眼新项目,只要是优秀的项目都会考虑。

“RGF置地旗下有许多项目,同时也涉足个别不同的领域。我们实在不知道最后结果会如何,不过会致力取得双赢局面。”

除了产业领域,米乐斯也放眼从各方面,探讨制造业的新商机。

针对RGF置地的入股,许必成认为,米乐斯“干净”的财务状况,料是吸引前者的主因。

“我们几乎是零负债,使我们随时展开多元化活动。”

首季净亏收窄至33万

截至3月31日首季,米乐斯将净亏收窄至33万9000令吉;去年同期,该公司共蒙亏75万3000令吉。

营业额方面,则报1804万1000令吉,按年增长40%。

虽然公司首季蒙亏,但却录得税前盈利9万令吉。

展望未来,许必成相信公司很快就能转亏为盈,因录得盈利是前景转佳的起点,并相信本财年表现将更优秀。

转盈荆棘满布 放弃铁矿计划

自2009财年以来,米乐斯的财务表现就一蹶不振,而4年前接下棒子的许必成,亦极力探索不同的方法,希望把公司从泥沼中救出。

米乐斯原本是一家售卖煤气炉、厨房及电器用品的公司,但市场竞争激烈,导致赚幅受压,公司已连续蒙亏好几年。

这也是为什么许必成认为公司必须多元化业务的主因。

虽然许必成踌躇满志,但转盈之路却是充满荆棘。

去年,米乐斯宣布通过子公司PansprintConsolidated私人有限公司(简称Pansprint),涉足铁矿业务,在彭亨而连突营运铁矿和采矿活动。

取消附加股筹资

当时,该公司还决定通过发售附加股筹资,拓展这项新业务。

以每股50仙的参阅价估算,发售附加股送凭单活动,最多可为该公司筹集4353万令吉,最少亦有1500万令吉。

惟人算不如天算,去年杪国际油价暴跌,行情惨烈,商品价格也低迷,米乐斯决定放弃进军铁矿石业务,也一并取消附加股计划。

对此,许必成指出:“放弃进军铁矿业,并没有造成亏损,因投资额不大,而且,当时我们仍未得到股东的批准。”

实际上,他仍看好铁矿价格的走势,不过基于市况欠佳,在没有选择之际,只好抱憾退出。

余仁松不再是Milux大股东

(吉隆坡27日讯)商人余仁松脱售 Milux Corp Bhd ( Financial Dashboard)的2.76%股权后,目前持股2.75%,不再是该公司的大股东。

余仁松是在去年12月,持有300万股或5.51%股权,成为Milux大股东。

他是马六甲产业和建筑公司泽升集团(JS Group)董事经理。

Milux(基本面:1.2;估值:0.3)今日向大马交易所报备,余仁松在6月2日,通过场外交易,脱售150万股。

截至3月底首季,Milux净亏收窄至33万9000令吉,相比上财年同期的75万3000令吉。营业额则增40%至1804万令吉,前期为1288万令吉。

今年迄今,该股跌了9.73%,相比跌了2.92%的富时隆综指。

该股今日起2仙,或2%,收于1.02令吉,市值为5441万令吉。

1.   INTRODUCTION
Pursuant to Paragraph 9.19(23) of Bursa Malaysia Securities Berhad Main Market Listing Requirements, the Board of Directors of the Company wishes to announce that Milux Properties Sdn. Bhd. (“MPSB”), a wholly-owned subsidiary of the Company, had on 23 September 2015, acquired two (2) ordinary shares of RM1.00 each fully paid-up in the capital of Phoenix Pentagon Sdn. Bhd. (“PPSB”) (Company No. 1155187-M), representing 100% equity in PPSB for a total cash consideration of RM2.00. (hereinafter referred to as “the Acquisition”).

Consequent thereto, PPSB became a wholly-owned subsidiary of MPSB, and a wholly-owned sub-subsidiary of MILUX.

2.   INFORMATION ON PPSB
PPSB was incorporated in Malaysia under the Companies Act, 1965 on 12 August 2015. The present authorised share capital of PPSB is RM1,000,000.00 divided into 1,000,000 ordinary shares of RM1.00 each and the paid-up share capital is RM2.00 divided into two (2) ordinary shares of RM1.00 each. The principal activity of PPSB is property management.

3.   FINANCIAL EFFECTS
The Acquisition is not expected to have any material effect on the earnings or net assets of the Company.

(吉隆坡16日讯)米乐斯(MILUX,7935,主板消费产品股)子公司Milux产业(简称MPSB),今天与RGF Cabaran(简称RCSB,前称CG Global Venture)签署联营协议,携手在彭亨文冬发展产业项目。

根据文告,双方将一起成立名为“Phoenix Pentagon”的联营公司,在文冬12个总面积达2万5832.31平方米的地皮,发展住宅项目,取名“Pentagon Genting Highlands”。

米乐斯表示,由于家用电器市场竞争加剧,因此公司才会决定成立联营公司进军新业务,预计可提供额外的收入。

另外,双方将联合资源,一同管理项目,确保商业可行性和成功。

虽然该公司相信本身有能力可以独自展开项目,惟随着签署联营协议,米乐斯可借助于联营伙伴的经验。

米乐斯表示,所有资金将由内部融资,投资额预计为31万1998令吉。

发展总值21.3亿 Milux着手彭产业项目

(吉隆坡23日讯)Milux机构有限公司(MILUX,7935,消费产品组)甫于上周宣布进军产业发展领域,今日表示其位于彭亨州的首项产业发展计划,将由原先计划的汇集零售与俱乐部设施的6栋公寓,改为5栋公寓。

该名家电制造商向大马交易所报备,上述发展计划的发展总值预计为21亿3000万令吉,而发展总成本则达10亿5000万令吉。

Milux机构上周宣布,将与RGF Cabaran私人有限公司(RCSB)在彭亨州文冬面积2万5832.31平方米的12块地皮,打造成一个住宅产业项目(包含公寓)。

该公司早前披露,指上述发展项目包括6栋公寓,预计在2017年6月动工,料将在2020年完工。

Milux机构也表示,其独资子公司Milux产业私人有限公司(MPSB)已和RGF Cabaran签署一项联营和股东协议,双方将合组一家名为Phoenix Pentagon私人有限公司的联营公司,联手打造这项名为“Pentagon云顶高原”(Pentagon Genting Highlands)的发展项目。

根据文告,Milux产业将持有这家联营公司的60%股权,而RGF Cabaran则持股40%。RGF置地私人有限公司是RGF Cabaran的控股公司,也是这些地皮的实益与注册地主。此外,RGF置地也是Milux机构的大股东之一,持股13.78%。

We refer to your Company’s announcement dated 16 October 2015, in respect of the aforesaid matter.

  • Clarification as to how the JVCO to generate income from the project management service for the Pentagon Genting Highlands project.
  • The specific nature of the project management consultancy and advisory services to be rendered by the JVCO for the Pentagon Genting Highlands project.
  • The identity of the party that will develop the Pentagon Genting Highlands project and the background information of the project including expected commencement and completion date of development, relevant authorities’ approval required etc.
  • The specific roles and responsibility of MPSB/MILUX and RCSB in the JVCO.
  • Further details of Mr Koh Pee Seng’s and Mr Ghee Peng Lam’s expertise and experience in project management for property development projects.
  • The expected timeframe for MILUX to obtain its shareholders approval for the proposed diversification of the existing business of MILUX and its subsidiaries to include development project management consultancy, which is one of the condition precedents of the JVSHA.
  • Whether RGF Land Sdn Bhd (“RLSB”) is a major shareholder of MILUX, together with the quantification of the direct and indirect shareholdings of Mr Chua Seong Seng and RLSB in MILUX.
With reference to the Bursa's Query as aforementioned, please kindly refer to the attached file in respond to the Bursa Securities for the provision of additional information as required by the Bursa Securities in respect to its Query Letter dated 19 October 2015, of which has been received by the Company on 19 October 2015, pertaining to the Joint-Venture Cum Shareholders' Agreement ("JVSHA") between Milux Properties Sdn Bhd., RGF Cabaran Sdn Bhd (formerly known as CG Global Venture Sdn Bhd) and Phoenix Pentagon Sdn Bhd.

米乐斯更改公寓计划 建5零售店会所设施

(吉隆坡26日讯)近期多元化业务至产业发展领域的米乐斯(MILUX,7935,主板消费产品股),将原定计划兴建的6栋公寓,改为5栋附有零售店面和会所设施的公寓。

早前,该公司原定计划建设6栋公寓的项目,并在2017年6月动工,并在2020年12月完工。

不过,该公司随后改变想法,将计划改为兴建5栋有零售店面和俱乐部设施的公寓。

该公司日前指出,该项目的发展总值约21亿2850万令吉,发展总成本则预计10亿4540万令吉。

米乐斯子公司Milux产业(简称MPSB),上周和RGF Cabaran(简称RCSB,前称CG Global Venture)签署联营协议,携手在彭亨文冬发展产业项目。

双方将一起成立名为“Phoenix Pentagon”的联营公司,发展住宅项目,取名“Pentagon Genting Highlands”。【南洋网财经】

米炉士多元化至项目管理

(吉隆坡5日讯)米炉士机构(MILUX,7935,主板消费股)建议,多元化至项目管理业务。

该公司发文告指出,儘管公司提出多元化业务,但会通过潜在重组或扩大业务的方式,继续进行现有的家电业务。

惟,上述多元化业务的建议,需在股东特大寻求批准。一旦通过,公司未来將主要涉及现有业务和项目管理。

文告指出,鉴於家电行业竞爭激烈,公司通过联营企业探寻多元化业务的新商机;而多元化至项目管理,主要是考虑到公司建设和產业发展前景,前者有望提供额外的收入来源,从而减少该公司对现有业务的依赖。

早在10月中旬,该公司独资子公司--米炉士產业私人有限公司(MPSB),与RGFCabaran私人有限公司(RCSB),联手发展位於彭亨文冬,名为「Pentagon云顶」的住宅產业项目。

该项目將通过Phoenix Pentagon私人有限公司执行,而MPSB持有该公司60%股权,剩余则由RCSB所持有。此外,该公司表示,此项联营项目,可让公司多元化业务,增加额外收入。【东方网财经】
