Type | Announcement | Subject | OTHERS | Description | PRIVASIA TECHNOLOGY BERHAD ("PRIVA" or "the Company")- Incorporation of an Indirect Subsidiary | Pursuant to Paragraph 9.19(24) of the Ace Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of PRIVA wishes to announce that Privatel Sdn. Bhd. ["Privatel"], a 75% owned subsidiary of Privanet Sdn. Bhd., which is a wholly-owned subsidiary of the Company, had on 14 March 2018, incorporated a subsidiary known as Privatel (Singapore) Pte Ltd ["PSPL"] in Singapore under the Singapore Companies Act.
The issued share capital of PSPL is SGD1.00 comprising of 1 ordinary share, wholly-owned by Privatel. PSPL is an indirect 75% owned subsidiary of the Company.
The intended principal activity of PSPL is the provision of network engineering services.
The incorporation of PSPL is not expected to have any material effect on the earnings or net assets per share of the PRIVA Group for the financial year ending 31 December 2018.
None of the Directors or major shareholders of the Company or persons connected with them has any interest, direct or indirect, in the incorporation.
For illustration purpose, please refers to the attached diagram of the structure of the Company.

Bhd., comprising 80,000 ordinary shares ["the Acquisition"] from Mettiz Capital Limited for a cash consideration of RM1.00.
Post completion of the Acquisition, Privagen Sdn. Bhd. becomes a wholly-owned subsidiary of PRIVA.
