Query Letter Contents	We refer to your Company’s announcement dated 14 March 2024, in respect of the aforesaid matter. In this connection, kindly furnish Bursa Securities with the following additional information for public release:- 1) The names of the company(ies) against which the Statutory Demand is served. 2) The details of events leading to the serving of the Statutory Demand. 3) The particulars of the claim under the Statutory Demand, including the amount claimed for, interest rate and other relief sought. 4) The estimated potential liability to the Asdion group arising from the Statutory Demand.
Further to the Company’s announcement dated 14 March 2024 respect of the aforesaid matter,  we wish to provide the following information for public release:- 1) The Statutory Demand was served by  PMM Ventures Sdn. Bhd. (“Plaintiff”) against Asdion Berhad and Kingdom Infra Holdings Sdn. Bhd. (“Defendants”). 2) Plaintiff is one of the sub-contractors for Tumpat Project. There is a dispute regarding the performance of the work performed by the Plaintiff.   3) The particulars of the claim under the Statutory Demand, including the amount claimed for, interest rate and other relief sought (“the Debts”) are as follows:- [1] Judgment Sum RM560,833.54 [2] Interest on RM560,833.54 at 10% per annum from 3 May 2023 to 12 December 2023 (224 days) RM34,418.28 LESS:- payment received by Plaintiff on 12 December 2023 (RM100,000.00) RM495,251.82 [3] Interest on balance RM460,833.54 at 10% per annum from 13 December 2023 to 8 March 2024 (87 days) RM10,984.25 [4] Cost RM3,500.00 TOTAL RM509,736.07 4) At this juncture, there were no potential liability on Asdion group arising from the Statutory Demand as the Company is making and negotiating repayment arrangement as well as seeking legal advice for the settlement of the Debts or an amicable solution. The Board of Directors of Asdion (“Board”) wishes to announce that PTTIN (“Purchaser”), a 99% owned sub-subsidiary of Asdion, had on 19 March 2024 entered into a Conditional Share Sale Agreement (“CSSA”) with PTGDS (“Vendor”) to purchase 51% of equity interest comprising of 51,600 ordinary shares (“Sale Shares”) in PT Indoexpress Logistics (“INDOEXPRESS”) to be settled by the Purchaser’s Redeemable Convertible Preference Shares (“RCPS”) of equivalent to Indonesia Rupiah Twenty Billion (Rp20,000,000,000.00) equivalent Ringgit Malaysia approximately of Six Million (RM6,000,000.00) only (“Consideration”) subject to the terms and conditions stated in the CSSA (“the Acquisition”). Upon completion of the Acquisition, INDOEXPRESS shall become a 51% owned sub-subsidiary of Asdion. The details of the announcement is attached herewith. This announcement is dated 19 March 2024.

In this connection, kindly furnish Bursa Securities with the following additional information for public release:- 1.     The net assets and profit after tax of PT Indoexpress Logistics (“INDOEXPRESS”) based on its latest audited financial statements. 2.     With reference to Section 2.2 of the Announcement, to clarify whether the redeemable convertible preference shares (“RCPS”) will be issued not later than 14 days from the date of the CSSA, or 14 days from the completion of the sale and purchase of the sale shares. 3.     To clarify Section 2.4 of the Announcement in view that PTTIN will be issuing RCPS to satisfy the purchase consideration. 4.     The following details in respect of the RCPS to be issued: The total number of RCPS to be issued by PTTIN. The issue price of the RCPS and the basis of determining the issue price. The tenure of the RCPS. The conversion ratio/price and period of conversion. The rate and period of redemption. 5.     To clarify whether PTTIN is a principal subsidiary of Asdion Berhad (“Asdion”) as per the definition in Chapter 1 of the ACE Market Listing Requirements and to state Asdion’s percentage equity interest in PTTIN upon full conversion of the RCPS.   6.     With reference to Section 3 of the Announcement, to quantify the positive net equity and positive shareholder funds of INDOEXPRESS as at the financial year ended 31 December 2023.
