胜高资源拟1拆2送凭单

（吉隆坡17日讯）胜高资源（SERNKOU，7180，主板消费产品股）建议，分拆股票与赠送免费凭单，以提升公司股票在市场上的流通率，并回馈股东。

胜高资源今日向交易所报备，将公司股票1拆为2，以便扩大股票规模，进而提升交易流通量。

完成分拆股票活动后，公司的股票数额，将从截至1月12日的1亿2000万股，扩大至2亿4000万股。

接着，该公司将以1送1的比例，派发1亿2000万张免费凭单来回馈股东，让股东有机会增加持股率。

根据截至本月12日的5天成交量加权平均市价1.445令吉，分拆股票后，每股胜高资源理论除权价为72.27仙。

而每张凭单的行使价定为40仙，这相等于股票分拆后理论除权价的约44.65%或32.27仙折价。

假设股东在未来行使所有凭单，胜高资源最多可筹获4800万令吉，而该款项将用作该公司未来的营运资本。

The Board of Directors of Sern Kou wishes to announce that Sern Kou Furniture Industries Sdn. Bhd., a wholly-owned subsidiary of the Company, had on 4 June 2018 incorporated a 51% owned subsidiary in Malaysia, namely My Smartlife Sdn. Bhd. (Company No. 1282323-V) (“MY Smartlife”), under the Companies Act 2016. The total issued and paid-up capital of MY Smartlife is RM1,000.00 divided into 1,000 shares of RM1.00 each, of which 510 ordinary shares of RM1.00 each will be held by Sern Kou Furniture Industries Sdn. Bhd. and the remaining 490 ordinary shares of RM1.00 each will be held by Bluechart Power Sdn. Bhd. The intended principal activities of MY Smartlife is to carry on the business of distributors, suppliers, dealers, exporters, importers, agents of information technology, electrical and electronic goods, household appliances, household articles and any other related products. Subsequent to the incorporation, MY Smartlife shall become a 51% owned subsidiary of Sern Kou Furniture Industries Sdn. Bhd., which in turn is a wholly-owned subsidiary of the Company. The incorporation of MY Smartlife will not have any material effects on the Sern Kou Group’s earnings per share, net assets per share, gearing, share capital and substantial shareholders’ shareholding for the financial year ending 30 June 2018. None of the Directors and/or major shareholders of the Company and/or persons connected with them have any interest, direct or indirect, in the incorporation. Bhd.  had on24 January 2019 disposed of 510 ordinary shares of RM1.00 each, representing 51% equity interest in My Smartlife Sdn. Bhd. (Company No. 1282323-V) (“MY Smartlife”) to Bluechart Power Sdn. Bhd. (Company No. 1215324-M), the existing shareholder of MY Smartlife, at a total cash consideration of RM510.00 only (“the Disposal”). MY Smartlife was incorporated on 4 June 2018 pursuant to the Companies Act 2016 as a private limited company and has not commenced business since its incorporation. The total issued and paid-up capital of MY Smartlife is RM1,000.00 divided into 1,000 ordinary shares of RM1.00 each, of which 510 ordinary shares was held by Sern Kou Furniture Industries Sdn. Bhd. and the remaining balance of 490 ordinary shares was held by Bluechart Power Sdn. Bhd. Subsequent to the Disposal, MY Smartlife would cease to be a subsidiary of Sern Kou Furniture Industries Sdn. Bhd. and an indirect subsidiary of the Company. The rationale for the Disposal is to dispose the non-operating indirect subsidiary and to reduce the cost associated in maintaining the non-operating indirect subsidiary. The Disposal will enable Sern Kou Group to better focus its resources on its core business. The Disposal will not have any material effects on the Sern Kou Group’s earnings per share, net assets per share, gearing, share capital and substantial shareholders’ shareholding for the financial year ending 30 June 2019. None of the Directors and/or major shareholders of the Company and/or persons connected with them have any interest, direct or indirect, in the Disposal.
