- ACQUISITION OF 100% EQUITY INTEREST IN ALIF MESRA SDN. BHD. BY GABUNG WAJIB SDN. BHD., A WHOLLY OWNED SUBSIDIARY OF MKH BERHAD.
1.0       INTRODUCTION
The Board of Directors of MKH wishes to announce that its subsidiary company, Gabung Wajib Sdn Bhd (Company No. 351796-M) ("GWSB"") has on 13 March 2014 acquired two (2) existing ordinary shares of RM1.00 each representing 100% of the total issued and paid-up share capital of Alif Mesra Sdn Bhd (Company No. 1064885-A) (“AMSB”), a shelf company, for a cash consideration of RM2.00 only (the “Acquisition”).

Further details of the Acquisition are set out in the following paragraphs.

2.0       BACKGROUND INFORMATION
2.1        Information on AMSB
AMSB was incorporated in Malaysia on 3 October 2013 under the Malaysian Companies Act, 1965 as a private limited company and having an authorised share capital of RM400,000.00 divided into 400,000 ordinary shares of RM1.00 each, of which two (2) ordinary shares of RM1.00 each have been issued and fully paid-up.

2.2        Information on GWSB
GWSB is a company incorporated in Malaysia on 19 July 1995 and having its registered office at Suite 1, 5th Floor, Wisma MKH, Jalan Semenyih, 43000 Kajang, Selangor Darul Ehsan.

The authorised share capital of GWSB is RM500,000.00 divided into 500,000 ordinary shares of RM1.00 each. Its present issued and paid-up capital is RM500,000.00.

The principal activity of GWSB is property development.

3.0       RATIONALE FOR THE ACQUISITION
The Acquisition is to enable AMSB to undertake some of the Group’s future property development projects.

4.0       FINANCIAL EFFECTS
The Acquisition has no effect on the issued and paid-up share capital or the substantial shareholders’ shareholdings of MKH and is not expected to have any material effect on the net assets, gearing and earnings of the MKH Berhad Group for the current financial year ending 30 September 2014.

5.0       APPROVALS REQUIRED
The Acquisition is not subject to the approval of the shareholders of MKH or any other relevant authorities.

6.0     DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTERESTS
None of the Directors and/or major shareholders of MKH or its subsidiaries and/or persons connected with them, have any interest, direct or indirect, in the Acquisition.

The Board of Directors of MKH is of the opinion that the Acquisition is in the best interest of the Company.

興建可負擔房屋‧美景8億銷售可達標

(吉隆坡17日訊)美景控股(MKH,6114,主板產業組)今年的8億產業銷售將可達標,同時隨著原棕油價格上漲,該公司的種植盈利將可能帶來驚喜。

黃氏唯高達表示,美景控股將保持專注於興建可負擔的房屋,儘管產業市場買氣普遍走軟,但此領域的需求保持強勁。截至2月杪美景控股的產業銷售加速至2億8千萬令吉,顯示該公司將可達到8億銷售的目標(去年為5億8千萬令吉),這主要受該公司計劃推出9億1千200萬令吉的新盤所支撐。

黃氏唯高達是在最近安排美景控股代表和新加坡投資者會面,針對投資者提出美景控股和其它發展商有何不同之處,管理層指出,該公司在加影/士毛月具低土地成本和高知名度,同時負債率偏低,因多年前以低價購入土地,因此產品組合和定價更具彈性。

該公司在加影/士毛月的土地成本僅每方尺約9至25美元,遠低於同行的購地成本。

無意進軍伊斯干達特區

管理層也表示,無意進軍伊斯干達特區,因該區主要為高檔產品,不過檳城會是目標市場,胥視機會而定,過去幾年檳城地價已大幅飆漲。

在種植業務方面,黃氏唯高達表示,目前每公噸原棕油價格上漲至2千900令吉,顯示將高於其保守預期的全年棕油價(2千750令吉),若棕油價比預期價格每高出5%,美景控股2014年盈利預測將上調4%。

預料美景控股2013至2016年種植盈利將成長69%,其中鮮果串成長20%,這是該行研究的種植股中的最高水平。

針對種植業務是否會尋求上市,管理層透露這是考慮中的一大選項,但必須先推動該業務成長,該公司計劃將種植地倍增,目前正尋求更多種植地以擴大規模,一旦園坵在2017年達到全面成熟時,或將透過公開上市以釋放價值。

黃氏唯高達表示,美景控股是提供深度價值和強勁盈利的“稀有寶石”,雖然自1月2日以來股價已勁升58%,目前的8倍本益比估值仍是具吸引力的進場水平,因該公司具可見及指數式成長潛能。

美景控股將推出2計劃 總發展總值料達16億

(吉隆坡11日訊)美景控股(MKH,6114,主要板房產)將增加兩項新高樓住宅發展計劃,使今年總發展總值(GDV)達致16億令吉。

根據該公司發出文告,即將推出的房產計劃,包括可負擔房產計劃士毛月平地屋Hillpark 3,及上述兩項高樓住宅發展計劃,名為Saville-加影和Saville-蕉賴。

該公司計劃從現有6項房產發展計劃,增加2項新高樓住宅發展計劃,將使該公司在今年的總發展總值達16億令吉。

該公司董事經理丹斯里曾福傳說:“截至目前為止,該發展計劃獲熱烈響應,預計正式推出后,將會在公司舉辦的房地產嘉年華中被搶購一空。”

文告指出,該公司房地產嘉年華將從3月11日開始,至8月30日結束。

外,該文告透露,早前推出加影Avenue 1房產發展計劃,獲得良好反應,因購屋者需求量高,在推出幾個星期后,60%至100%單位已被售出。【中国报财经】

美景控股放眼8億銷售額

(吉隆坡21日訊)美景控股(MKH,6114,主要板房產)房地產嘉年華全馬走透透,放眼今年銷售額可觸8億令吉水平。

該公司董事經理丹斯里曾福傳在文告中指出,截至今年2月,美景控股房地產銷量已增至2億8000萬令吉,今年將推出的8個計劃,發展總值高達16億令吉,有望達到8億令吉銷售目標。

截至9月底上財年,該公司全年銷售額為5億8000萬令吉;目前該公司計劃發展總值約80億令吉,未發展總值65億令吉,可做未來5年發展。

曾福傳指出,該公司舉辦的房地產嘉年華為期6個月至8月30日,任何在嘉年華期間購買旗下計劃的客戶,將直接獲得紀念金幣及一台iPad,並獲得贏取巨獎的機會。

他指出,美景控股將集中發展大眾市場發展,計劃下房產價格介于30萬令吉以上。【中国报财经】

2.美景控股这几个月来股价走高,是否还适合累积?
3.该公司的房地产发展业务如何?
4.捷运计划是否会让美景控股受惠?


美景控股(MKH,6114,主板产业股)首季盈利符合预期,该公司首季核心净利报3780万令吉,符合我们全年预期的30%(全年预期为1亿2770万令吉)。

一般上,首个季度的业绩较其他季度来得强劲,美景控股因种植业务在去年10月至12月期间取得高鲜果串生产,推高首季获利。

在计算核心净利之时,我们已将未实现的1990万令吉外汇损失排除。

按年比较,该公司的核心净利按年增加12%至3780万令吉,因种植业务的核心扣除利息和税务前盈利(EBIT),按年飙涨194%至1620万令吉。

美景控股种植业务的树龄较为年轻,这使得该公司首季的鲜果串产量,按年增长超过20%。

房产税前盈利跌4%

尽管种植业务表现强劲,但整体获利却因房地产核心扣除利息和税务前盈利,按年减少4%至2630万令吉,以致盈利遭削弱。

该公司的房产发展业务,占核心扣除利息和税务前盈利的90%。

全年来看,预期美景控股按年盈利增长为8%,核心净利料可达1亿2770万令吉。

最大的获利成长动力来自种植业务,因目前油棕树树龄为4年,属于丰收时期,油棕树一般在第3年起产果,直至第10年。

截至首季,该公司的房地产业务未进账销售达5亿1390万令吉,现财年计划推介价值达8亿9300万令吉的房产项目。

建议短期套利

自我们在去年12月26日,给予“买入”投资评级后,该股股价表现强劲,在4个月内增幅达82%,相较富时隆综指同期涨幅仅为0.5%。

当时美景控股股价为2.60令吉,截至本月22日,该股收报4.80令吉。

根据该公司的实质净资产价值(RNAV)6.93令吉,折价30%计算,新目标价为4.85令吉,预计2015财年本益比的11.7倍。

尽管目标价略微高于2015财年本益比,但相信种植业务盈利在未来5年将会越来越显著,事实上,美景控股放眼种植领域获利可占公司盈利的50%。

拥加影庞大地库

需要注意的是,种植公司的估值一般高于房地产发展公司。

短期来说,建议投资者套利,因目前的股价表现,扬升空间仅为1%,因此,我们将投资评级下修至“卖出”。

不过,长期来说,美景控股仍是诱人的投资股项,预计随着加影捷运站成形后,将带动该公司于该地区房产发展计划,因该公司在加影地区拥有大批地库。

至于种植业务,因该公司的油棕树树龄仅为4年,预期长期盈利将显著增长。

但你現在不可以轉換了。。因為樓上的報告寫了。。

次季財報公佈即看俏 美景控股母子搶先漲

(吉隆坡23日訊)美景控股(MKH,6114,主要板房產)即將在27日公佈次季業績,獲券商看好,母股和憑單股價早盤暴漲,同步穩守10大上升股榜。

美景控股開市微揚1仙報3.62令吉,隨后穩步攀高,為10大上升股之一。該股休市暫掛3.71令吉,起10仙,半日易手54萬5800股。

該股午盤漲勢收窄,跌出10大上升股榜。閉市時,美景控股報3.62令吉,起1仙,成交量98萬6900股。

美景控股-WB(MKH-WB,6114WB,主要板憑單)開市揚3仙至1.93令吉,隨后漲勢加速,休市前就為10大上升股之一;該股休市漲15仙掛休2.05令吉。

午盤間,美景控股-WB繼續穩守10大上升股榜。閉市時,報2.01令吉,起11仙,成交量24萬300股。

據安聯星展證券研究分析報告,比預期強的原棕油價格可抵銷較低油棕樹鮮果串收益、為高達6億200萬令吉未進賬銷售進行進度收賬,及從印尼種植業務貸款獲得約2000萬令吉外匯收益,可助推動美景控股截至本財年次季業績表現。

該行維持“買入”投資評級,同時大幅調高目標價至5.85令吉。

興業證券研究技術分析員莫哈末阿斯拉夫指出,美景控股股價一向都穩健整盤,阻力水平是介于3.80至4令吉。若能衝破,就具有很大上升趨勢潛能。【中国报财经】

美景次季淨利增3倍

(吉隆坡27日訊)美景控股(MKH,6114,主板產業組)在核心業務上漲和外匯盈余的雙重激勵下,帶動第二季淨利飆升300%。

歸功於產業與種植臂膀表現強勁,以及高達2千940萬令吉外匯盈餘,美景控股截至2014年3月31日止第二季淨利從前期的1千267萬4千令吉增長300.03%至5千零70萬令吉,推高首半年淨利走揚43.94%至6千748萬3千令吉,去年同期為4千688萬2千令吉。

次季營業額走高37.1%至1億8千814萬7千令吉,令上半年營業額達3億7千零64萬2千令吉,按年增長30.02%。

該公司執行主席拿督斯里曾貴秋在文告中表示,集團的產業發展和種植核心業務均取得穩定增長,主要是旗下產業發展項目獲得購屋者良好回響,令今年新推介項目銷售亮眼,同時印尼1萬6千公頃油棕園丘果樹年齡仍嫩,相信當果樹在2017年達到產量巔峰期時將大大推動業務增長。

覓外開拓兩核心業務契機

“展望未來,產業發展與油棕種植業務增長動能將可持續。我們在加影和大吉隆坡地區的黃金發展地庫仍有高達62億令吉的發展總值潛能,同時集團也積極探討在海內外開拓兩大核心業務的機會。”

目前,種植業務貢獻美景控股營業額和盈利的20%,預見隨著果樹日趨成熟,未來原棕油和棕仁油銷售將顯著增長。

放眼發展總值達14億新房產

另外,曾貴秋說,集團放眼在今年推介發展總值達14億令吉的新產業發展項目,其中半數將在下半年推介,有信心銷售動能將在新產業推介支撐下加快,全年新增銷售8億令吉目標上軌。(星洲日報/財經)

MKH BERHAD ("MKH" OR "THE COMPANY")
- ACQUISITION OF 100% EQUITY INTEREST IN DANAU SAUJANA SDN BHD.
1.0       INTRODUCTION

The Board of Directors of MKH wishes to announce that the Company has on 24 July 2014 acquired 2 ordinary shares of RM1.00 each representing 100% equity interest in Danau Saujana Sdn Bhd (Company No. 1099645-W) (“DSSB”), for a total cash consideration of RM2.00 only (“the Acquisition”), resulting in DSSB becoming a wholly-owned subsidiary company of MKH.

2.0       BACKGROUND INFORMATION ON DSSB

DSSB was incorporated in Malaysia on 30 June 2014 under the Malaysian Companies Act, 1965 as a private limited company and having its registered office at Suite 2108, Level 21, Plaza Pengkalan, Jalan Tiong, 3rd Mile Jalan Ipoh, 51100 Kuala Lumpur. DSSB has an authorised share capital of RM400,000.00 divided into 400,000 ordinary shares of RM1.00 each. Its present issued and paid-up share capital is RM2.00 comprising of 2 ordinary shares of RM1.00 each.

3.0       RATIONALE FOR THE ACQUISITION

The Acquisition of DSSB by the Company is for DSSB to undertake some of the future property development projects of the Group.

4.0       FINANCIAL EFFECTS

The Acquisition has no effect on the issued and paid-up share capital or the substantial shareholders’ shareholdings of MKH and is not expected to have any material effect on the net assets, gearing and earnings of the MKH Berhad Group for the current financial year ending 30 September 2014.

5.0       APPROVALS REQUIRED

The Acquisition is not subject to the approval of the shareholders of MKH or any other relevant authorities.

6.0       DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTERESTS

None of the Directors and/or major shareholders of MKH or its subsidiaries and/or persons connected with them, have any interest, direct or indirect, in the Acquisition. The Board of Directors of MKH is of the opinion that the Acquisition is in the best interest of the Company.

This announcement is dated 24th July, 2014.

The Board of Directors of MKH wishes to announce that the Company has on 8 August 2014 acquired 2 ordinary shares of RM1.00 each representing 100% equity interest in Pelangi Binaraya Sdn Bhd (Company No. 1093216-K) (“PBSB”) and Suria Villa Sdn Bhd (Company No. 1100726-T) (“SVSB”) respectively, for a total cash consideration of RM4.00 only (“the Acquisition”), resulting in PBSB and SVSB becoming a wholly-owned subsidiary companies of MKH.

2.0     BACKGROUND INFORMATION ON PBSB AND SVSB

PBSB was incorporated in Malaysia on 14 May 2014 under the Malaysian Companies Act, 1965 as a private limited company and having its registered office at Suite 2108, Level 21, Plaza Pengkalan, Jalan Tiong, 3rd Mile, Jalan Ipoh, 51100 Kuala Lumpur. PBSB has an authorised share capital of RM400,000.00 divided into 400,000 ordinary shares of RM1.00 each. Its present issued and paid-up share capital is RM2.00 comprising of 2 ordinary shares of RM1.00 each.

SVSB was incorporated in Malaysia on 8 July 2014 under the Malaysian Companies Act, 1965 as a private limited company and having its registered office at E-33A-05, Dataran 32, No. 2, Jalan 19/1, 46300 Petaling Jaya, Selangor Darul Ehsan. SVSB has an authorised share capital of RM400,000.00 divided into 400,000 ordinary shares of RM1.00 each. Its present issued and paid-up share capital is RM2.00 comprising of 2 ordinary shares of RM1.00 each.

3.0     RATIONALE FOR THE ACQUISITION

The Acquisition of PBSB and SVSB by the Company is for PBSB and SVSB to undertake some of the future property development projects of the Group.
