【SINDORA 6106 交流专区】持有辛多拉

SINDORA ( Mainboard Industrial )
买Sindora 10千股将获11千股 of Rights issue.但right issue 是要用钱去买的。每一unit right issue price 是RM1.00.
Sindora 也将在明年一月分interest 5% minus 28% tax. 上星期五闭市
是RM1.12.起5分。你认为此股可买进吗?请提供意见。。。

可以 上糊涂版主的博客上看一下,他有买这张股票。若看图表则觉得这个股票有些乱。但看长期应该不错。我百分之百的支持糊涂。

每一unit right issue price 不是RM1.00 而是RM0.60
而已。星期五闭市RM1.16起 0。07。
是个很不错的股。要注意哦!!!

我也支持糊涂版主,Sindora的确买不过,水患、附加股都是极为不好的消息。

Sindora是2006年小牛中失意的股项之一,12月杪又因其园丘遭受到雨水淹没(柔佛大水患)而导致投资者纷纷套利,其股价更一度跌至全年最低1.05分的水平。糊涂有时也会感到纳闷,柔佛州的水患的灾情虽然严重(百年仅见),然而这并不足于把Sindora的基本因素都冲走吧? 在这时后套利的投资者会否冲动了少少呢? 以Sindora那么少成交量的股票,卖出后想要买回可并不容易丫!

Sindora是一家政联公司,主要大股东为柔佛州政府投资臂膀Johor Corp(持有约63.5%的股权),它目前的主要业务是种植投资(IV - Intrapreneur Venture),Sindora是在2003年通过收购数家业绩稳定与有发展潜能的公司而达到多元化的目标。2006年数据显示它的投资回酬已逐渐的超越其种植业务,无论如何,经过一连串的收购后,它已不再是净现金公司了(目前的D/E Ratio 为0.29)。

熟悉我投资方式的朋友都知道我并不喜欢靠举债收购公司来增长其业务的公司,然而这次我却一反常态选了它成为我的投资组合中的新贵。最主要的原因还是它2003年收购的公司都成功的为它带来丰厚的回酬(尤其是它40%拥有的Willis Sdn Bhd,更是其中的皇冠),糊涂自然希望它能够复制其2003年的收购而逐渐成长;当然它的股息政策也是糊涂投资它的主要因素之一。

Sindora于2003年开始向其母公司收购Pro-Office Bulk Mailing(75%), Tepak Marketing(75%), JMF Asset Management(20%) 与 Willis(40%),2004年收购Metro Parking(75%),2005年收购EpasaShipping Agency(75%)与MM Vitaoils(35%),2006年则建议以38.25mil的代价收购E.A. Technique (M) Sdn Bhd 51%的股权。

Sindora从昨天又开始它的股票回购行动,我相信这一次的股票回购必定也与以往般能够持续好几个月。这一次的股票回购行动不止大大提升了它派发库存股的机会,同时也能够让股价获得一定的扶盘。上一回的股票回购成功把其股价从1.10推高至1.23,而这次从1.16分开始收购又会把股价推到什么价位呢?

近期消息:
1. 宣布5分需扣税股息(1月24日除权)。
2. 宣布修改附加股建议(建议每10股送11股附加股,附加股价格为现金60分+40分由溢价户口支付,每两股附加股将会派送1股免费凭单)。这也意味着附加股的价格不再随着市场价格而变动,间接消除了它上扬的阻力(现有股东可以放心加码来获取更多的附加股权益)。

今天,12-Jan-2007,又升5sen.闭市RM1.23...Sindora 有可能把treasury shares 分给其持有股票之股东。
看下文。如此好的公司那里找。难怪卖票的人太少了。52weeks最高是RM 1。37.今年一定会破此记录。Target price
RM1.50.
    Prior to the implementation of the Proposed Rights Issue with Warrants, Sindora will either distribute its treasury shares to its existing shareholders or sell its treasury shares in the open market. As at 30 November 2006, Sindora has 1,292,907 Sindora Shares which was purchased pursuant to a share-buy back exercise and are held as treasury shares. For the purpose of this announcement, the Company has assumed that the aforesaid treasury shares will be distributed to its existing shareholders via dividend-in-specie.

柔佛机构,新多拉和居林与QSR/KFC的related business很频繁,我很反感,我觉得有大占QSR/KFC的便宜的嫌疑,不喜欢这样的公司。。。

新多拉615万代价 卖产业予肯德基
二零零七年十二月二十八日 晚上六时五十六分

(吉隆坡28日讯)新多拉有限公司(SINDORA,6106,主板工业产品组)指出,它已签署一份协议,以615万令吉脱售位于柔佛哥打丁宜的8.213公顷产业予肯德基控股(马)有限公司(KFC,3492,主板贸易服务组)。

该公司说,建议中脱售预料将在1年内完成,并将让新多拉套现未有盈利可图的资产,及利用所得资金迎合其营运资本需求。

上述位于居銮--哥打丁宜高速公路旁的产业,包括主要办公室建筑/培训中心、工厂建筑、附属建筑、多用途礼堂、宿舍、食堂以及国家能源变电站。

新多拉称,上述计划将让该集团在截至2008年12月31日止财政年内,录得99万7421令吉额外赚益。

柔佛机构是新多拉与居林(马)有限公司(KULIM,2003,主板种植组)的主要兼控制股东,而居林旗下的QSR品牌有限公司(QSR,9415,主板贸易服务组),则是肯德基控股的最大股东。

PROPOSED DISPOSAL OF PROPERTY TO KFC HOLDINGS (MALAYSIA) BHD
1.         INTRODUCTION

The Board of Directors ("the Board") of Sindora Berhad ("Sindora" or "the
Company") is pleased to announce that the Company on 27 December 2007 entered
into a conditional Sale and Purchase Agreement ("SPA") with KFC Holdings
(Malaysia) Bhd ("KFC") to dispose a piece of land (including all factory,
buildings, structures, infrastructure and facilities built or erected on the
land) measuring 20.533 acres that forms part of a leasehold industrial land
(expiring on 30 January 2041) held under document of title HS(D) 2276, PTD
1384, Mukim Hulu Sungai Johor, Kota Tinggi, Johor (referred to as "the
Property") for RM6.15 million cash ("the Proposal"). This is a related party
transaction.


2.         DETAILS OF THE PROPOSAL

2.1        Basis of arriving at the disposal consideration

The disposal consideration of RM6.15 million was arrived at on a willing-buyer
willing-seller basis after taking into consideration the location and open
market value of the Property of RM6.30 million as appraised by an independent
registered valuer, Messrs CH Williams Talhar & Wong as contained in its
Valuation Report. The date of inspection and valuation is 21 August 2007.

2.2        Further information on the Property

The Property comprises, amongst others, the following:

                1.        Main Office Building/Training Centre;
                2.        Factory Building;
                3.        Tool Building;
                4.        Multi-Purpose Hall;
                5.        Hostel;
                6.        Canteen;
                7.        TNB Substation;
                8.        Toilet Outbuilding; and
                9.        Guard House.

The Property is fronting Kluang-Kota Tinggi Highway and forms part of Sindora
Timber Complex located within the Bandar Tenggara Industrial Area,
approximately 87 kilometers due north-west of Johor Bahru city centre. The
Property is unencumbered.

The Proposal will not have any effect on the timber operations of Sindora
Group.

2.3        Cost of investment and net book value

The cost of investment of the Property as at 30 September 2007 is RM8,176,085.
The net book value of the Property based on the latest audited financial
statement of Sindora for the financial year ending 31 December 2006 is
RM5,436,867.

The date of investment on the land is 1 January 1981 while the date of
investment on all factory, buildings, structures, infrastructure and facilities

range between 31 December 1985 to 12 April 2003.

2.4        Estimated timeframe for completion

The Proposal is expected to be completed within 1 year from the date of SPA.

2.5         Information on KFC

KFC was incorporated in Malaysia under the Companies Act on 22 December 1980 as

a private limited company under the name of Poon Guan Holdings Sdn Bhd and
subsequently changed its name to KFC Holdings (Malaysia) Sdn Bhd on 11 July
1986. On 13 March 1987, it was converted to a public company and adopted its
present name. The Company was listed on the Main Board of Bursa Malaysia on 11
November 1988. The principal activities of KFC are investment holding and
provision of management services.


3.        SALIENT TERMS OF SPA

The terms of payment in relation to the conditional SPA are as follows:

        (a)        A sum of RM615,000 representing 10% of the disposal
consideration shall be paid by KFC to Sindora upon execution of the SPA
as                 deposit and part payment of the disposal consideration;

        (b)        The 2nd payment of RM4,612,500 representing 75% of the
disposal consideration shall be paid by KFC to Sindora 2 weeks
from                 possession date, upon the execution and deposit of the
relevant Transfer Documents relating to the Property and the entire land
with                 KFC or its solicitors;

        (c)        The final payment of RM922,500 representing 15% of the
disposal consideration shall be paid by KFC to Sindora upon
Completion                 Date or Extended Completion Date.

The SPA is subject to and conditional upon the following conditions precedent:

        (i)        Approvals from the Board of Sindora and KFC, if necessary;

        (ii)        Approval from the shareholders of Sindora;

        (iii)        The approval from the relevant authorities/parties for
both, Sindora and KFC, if necessary; and

        (iv)        The deposit of relevant Transfer Documents relating to the
Property and the entire land with KFC or its solicitors.

The above conditions precedents (except for item (iv)) must be fulfilled within

3 months from the date of SPA unless mutually extended by both parties.


4.        RATIONALE

The Proposal would enable Sindora to liquidate unproductive assets while
utilizing proceeds to meet Sindora’s working capital requirements.


5.        FINANCIAL EFFECTS

The Proposal will have no impact on the issued and paid-up share capital as
well as substantial shareholder’s shareholdings of Sindora. The Proposal is not

expected to have any material effect on the NTA per share, earnings per share
and gearing of Sindora Group for the current financial year.

However, the Proposal will enable Sindora Group to record an extraordinary gain

of approximately RM997,421 for the financial year ending 31 December 2008.


6.        SUBSTANTIAL SHAREHOLDERS' AND DIRECTORS’ INTEREST

Save as disclosed below, none of the Directors and major shareholders of
Sindora and/or persons connected to them have any interest, direct and/or
indirect, in the Proposal.

Substantial shareholders’ interest

Johor Corporation ("JCorp") is the majority and controlling shareholder of
Sindora and Kulim (Malaysia) Berhad ("Kulim"). QSR Brands Berhad ("QSR'), a
subsidiary of Kulim, is the largest shareholder of KFC.

Directors’ interests

Tan Sri Dato’ Muhammad Ali Hashim is a shareholder of Sindora and Kulim, the
Chairman of Sindora, Kulim, QSR and KFC as well as the Chief Executive Officer
of JCorp. Rozan Mohd Sa’at, the Managing Director of Sindora, is a shareholder
of Sindora and Kulim and a person connected to JCorp. Tan Sri Datuk Arshad Ayub

is a shareholder and Director of both, Sindora and Kulim. Hj Esa Mamek and
Halmi Jasmin are Directors of Sindora and persons connected to JCorp. As such,
they are deemed interested in the Proposal.

Accordingly, they have abstained from voting and deliberating on the resolution

pertaining to the Proposal at the relevant Board Meetings. They will also
abstain from voting on the resolution pertaining to the Proposal in the
Extraordinary General Meeting to be held.


7.        STATEMENT BY DIRECTORS

Save and except for the interested Directors, the Board of Sindora is of the
opinion that the Proposal is fair and reasonable and in the best interest of
Company and its shareholders.


8.        COMPLIANCE WITH THE SECURITIES COMMISSION’S POLICIES AND GUIDELINES
ON ISSUE/OFFER OF SECURITIES

To the best knowledge of the Company’s Board of Directors, the Proposal has not

departed from Securities Commission’s Policies and Guidelines on Issue/Offer of

Securities.


9.        DOCUMENTS FOR INSPECTION

The SPA and Valuation Report on the Property are available for inspection at
the Registered Office of Sindora at 13th Floor, Menara Johor Corporation,
KOTARAYA, 80000 Johor Bahru, Johor during office hours from 8.00am to 5.30pm
for a period of three (3) months from the date of this announcement.


This announcement is dated 27 December 2007.

objection on the appointment of Deloitte to act in that capacity.
