On behalf of the Board of Directors of SIB (“Board”), M&A Securities Sdn Bhd (“M&A Securities”) wishes to announce the following: Proposed acquisition of 1,530,000 ordinary shares in Offspring Inc Sdn Bhd (“Offspring”) (“Sale Share(s)” or “Offspring Share(s)”) from Sedania Corporation Sdn Bhd (“Vendor” or “SedaniaCorp”), representing 51% of the equity interest in Offspring, for a total purchase consideration of RM15.12 million to be fully satisfied by cash (“Purchase Consideration”) (“Proposed Acquisition”); and        2.  Proposed diversification of the business of SIB and its subsidiaries (“SIB Group” or the “Group”) to include the following business activities:             (a) consumer products specialising in healthcare, personal care, household as well as baby and childcare products; and             (b) health technologies specialising in preventive healthcare technology solutions             (“Proposed Diversification”) (Collectively referred to as the “Proposals”) Kindly refer to the attachment for further details on the Proposals.
