We refer to your Company’s announcement dated 2 February 2016, in respect of the aforesaid matter.
In this connection, kindly furnish Bursa Securities with the following additional information for public release:-
1. The terms of any arrangement for payment of the purchase consideration on a deferred basis.
2. The net book value of the Property based on the latest audited financial statement of the Vendor.
3. A brief description of the building(s) comprised in the Property:-
(i) type and number of units each
(ii) number of storeys
(iii) approximate age
(iv) gross and net built-up area
4. The expiry date of the lease on the Land.
5. The original cost of investment to the Vendor and date of such investment.
6. The method of valuation and quantification of the market value.
7. The contingent liabilities and guarantees to be assumed by the JCY HDD arising from the Acquisition.
8. The prospects of the Property.
9. The encumbrances on the Property.
10. The time and place where the SPA and Valuation Report may be inspected.
11. A statement whether the audit committee of JCY is of the view that the Acquisition is:-
(i) in the best interest of JCY;
(ii) fair, reasonable and on normal commercial terms; and
(iii) not detrimental to the interest of the minority shareholders,
together with the basis for its views.
12. The total amount transacted with the Interested Directors for the preceding 12 months.
