黄金十年:和合建筑和气生财

这星期我们就谈谈其中一个H股。这只股票,几年前陷入PN7,需要重组,那时曾经爆发股东纠纷,两派旗鼓相当的股东争夺控制权,导致重组计划一波三折,几乎要除牌下市。

这场股东纠纷如果详细说明,只怕不是两三篇就可以说得明白的。长话短说,公司在2013年终于重组成功,不过已经大伤元气,需要几年时间调养。

如果要观察管理层的新作风,以及如何和气生财,该从2013年看起:



债务再高涨?

这家公司就是和合建筑(HOHUP)。要在这家公司看出它的潜能,是不容易的。它在重组的时候,以50仙配售了一批优先股(ICPS,1.02亿股),以及将一些债务转成另一批优先股(RCPS,1.335亿股),还有附送的凭单(5100万股,转换价60仙)。

当公司业绩转好的时候,上述优先股股东开始转换成母股,一些债主也把优先股转换去母股,以方便脱手。

虽然公司这三年业绩非常好,不过因为转换优先股冲淡了盈利,而且许多投资者对之前险些除牌的阴影挥之不去,因此,股价也没有一飞冲天。

当然,我们抽空去看看它的现金和负债状况。看来,它又再高度举债了,从持有1亿现金,到欠债1亿令吉。

关于借贷是否过高,见仁见智,管理层当然不认为过份啦。

不过前车可鉴,他们可以忘掉险些除牌的困境,小股东可寝食难安呐!

至于优先股和凭单,时至今日,可说所剩无几,两个优先股剩下约2800万股,凭单也只剩约1800万张。所以,为了庞大的营运开销,公司最近宣布发行附加股,建议5配1附加股和5配1不可转还可赎回优先股,以及每一附加股或优先股送一凭单。

我们,是冲着那优先股而来的。不管是优先股或附加股,售价预订在80仙,只是优先股享有5%股息。而凭单转换价在80仙。

和合建筑和英莎(INSAS)有个共同大股东,我们觉得,这种优先股,类似英莎去年的优先股,应该是大股东食髓知味,在和合建筑重炒旧菜式。

The incorporation is not expected to have any material effect on the earnings per share and net assets of Ho Hup for the financial year ending 31 December 2016.

(吉隆坡23日讯)科恩马(KNM,7164,主板工业产品股)与和合建筑(HOHUP,5169,主板建筑股)的联营公司,今天获得总值5777万令吉的炼油与石油化工综合发展计划(RAPID)工程的分包合约。

在本月10日,科恩马独资子公司KNM Process System私人有限公司(KNMPS)与和合建筑签署联营协议,携手成立KHH基建私人有限公司,各别持股50%。

文告指出,该联营公司获得来自中国公司Sinopec集团旗下的Sinopec工程大马有限公司的分包合约,为期24个月,料在本月30日开工。

该合约是RAPID第2配套第2区的土木和地下管道工程。

KHH基建公司在这项合约中负责变电站和现场机柜室的建筑工作,包括地基、内部道路、路面建设、地下管道、沟渠及其他相关土地工作。

The scope of supply and work of KHHI shall generally include, but not limited to, general building works for Electrical Substation and Field Auxiliary Room, foundations, superstructures, internal roads, paving, underground piping, trenches, manholes, pits, basins and related civil work.

SEGM is a subsidiary under Sinopec Group in the Peoples Republic of China (PRC). The Sinopec Group is the leading oil refining, petrochemical and chemical engineering group in the PRC.

Duration of the Sub-Contract
The duration of the Sub-Contract is approximately 24 months and is expected to commence on 30 March 2016.

Financial Effects
The Sub-Contract is expected to contribute positively to Ho Hup Group's earnings for the financial years ending 31 December 2016, 2017 and 2018.

和合获5800万桥樑工程

(吉隆坡3日讯)和合建筑(HOHUP,5169,主板建筑股)发文告宣布,获得Menuju Asas私人有限公司(简称MASB)颁发总值5800万令吉的合约,为连接雪兰莪州和霹雳州的西海岸大道,建设桥樑工程。

根据该项文告指出,该工程预计在2年內完工,並將在5月9日开始动工。和合建筑將负责桥樑的打桩、建设和其他作业。

该公司预计,该项工程將为公司2016、2017和2018財政年的盈利带来正面贡献。

房產市場放緩 和合建築下修淨利目標

(吉隆坡23日訊)和合建築(HOHUP,5169,主要板建築)截至3月底2016財年首季淨利按年跌5%至1908萬令吉;考量到房地產市場放緩,將2016財年淨利成長率目標下調至介于15%至20%之間。

和合建築向馬證交所報備,首季淨利下挫5%至1908萬令吉;營業額減少7.8%至8108萬令吉,主要因為企業收購,及為新發展計劃的成本融資,承擔額外融資成本所致。

和合建築將2016財年淨利的成長率目標下修至介于15%至20%之間,比原先設下的目標,即介于20%至25%之間來得低。

和合建築總執行長拿督黃吉良說:“基于房產市場減緩,我們感到有些謹慎,但並不代表我們將放慢我們的房產推介,只是稍微調整推介計劃的時間點。”【中国报财经】

脫困2年‧和合明年有意派息

(吉隆坡23日訊)即使產業業務展望謹慎,脫離PN17兩年的和合建築(HOHUP,5169,主板建筑組)有意在2017財政年開始派息。

房市放緩下調財測

同時,該公司也礙於房產市場減緩,而下調本財政年淨利成長預測,從20至25%,調低為15至20%。

該公司首席執行員拿督黃吉良在股東大會及特大後表示,目前還在和董事部及股東洽談派息事宜,預計2016財政年杪可宣佈派息政策,不排除2017財政年開始派息。

他指出,鑒於派息額待定,目前無法透露。

該公司之前曾爆發股東糾紛,導致重組計劃受影響,幾乎面臨除牌下場,幸2013年成功重組,並於2014年5月脫離PN17,此後業績表現穩定。不過,該公司轉換優先股及配售附加股,以強化資產負債表後,盈利因而稀釋。

對於業績表現,黃吉良下調本財政年淨利成長預測,從20至25%調低至15至20%,主要是產業市場放緩所致,令該公司更謹慎推出新產業。

去年產業發展貢獻該公司80%盈利。他預計,今年產業及建築業務貢獻分別企於70%及30%。

早前該公司表示將在本財政年推出發展總值12億令吉產業發展計劃,不過,目前規模卻收窄至最多5億令吉,計劃推出的房產項目包括亞庇及武吉加里爾服務式公寓。明年則計劃推出發展總值20億令吉的柔佛古來綜合產業發展計劃。

他指出,亞庇發展計劃發展總值7億8千萬令吉,設有服務式公寓及五星級酒店,預期將在6至7月期間簽署合約及宣佈酒店營運業者。

他預計,現有產業計劃料讓公司忙碌5年,與馬頓(MALTON,6181,主板產業組)聯營的綜合產業發展計劃銷售強勁,推出兩年至今已取得14億令吉銷售額。

和合建築持有該聯營計劃的18%股權,整體發展總值介於40至45億令吉,預計購物商場將在2019年竣工,盈利貢獻將持續至2020年。

建築業務方面,該公司正在競標總值20至30億令吉本地政府相關的基建合約,目前持有6億令吉訂單。

至於建材業務,他預計去年第四季收購的馬六甲採石場將在7月投運,主要放眼當地填海及基建工程需求。(星洲日報/財經)

和合建築 獲3240萬分包合約

(吉隆坡6日訊)和合建築(HOHUP,5169,主要板建築)獲Adegan Senandung私人有限公司頒發總值3240萬令吉分包合約,以在霹靂州彭加蘭烏魯興建移民局宿舍(Immigration Quarters)。

據和合建築向馬證交所報備文告指,根據合約,和合建築將負責興建移民局宿舍,工程涵蓋打樁、建設、外部及相關雜項工作,工程大約耗時156個星期,估計將在10月20日展開工程。

文告指,Adegan Senandung私人有限公司是一家土著私人有限公司,主要涉及土木工程業務。

和合建築指出,上述合約將可為其截至2016年12月31日至2019年12月31日財年帶來正面收益。【中国报财经】

HO HUP CONSTRUCTION COMPANY BERHAD ("HO HUP" OR "THE COMPANY")- LETTER OF AWARD OF TENDER TOTALING RM32.4 MILLION FOR THE IMMIGRATION QUARTERS PROJECT
The Board of Directors of Ho Hup is pleased to announce that Ho Hup has been awarded a sub-contract from Adegan Senandung Sdn Bhd (“ASSB”) to construct the Immigration Quarters in Pengkalan Hulu, Perak (hereinafter referred to as the “Contract”) for a contract sum of RM32.4 million on 4 October 2016.

Under the Contract, Ho Hup shall be responsible for all piling, building, external and miscellaneous works related to the construction of the Immigration Quarters.

ASSB is a private limited company incorporated in Malaysia under the Companies Act, 1965 and a Bumiputera contractor registered under CIDB G7. ASSB is principally engaged in civil construction works.

Duration of the Contract
The Contract duration is approximately156 weeks and scheduled to commence on 20 October 2016.

Financial Effects
The Contract is expected to contribute positively to Ho Hup Group's earnings for the financial years ending 31 December 2016 to 31 December 2019.

Directors’ and Major Shareholders’ Interests
None of the Directors and/or Major Shareholders and/or persons connected to them, have any interest, direct or indirect in the award of the Contract.

Statements by Directors
The Directors are of the opinion that the Contract is in the best interest of the Company after considering, amongst others, the potential financial contribution to the earnings of the Company.
