4送1红股 OPCOM购原料供应商40%

（吉隆坡30日讯）OPCOM控股（OPCOM，0035，创业板）宣布，以总值1165万980令吉，收购原料供应商的股权，及发送3225万股红股。

OPCOM控股独资子公司OpcomNiaga，以近367万5388美元（或相等于近1165万980令吉），收购英国Unigel公司的40%股权。

文告指，OPCOM控股生产光纤电缆中的主要原料是触变凝胶（thixotropic gel），而Unigel就是该原料的供应商。

因此，收购计划让该控股能够取得主要原料供应商的策略股权。

OPCOM控股预计，这项收购计划对未来业绩表现带来贡献，包括稳定取得原料供应，且能对冲走高的原料价格。

此外，未来将计划合作发展产品及交换技术，料能够改善生产过程及产品素质。

同时，OPCOM控股宣布以每4股送1股红股，发送3225万股红股。

On behalf of the Board of Directors of Opcom, RHB Investment Bank Berhad wishes to announce that the Company proposes to undertake the following: (i) ONSB, Hikari Capital Limited (“Hikari”) and Unigel Technologies Limited, a wholly-owned subsidiary of Hikari (“UTL”) had on 26 July 2014, entered into a conditional share purchase agreement with Unigel Limited (“Vendor”) together with the covenantors namely, Gary Steven Robinson, Richard Barrie George, Ian Charles Hatchell, Mukhtiar Singh Sohal and Richard Michael Rund (“Covenantors”) (“SPA”) for the acquisition of an aggregate of 1,000,000 ordinary shares of GBP1.00 each in Unigel (“Unigel Shares”), representing the entire equity interest in Unigel, from the Vendor for a purchase consideration of approximately USD9,188,470(equivalent to RM29,127,450) to be satisfied entirely by way of cash, subject to adjustments as set out in Section 2.2.2 of this Announcement. The Proposed Acquisition involves the acquisition by ONSB of 400,000 Unigel Shares which representing 40% of the equity interest in Unigel for a purchase consideration of approximately USD3,675,388 (equivalent to RM11,650,980). The remaining 60% of the equity interest in Unigel will be acquired by UTL. In addition, ONSB had entered into a conditional shareholders’ agreement with UTL on 23 July 2014 to govern the relationship of ONSB and UTL in Unigel (“Shareholders’ Agreement”). The Shareholders’ Agreement is conditional upon signing of the SPA and the salient terms of the Shareholders’ Agreement are set out in Section 2.7 of this Announcement; and (ii) a bonus issue of 32,250,000 Bonus Shares on the basis of one (1) Bonus Share for every four (4) existing Opcom Shares held on a date to be determined later. 消費稅實施稅不增反減‧OPCOM前景向好

（吉隆坡18日訊）2015消費稅實施，OPCOM控股（OPCOM,0035,創業板工業產品組）預料該公司產品稅務不增反減，有利公司客戶降低成本。

該公司主席拿督莫扎尼在股東大會後向記者表示，大馬在明年4月1日實施的消費稅，應該使公司處在更有利的地位，因為目前該公司產品需要繳交10%的銷售稅，而消費稅實施後，預料只需繳交6%稅，讓該公司產品可以省4%稅，客戶可降低一定的成本。

他看好公司業務前景，因為政府未來會斥資18億令吉以提升高速寬頻工程（HSBB2），公司可從中受惠。

專注本地業務

在大馬光纖業務，主要由Fujiakura、Lite Kabel及OPCOM這3家公司主導，而OPCOM就佔了50%的市場額。

莫扎尼說：“為了讓公司更具有競爭力，我們每年都會進行研究與開發的工作，從不間斷。該費用佔盈利的5至7%。”

莫扎尼說，OPCOM控股目前專注在本地的業務，暫時沒有到海外發展的意願，其中80%的營收是來自馬電訊（TM,4863,主板貿服組）的合約及工程。

除了通訊公司以外，油氣領域局部設施亦需要光纖的設備，料該公司可從中獲得一定的營收。（星洲日報／財經）

（吉隆坡20日訊）OPCOM控股（OPCOM,0035,創業板工業產品組）宣佈重新委任丹斯里莫扎尼馬哈迪出任首席執行員，即日生效。

莫扎尼馬哈迪原是OPCOM控股的非執行董事。

此外，該公司亦宣佈把執行董事蔡光華（譯音），重新委任成副首席執行員。

本月初剛辭去沙肯石油（SKPETRO,5218,主板貿服組）副主席一職的莫扎尼馬哈迪，是前首相敦馬哈迪的次子，市場對於他崛起成OPCOM領導多少感到意外，因投資者原本都揣測雲升控股（YINSON,7293,主板貿服組）才是莫扎尼馬哈迪的目標。

交易所資料顯示，莫扎尼馬哈迪並未持有OPCOM股權，卻持有雲升18%股權。

（吉隆坡23日訊）光纖電纜製造商OPCOM控股（OPCOM，0035，創業板科技），委任丹斯里莫扎尼馬哈迪擔任公司總執行長，強勁管理層陣容進一步穩定投資者信心，股價一度逼近漲停板水平，盤中猛漲29.5仙至1.24令吉，升破52週新高97仙水平，高居10大上升股榜。

OPCOM控股是在上週五（20日），委任莫扎尼馬哈迪擔任總執行長一職，任期馬上生效，在名人效應帶動下，該股今早甫開市，即刷新52週新高紀錄，微揚4仙以98.5仙報開，在投資者熱烈追捧下，不到1分鐘升破1令吉價位，交易半小時后更一度猛漲29.5仙或31.2%。

該股今年以來股價已倍增，早盤間企穩在1.10令吉。

休市時，OPCOM控股暫掛1.13令吉，起18.5仙，半日計有71萬4300股易手。午盤間，該股仍漲勢如虹，截至下午4時30分，收在1.18令吉，起23.5仙，成交量928萬8400股。

根據馬證交所資料，莫扎尼馬哈迪並未持有OPCOM控股持股，相反卻持有雲昇控股（YINSON，7293，主要板貿服）約18%股權，市場原先揣測，他的目標應是入主雲昇控股。

莫扎尼转任总执行长 OPCOM 控股如常运作

（吉隆坡24日讯）OPCOM控股（OPCOM，0035，创业板）新上任的总执行长丹斯里莫扎尼，强调公司运作一切照旧，目前也没有任何计划。

他接受《星报》访问时指出，他已在OPCOM控股最大的子公司OPCOM电缆，担任主席长达4年，一直都参与公司业务，因此他转任总执行长，公司营运依然照旧。

“我们刚刚重组公司人事，并将我的职位转成执行类董事。所以，我现在是总执行长，但事实上，我一直都在，经营最大的子公司。”

OPCOM电缆是该公司与瑞典爱立信集团的联营公司，分别持股70%和30%，在莎阿南的工厂生产光纤电缆、系统和配件。

对于会否将OPCOM控股转型至他的老本行油气领域，或是将之作为成为他离开沙肯石油（SKPETRO，5218，主板贸服股）后的新工具，莫扎尼都不愿置评。

他也强调，他是在4年前加入OPCOM控股，当时他的弟弟，也就是吉打州务大臣拿督斯里慕克力，还在担任国际贸工部副部长。

没有持股

慕克力直接持有该公司23.5%的股权，并通过Rezeki Tegas持有20.93%；他的夫人拿汀斯里诺兹达，则通过MOcean资本持股26.94%。

莫扎尼本人则未持有任何股权。

随着莫扎尼担任掌舵手，OPCOM控股股价也应声大涨，昨日更一度飙31.2%，写下1.24令吉的5年来新高。

股价按年来说已增高达104%，莫扎尼直指，这已经属于炒作，而非公司的基本面。

上週，OPCOM控股（OPCOM，0035，創業板工業產品組）宣佈委任丹斯里莫扎尼馬哈迪出任首席執行員，股價即在隔天漲停板，再次見證名人效應的威力。

莫扎尼馬哈迪是前首相敦馬哈迪的次子，而且是將沙肯石油（SKPETRO，5218，主板貿服組）打造成本地油氣服務領域巨頭的幕後推手之一，名氣頗響，但他這一步棋，卻走得讓人有些摸不著頭腦。

首先，在商界取得莫大成功的莫扎尼馬哈迪，已經是大馬億萬富豪之一；《富布斯》2015年大馬富豪名單顯示，即使身家因油價暴跌而嚴重縮水，莫扎尼馬哈迪仍然擁有約7億美元（約25億5千萬令吉）的財富，在全馬排名第26位。

儘管在辭去沙肯石油副主席職務後，莫扎尼另尋落腳地是極正常的發展，可讓市場百思不得其解的是，身為億萬富豪的莫扎尼，為何願意到一家自己未持有任何股權的創業板公司去上班？

無論如何，從股價走勢看來，莫扎尼的面子確實價值非凡，因在OPCOM迎來莫扎尼馬哈迪後，股價便在第二天漲停，市值更因此一度暴漲4千756萬令吉。

交易所數據顯示，主要從事電纜製造和貿易業務的OPCOM，截至2015財政年首9個月營業額為5千649萬6千令吉，淨利報257萬7千令吉，市值則約2億令吉；就該公司財務條件而言，所能支付的薪酬應該也有限，這也讓莫扎尼的加盟顯得更耐人尋味。

在未持有股票、薪酬有限的情況下，莫扎尼究竟對OPCOM有些甚麼期待，我們外人實在難以知道，惟在莫扎尼對外公佈自己的打算，或開始為OPCOM帶來實質變化前，追趕股價漲勢的風險絕對不低，畢竟該公司股價本月初至今已猛漲逾70%，且《交易所情報網》顯示OPCOM本益比已高達41.96倍。

在股市中，“名人效應”指的是某家上市公司突然和社會上的某個著名成功人士扯上關係，替投機者營造龐大想像空間（如知名人士可透過自己的龐大人脈，為公司帶來新生命力），並使股價在市場追捧或炒家狂炒下飆升。

然而，股價飆升卻不代表有關公司的未來將從此一帆風順，因名人效應更多時候更只是帶來短期刺激，而且僅侷限在股價；待激情一過，且原本期待的光明未來遲遲不來，股價還能否高企，將成為很大的問號。

（吉隆坡29日訊）OPCOM控股（OPCOM，0035，創業板科技）旗下子公司OpcomCables私人有限公司獲馬電訊（TM，4863，主要板貿服）頒發總值2億1084萬令吉合約。

OPCOM控股向馬證交所報備，子公司獲得馬電訊發出的意向書，合約內容是為馬電訊製造、供應和運送光纖電纜，合約期限從今年5月21日至2018年5月20日。

（吉隆坡30日讯）OPCOM控股（OPCOM，0035，创业板）宣布，子公司OPCOM电缆获得价值360万令吉的合约，提供光纤接头盒马电讯Passive“光纤到户”（FTTH）系统给马电讯（TM，4863，主板贸服股）。

根据文告，该项合约为期1年，从6月17日起生效，至明年6月30日。

The Board of Directors of Opcom Holdings Berhad ("Opcom") wishes to announce that its subsidiary, Opcom Cables Sdn. Bhd. has negotiated and accepted a RM3.60 million Letter of Award - Variation Order to the Contract from Telekom Malaysia Berhad ("Telekom") on 26 June 2015 for the supply and delivery of fiber optic splicing closure TM's Passive FTTH Systems for Telekom for a period of one (1) year commencing from 17 June 2015 to 30 June 2016 ("Award"). Financial Effect The Award is expected to contribute positively towards Opcom Group's earnings and net assets for the period of the Award. Risks The risk factors which may affect the Award include but not limited to ordinary business risks, competition risks, operations risks, economic risks and regulatory risks. Directors' and Substantial Shareholders' Interest None of the Directors and substantial shareholders of Opcom and/or subsidiaries or any persons connected to them has any interest, direct or indirect, in the Award.
