On behalf of the Board of Directors of Nexgram (“Board”), M&A Securities Sdn Bhd (“M&A Securities”) wishes to announce that the Company proposes to undertake a private placement of up to ten percent (10%) of the existing issued and paid-up share capital of Nexgram (“Proposed Private Placement”).

The Proposed Private Placement will be undertaken in accordance with the general mandate pursuant to Section 132D of the Companies Act, 1965 (“Companies Act”) obtained from the shareholders of the Company at its Eleventh Annual General Meeting (“AGM”) convened on 27 October 2015, whereby the Board had been authorised to allot and issue new shares in Nexgram not exceeding ten percent (10%) of the issued capital of the Company (“Existing Mandate”).

NEXGRAM获颁740万合约

2016年10月12日
(吉隆坡11日讯)NEXGRAM(NEXGRAM,0096,创业板)宣布,接获Good View 建筑私人有限公司颁发价值740万1158令吉的合约。

根据文告,这项合约是由间接持有70%股权的子公司Blue Hill 发展私人有限公司获得。

Blue Hill 将为马星集团(MAHSING,8583,主板产业股)旗下马星塑胶工业私人有限公司现有的电流供应站仓库展开扩建,设计和建造一间露天仓库和一间工厂。

这项合约将从这个月17日开始,并于明年7月15日完工。

1. INTRODUCTION
The Board of Directors of Nexgram is pleased to announce that Blue Hill Development Sdn. Bhd., an indirect 70% owned subsidiary of the Company, had on 4 October 2016 accepted a Letter of Award dated 30 September 2016 awarded by Good View Construction Sdn. Bhd. for the proposed design and build of one (1) unit of open shed warehouse and one (1) unit of factory as extension of existing warehouse with TNB sub-station at Lot 4, Lingkaran Sultan Mohamed 1, Taman Perindustrian Bandar Sultan Suleiman, 42000 Port Klang, Selangor for Mah Sing Plastic Industries Sdn. Bhd. (“the Contract”).

2. CONTRACT PERIOD AND VALUE
The construction works under the Contract shall be commencing from 17 October 2016 and to be completed by 15 July 2017. The total value of the Contract is RM7,401,158.40 (Ringgit Malaysia: Seven Million Four Hundred and One Thousand One Hundred Fifty Eight and Sen Forty Only).

3. FINANCIAL EFFECT ON THE GROUP
The Contract is expected to contribute positively to the future earnings and net assets of Nexgram group.

4. RISK FACTORS
The risks associated with the Contract include execution risks such as availability of skilled manpower and materials, changes in the materials and labour costs. Nevertheless, Nexgram will take the necessary steps to mitigate the risks as and when it occurs.

5. DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTEREST
None of the Directors and/or major shareholders of Nexgram or persons connected with them have any interest, whether direct or indirect, in the Contract.

6. STATEMENT BY DIRECTORS
Board of Directors of the Company is of the opinion that the acceptance of the Contract is in the ordinary course of business and is in the best interest of the Company.

NEXGRAM获2房产合作项目

(吉隆坡13日讯)NEXGRAM(NEXGRAM,0096,创业板)宣布在本月11日,收到来自Suara Hati私人有限公司和Good View 建筑私人有限公司的工程意向书。

根据文告,NEXGRAM间接持股70%的子公司Blue Hill 发展私人有限公司,接获两家公司的合作邀请,分别在马六甲和雪兰莪,发展两个房屋项目。

首先,Blue Hill接获Suara Hati的联营邀请,参与雪州鹅唛(Gombak)一个马来西亚房屋(PR1MA)的发展项目。

这个称作“鹅唛 PR1MA Valley”的项目,会有1138个单位,包括双层排屋、公寓套房、20个零售单位、便利设施以及其他设备。

该项目将会以联营方式合作,合约条款会在较后的日期敲定。此外,联营合约条款会按照获颁合约时的利润赚幅分配。

另一方面,Blue Hill 也接获Good View邀请成为主要分包商,参与位于马六甲武吉卡迪(Bukit Katil)的一马公务员房屋计划(PPA1M)发展项目。

The Board of Directors of Nexgram is pleased to announce that Blue Hill Development Sdn. Bhd., an indirect 70%-owned subsidiary of the Company (“BHDSB”), had on 11 October 2016 accepted a Letter of Intent and Joint-Collaboration to Participate as Main Sub-contractor dated 11 October 2016 from Good View Construction Sdn. Bhd. (“GVCSB”) (“LOI”).

Pursuant to the LOI, BHDSB shall undertake the main sub-contractor role whilst GVCSB shall undertake the project co-ordination and project management roles at an agreed fee to be determined later upon securing the contract work known as Proposed PPA1M Bukit Katil at Lot 1691 & 17697 (Lot 1692), Mukim Bukit Katil, Daerah Melaka Tengagh, Melaka, which entails the construction of 462 units of apartment for civil servant ("the Project").

There is no certainty that the LOI will result in the Project being secured by GVCSB and/or BHDSB. Nevertheless, GVCSB and BHDSB will take necessary actions to secure the Project.

Further announcement on the development of the above matter will be made to Bursa Malaysia Securities Berhad in due course, should GVCSB and/or BHDSB be successful in procuring the Project.

Bhd., an indirect 70%-owned subsidiary of the Company (“BHDSB”) to work with SHSB on the Proposed Rakyat 1Malaysia Housing Development Project known as “GOMBAK PR1MA VALLEY” situated on a 49.43 acres of leasehold Malay reserved land sited on PM 344 Lot No. 4940, PM 222 Lot No. 4942, PM 364 Lot No. 4943, PM 231 Lot No. 4944, PM 225 Lot No. 4945, PM 234 Lot No. 4946, PM 240 Lot No. 4948 and PM 248 Lot No. 4951 in Mukim Setapak, Daerah Gombak, Selangor (“Project”) on a joint venture basis in accordance with the terms and conditions as stated in the letter of intent as given by Perbadanan PR1MA Malaysia ("PR1MA") to SHSB dated 9 September 2016. BHDSB has accepted the LOI on 11 October 2016.

The Project consists of 1,138 units of PR1MA Homes comprising double storey houses, apartment units and 20 retail units together with all necessary amenities, utilities, facilities and infrastructures.

The terms of the joint venture shall be finalised at a later date based on the profit margin derived from the Project in the event that PR1MA awards the Project to SHSB and/or BHDSB.

There is no certainty that the letter of intent given by PR1MA to SHSB will result in the project being awarded to SHSB and/or BHDSB. Nevertheless, SHSB and BHDSB will take necessary actions to secure the Project.

We refer to the article entitled “Get it right this time” which appeared in The Edge Malaysia on Monday, 17 October 2016 containing the following statements:-

“…However, the Sepang Municipal Council in March rejected the development order for the Dengkil project, and the Company has gone silent on Angkasa Icon City, with many speculating that the ambitious project has been shelved”

The Company wishes to clarify as below:-

The construction work for Cyberjaya Project known as Angkasa Icon City has yet to commence and is pending negotiation for financing. The project has not been shelved.

The Company is of the view that the Cyberjaya Project is still within the timeframe as the vacant possession date stated in the Cyberjaya Off Take Agreement was five (5) years from the date of obtaining all necessary approvals plus one (1) year grace period.

NEXGRAM首季亏230万

2017年1月1日
(吉隆坡31日讯)NEXGRAM(NEXGRAM,0096,创业板)截至10月31日首季,蒙亏230万632令吉,营业额重挫56.7%,报1343万1662令吉。

该公司在5月25日宣布,将财政年截止日期从4月30日,改为7月31日,因此当季没有可比较的业绩。

NEXGRAM昨日向马交所报备,营业额显著滑落,归咎于涉及资讯科技(IT)、保安与视频监控设备业务的子公司营业额减少。

不过,该公司随后已经脱售了蒙亏的IT子公司。

根据文告,当季的税前亏损为230万令吉,去年同期的税前盈利则达430万令吉。

基于未来充满不稳定因素和挑战,该公司将持续专注于发展现有业务。

NEXGRAM也通过旗下Nexgram置地,多元至房产发展领域。此外,为了精简业务,公司也脱售了蒙亏和冬眠的子公司。

为了延续长期增长策略,公司也收购了Transeaways运输和Blue Hill发展,以取得新收入源。同时,NEXGRAM也正取得新产业和建筑项目的途中。【e南洋】

億豐控股獲3.3億工程

億豐控股向馬證交所報備,收到來自Oriental Mace私人有限公司的聘約通知書,邀請Intra Binaraya為總承包商,參與工程、采購及建築計劃。

  • to build a pharmaceutical and neutraceutical manufacturing plant on a piece of land held under title H.S. (D) 224180, Lot No. PT 889, Bandar Baru Enstek, District of Seremban, State of Negeri Sembilan; and
  • for the construction of a research and development laboratory and formulation development centre on a portion of land held under title H.S. (D) 224180, Lot No. PT 889, Bandar Baru Enstek, District of Seremban, State of Negeri Sembilan.
(collectively referred to as “EPC Projects”)

OMSB had previously issued a letter of offer in respect of the EPC Projects to Versatile Creative Berhad (“VCB”) for the purpose of appointing the main contractor on 26 May 2016. The letter of offer was subsequently voided and terminated by OMSB with effect from 19 January 2017.

IBSB has accepted the LO on 2 March 2017. Pursuant to the LO, IBSB shall act as the EPC Principle Contractor to undertake the EPC Projects in place of OMSB for the full contract sum as provided under the EPC Projects Agreement. The proposed appointment of IBSB as the EPC Principle Contractor shall consist of contractor obligation to be fulfilled by OMSB as follows:-
  • Settlement of all payment outstanding, due and owing to the contractors or suppliers or any parties in the course of undertaking the EPC Projects (“Outstanding Payment”) by OMSB prior to the LO and OMSB shall undertake to settle and pay all the Outstanding Payment prior to the execution of the LO;
  • Upon acceptance of the LO and pending the determination of OMSB as the EPC Contractor, OMSB shall ensure all payments received from AJ Group under the EPC Projects Agreements (if any) shall be made directly to IBSB and OMSB shall have no rights or claims whatsoever on any such payment;
  • Upon receiving the instruction from AJ Group, OMSB shall assign the unutilised monies received or collected under the existing EPC Projects Agreements from AJ Group by OMSB and any shortfall therefrom (“Unutilised Monies”) to IBSB’s designated bank account which is to be opened and maintained by IBSB;
  • IBSB has the right to verify OMSB’s EPC project account to ensure the monies are rightfully used for the execution of the project. Any dispute or shortfall shall be undertaken by OMSB;
  • Upon fulfilment of all the above mentioned terms and conditions by OMSB to be completed within 90 days. AJ Group may further engage IBSB as the EPC Principle Contractor for the EPC Projects, where OMSB shall accept and shall have no rights or claims whatsoever.

The duration of the EPC Projects shall be up to 24 months upon the signing of the definite agreement.

NEXGRAM does not foresee any exceptional risk other than the normal operational risk associated with the LO and will take the necessary steps to mitigate the risks as and when it occurs.

None of the directors and/or major shareholders and/or persons connected to them has any interest, direct or indirect, in the Proposed Appointment.

The Proposed Appointment is expected to contribute positively to the future earnings of the Group.

The Board of Directors of NEXGRAM is of the opinion that the Proposed Appointment is in the best interest of the Group.

(吉隆坡7日訊)億豐控股(NEXGRAM,0096,創業板科技)子公司與中國亞洲資本控股(ChinaAsian Capital Holding)聯合發展的Angkasa Icon City綜合商業發展計劃,總發展值高達11.5億令吉。

億豐控股向馬證交所報備,根據顧問所提供的預測及估值,上述位于雪邦的綜合發展項目開發成本約介于6億至6.5億令吉。

據早前文告,億豐控股旗下的Nexgram Land私人有限公司已在5月19日,與中國亞洲資本控股簽署聯合發展協議,以聯手發展Angkasa Icon City;上述發展地段是由億豐控股旗下Nextnation Datacity私人有限公司所持有。

上述項目將涵蓋一棟酒店、一棟小型多功能辦公室(SOVO)及一棟服務式公寓套房。

We refer to your Company’s announcement dated 19 May 2017 in respect of the aforesaid matter.
In this connection, kindly furnish Bursa Securities with the following additional information for public release:-
  • Whether the JDA involves setting up of a joint-venture company (“JVC”). If yes:

           i)    Issued and paid-up capital of the JVC.
           ii)   Percentage of shareholding of Nexgram Land Sdn Bhd (“NLSB”) and ChinaAsian Capital Holding Ltd (“CACH”) respectively                    in the JVC.
           iii)   Sources of funding by the JVC for the Project.
          If no:
          i)    The roles and responsibilities of NLSB and CACH under the JDA respectively.
          ii)   Profit and cost sharing ratio between NLSB and CACH pursuant to the JDA, and NLSB’s sources of funding for its portion of                     the cost.
