财务拮据 系统机构无法还债

（吉隆坡26日讯）面对拖欠大马银行（AMBank，1015，主板金融股）债务，系统机构（SAAG，9652，主板贸服股）表明因财务紧绌、无法解决相关欠款。

系统机构在文告中指出，大马银行本月13日透过律师发出缺席宣判书，系统机构应在10天内偿还欠款，否则将会对公司采取行动。

据了解，系统机构与子公司系统机构石油与天然气私人有限公司拖欠款项包括1亿5178万28令吉、3276万7336令吉以及1700令吉成本，欠款已纳入每年3.5%的利息计算。

“系统机构目前列为PN17公司，当前财务状况无力解决上述拖欠款项或抗辩。”[南洋网财经]

SAAG綜合（SAAG，9652，PN17公司）股票已經停牌，何以公司生意仍然營運？股票是否還存在？是否還有價值？如何脫手？

答：
SAAG綜合是在去年10月17日落入PN17陷困公司行列，較後遭當局諭令暫停交易，還未到除牌階段。該公司尚有一線希望通過企業重組翻身，不過，由於拖欠的債務龐大，截至去年10月杪時，就達到7億令吉，而截至去年6月30日止的淨現金僅有3千260萬令吉，若要進行重組翻身恐有一段路要走。

該公司旗下2家子公司資產也被債主的資產接管人及經理人接管。

該公司是在2012年10月17日正式列入PN17公司後，尚有一段時間進行重組，所以，該公司還可營運，特別是進行重組計劃，以便脫離PN17陷困公司的行列。

目前為止，該公司的股票還是存在的，只是暫停交易，至於何時恢复交易，則包括胥視其重組計劃的進展，及財務脫困速度而定。

至於價值方面，截至2012年12月31日為止，該公司的每股資產價值已等於零，或已經近乎沒有價值可言。

由於該公司尚暫停交易，使該公司股東未能在股市或公開市場脫售股票。若是要脫手，相信通過私下安排交易是其中辦法。

拖欠9422萬債務 SAAG遭清盤訴訟

（吉隆坡15日訊）SAAG（SAAG，9652，主要板貿易）無法償還總值9422萬令吉債務，遭大馬投銀訴訟清盤，該公司解釋該批債務去年10月1日到期。

該公司回應馬證交所質詢時指出，所積欠的款項包括每年3.5%利息且已提供企業擔保，主要來自2008年7月1日子公司SAAG船運與該行簽署的貸款協議及另一項附屬協議。

文告指出，公司已在去年10月12日及17日按照主要板上市條例報備，無法償還該筆債務。

“公司去年6月無法籌集1億令吉資金、無法展開債務重組計劃后，即已通知債主及大馬投銀。”

針對馬證交所詢問清盤對財務及營運上的影響時，SAAG表明一旦清盤，現有業務將受影響，並且蒙受更嚴重損失。

“清盤后公司資產將交由清盤商處理，將使公司資產負債表上的資產總值進一步減少。”[中国报财经]

（吉隆坡3日讯）系统机构（SAAG，9652，主板贸服股）因为没有足够的资金应付国内和海外审计师的费用，因而无法呈报2012财年经审计财务报告。

系统机构向马交所报备，没支付2011财年审计服务费，公司需为2011和2012财年支付90万令吉至100万令吉后，审计公司才会审计财报。

系统机构唯有在公司重组计划中，成功物色潜在投资者后，才有能力委任审计公司。

另外，系统机构仍在努力物色潜在投资者，配合改善财务的重组计划。

然而，公司目前正面对债主大马银行和Global-Pro Venture私人有限公司的清盘诉讼。

系统机构还面对多项挑战，包括财务紧缩和缺乏人力资源等，进一步阻碍寻找联营和新业务的机会。

We refer to the announcements made by SAAG on 17 October 2012, 6 November 2012, 3 December 2012, 2 January 2013,16 January 2013, 4 February 2013, 1 March 2013 and 1 April 2013.The Board of Directors of SAAG are continuing in their efforts in identifying a potential investor to support and thereafter formulate a regularisation plan to regularise its financial condition ("Regularisation Plan"). An announcement will be made once a Regularisation Plan has been finalised. The efforts are however more onerous arising from the fact that Ambank (M) Bhd and Globe-Pro Ventures Sdn. Bhd have served sealed winding up petitions which will be heard on 21 June 2013 and 26 June 2013 respectively which the Group is unable to contest. The Company has on 29 April 2013 received an unsealed copy of a Notice of Application dated 29 April 2013 and Affidavit in Support affirmed by Azman Khan bin Hakik Khan on 29 April 2013 from Teja Singh Penesar & Co, the lawyers acting for Globe-Pro Ventures Sdn. Bhd. which inter alia prays for the appointment of V. Venkatachalam A/L M. V. Venkatachalam Chettiar (Approval No 1549/09/13 (J/PH) as the Provisional Liquidator of SAAG pending the disposal of the Petition or until further order. The Group is also facing severe financial constraints and lack of manpower to continue operations/record keeping and maintaining accounting records in addition to the defaults in its dues to banks and creditors. This has further impeded the efforts of the Group to also seek joint ventures/bids and has severely affected any new business opportunities to be pursued. The existing contracts would have to be rectified for defects or acts of default due to PN17 announcements and any efforts to re-vitalise them have been extremely difficult. （吉隆坡5日訊）PN17陷困公司――SAAG綜合（SAAG，9652，主板貿服組）因無法提呈截至2013年3月31日止季度財報，而繼續停牌。

由於SAAG綜合從2012年11月30日，因此將持續停牌，直到另行通知為止。

公司發文告指出，若無法在期限截止後的6個月內提呈財報，接下來可能會面對除牌厄運。（星洲日報／財經）
