胶着状态持续 系统机构待援

（吉隆坡4日讯）系统机构（SAAG，9652，主板贸服股）胶着于暂停交易的状态，看来将持续一段长时间，除非或直到有戏剧化救援计划出现。
系统机构今年10月因无法重整财务而陷入PN17公司行列。
公司有1年的时间提交重组计划。
到了10月底时，系统机构和子公司接获大马银行（AMBank，1015，主板金融股）等银行发出的违约通知，资产也陆续被接管。
系统机构从11月30日（周五）开始暂停交易至另行通知。
《星报》引述熟悉事件发展的银行家指出，这一次暂停交易显示系统机构相当不稳定。
“要打破暂停交易局面，得视重组计划能多快速及具说服力而定。”
系统机构管理层仍未放弃救援、继续寻找“白武士”出手相救，可是至今仍未有进展。
周五或有发展《星报》联络上股东兼总执行长阿南苏巴拉玛念时，他只说：“本周五（7日）或有发展。”
系统机构今年7月曾提出债务重组计划，希望透过限制性发售1亿股新股以及每1股限制新股送1凭单予特定投资者、筹集4亿359万令吉支撑进行中的工程。
可是公司连续付不出大马银行、马来西亚进出口银行及Idaman Capital有限公司等的欠债后，重组计划被迫中止。
陷入PN17消息传开后，系统机构股价暴跌，从10月12日的5仙狂泻至暂停交易前（11月29日）的0.5仙。[Nanyang] |

SAAG子公司 獲訂單稅後價值逾1億

（吉隆坡15日訊）SAAG（SAAG，9652，主要板貿易）獨資子公司，獲得石油與天然氣機構有限公司的訂單，扣除服務稅后，訂單價值達1億690萬令吉。
SAAG在馬證交所發表文告指出，子公司Workover Rigs印度有限公司已經收到的訂單，確認租借該公司的修井機。
文告透露，該項訂單長達3年，是自2013年1月10日開始算起的270天。訂單稅后價值1億690萬令吉，包括為期3年的全年動用費。
該公司說，這對將影響公司發行繳足資本、淨資產、負債、截至2013年12月31日財年。
在未知情況下，該訂單預計會為該公司2013年第4季的盈利積極貢獻。

AAG 3週須還債9422萬

（吉隆坡16日訊）SAAG（SAAG，9652，主要板貿易）若無法償還拖欠的9422萬令吉欠款，將被判無法履行裁定債務人（judgement debtor）責任。
該公司向馬證所報備指出，公司在12月中接獲高庭指令，在指定限期內，償還拖欠大馬投銀控股高達9422萬7069令吉的債務。
文件指出，如今SAAG于本月15日再接獲大馬投銀控股通知，若在該通知書的3個星期內，仍無法債還債務，這意味著SAAG沒有履行“裁定債務人”的責任。
“裁定債務人”是指在已作出的判決中被判敗訴的人或根據任何法庭作出的命令而須繳付款項給另一方的人。[中国报财经]

（吉隆坡15日訊）不幸落入PN17公司行列的SAAG綜合（SAAG，9652，主板貿服組）表示，在和潛在投資者洽談後，公司基於債務規模龐大和現有業務具吸引力，相信明顯的業務改變不合適，因此，“自救＂可能是任何重組計劃的方案，同時可能被倒置收購。
該公司發文告表示，管理層在和潛在投資者會面後，依他們的反應和回饋發現，顯著改變業務方向以作為重組的部份計劃不合適，主要是公司的債務規模大。
此外，SAAG綜合目前業務以鑽井服務、民事和發電廠建設活動為主，將引起潛在投資者的興趣，因此，任何重組計劃，僅可能透過“自救＂方案進行。
儘管如此，該公司也已考量到“自救＂，需解決債務問題、大幅削減資本和注入新資金，因此，一旦單一投資者為公司注入新資金，可能導致該公司最終被倒置收購。
致力攫取採購合約
管理層也致力攫取採購合約，因這是吸引投資者的關鍵，以為所有股東達到全面的解決方案。

- Significant change in the business direction or policy | The Board of Directors of SAAG wishes to announce that after taking into consideration feedback and response from potential investors over meetings by the Management and after due deliberation is of the view that a significant change in business may not be appropriate as part of the regularisation exercise of SAAG in view of the size of its debts. The existing businesses primarily constituting of provision of workover rig services, civil and power plant construction activities will be of interest to potential investors and any regularisation plan would therefore be possible only through a "self rescue" scheme.
Nevertherless, the Board has also taken note that such self rescue would require creditors' settlement, substantial capital reduction and fresh injection of capital whereby should there be a single investor involved in the injection of fresh capital provisions under reverse takeover may be triggered.
The Management of SAAG is putting all efforts to procure contracts which would be crucial to attract investors subject to a comprehensive settlement proposal involving all stakeholders.
The Board at this juncture is also aware of legal action envisaged and/or being enforced which could involve the Company being wound up due to default in its debt obligations to creditors and creditor banks. The Management of SAAG will endeavour to engage such parties should there be potential by way of investors as part of the comprehensive proposal under a regularisation plan.
