很可能是 GO takeover, 母股的offer价高，warrant的offer价低。（warrant的premium今天之前 >60% ). 希望不是这情形，不然今天高档价买进凭单的，可能会亏损。

其他的解释：虽然涨幅（RM）差很多，4 - 6 ...

KUALA LUMPUR: Lembaga Tabung Haji’s (LTH) accumulation of a strategic stake in Silver Bird Group Bhd (SBG) has led to analysts speculating that the listed entity could be used as a platform for the pilgrim fund to enter the industry in a big way.

Since the beginning of this month, LTH has accumulated 22.82% stake or 53.53 million shares in the bread and confectionery maker including acquiring the entire 10.2% stake held by UK-based 3i Group plc leading to speculation that it may make a move to take over the company. It is now the biggest shareholder in the company.

However, an LTH spokesperson told The Edge Financial Daily yesterday that the pilgrim fund had no plans on such a move or to raise its stake to the level where it would make a general offer for the remaining shares in Silver Bird.

According to him, LTH was taking up a strategic stake in the bread and confectionery maker as it “found the company to be undervalued”.

“SBG’s results in 2004 and 2005 show they made profits, but its subsequent losses in 2006 and this year were due to problems with halal issues that caused the losses. We can help with that (halal issues).

“We see a huge upside to the business and (by) taking a strategic stake (in Silver Bird), we can add value to the company,” he said.

Last October, LTH chief executive officer Datuk Ismee Ismail told The Edge Financial Daily of LTH’s plan to venture into the food and beverages (F&B) business in Malaysia and globally through acquisitions to be made by mid-2007.

Ismee said: “The initial investment will be minimal but the impact would be huge and through this investment, LTH will be able to understand the entire value chain of the food business.

“We are going to acquire a company that we would call TH Global Halal or TH Global Food that denotes the sector. We are looking for one or two companies in the industry for direct investment.”

Commenting on LTH’s interest in Silver Bird, analysts said something must be brewing as it did not make sense for LTH to have such a large shareholding and remain a strategic investor.

They said it would be logical for LTH to enter the food and beverage business in a major way, especially to serve Malaysian pilgrims performing the Haj and umrah, with Silver Bird Group Bhd as the likely vehicle. LTH already owns a 3.1% stake in Nestle (Malaysia) Bhd and 5.2% in KFC Holdings (Malaysia) Bhd.

In a research note, CIMB Research said Silver Bird could be a cheap entry for LTH into the food and beverage industry. Based on last Friday’s closing price of 50 sen for the counter, LTH needs to pay only RM94 million for Silver Bird shares it does not already own.

The pilgrim fund is one of two parties that acquired substantial stakes in Silver Bird lately, with the other being fund manager Perkasa Normandy Managers Sdn Bhd that bought 9.34% or 20.1 million shares in the company.

Besides this, Perkasa Normandy’s joint-venture partner, Australian private equity company CVC Venture Managers Pty Ltd became a substantial shareholder in Silver Bird on Sept 13 with 12.81% or 30.1 million shares.

The emergence of these new substantial shareholders had led to talks of exciting times ahead for Silver Bird, analysts said.

CIMB Research said: “If LTH and Perkasa Normandy (or its client) were to start a food business, the attractions (of Silver Bird) could be the ready distribution network and manpower.

“While LTH’s plans are not known at this juncture, we do not discount these two possibilities: LTH goes into the food business in a big way using Silver Bird as a cheap entry, or both LTH and Perkasa Normandy aim for control of Silver Bird, potentially leading to a general offer,” it said.

Silver Bird’s unit Silver Bird International (SBI) has also been unprofitable since its venture into Singapore in October 2005.

CIMB Research upgraded its recommendation on Silver Bird from a sell to trading buy and raised its target price from 17 sen to 75 sen, as a result of a change in its valuation methodology from 8 times forward price over earnings to 1.5 times price over book value to factor in premium for LTH’s shareholding.

Yesterday, the counter closed 18 sen higher at 68.5 sen after hitting its 52-week high of 69 sen with 19.42 million shares traded.
