俄供應硫磺回收裝置 科恩馬獲3億合約

（吉隆坡19日訊）科恩馬（KNM，7164，主要板工業）獲頒總值逾1億美元（約3億860萬令吉）合約，在俄羅斯韃靼斯坦（Tatarstan）供應硫磺回收裝置（SRU）。

該公司向馬證交所報備指出，獨資子公司科恩馬程序系統（KNM Process Systems）本月18日獲俄羅斯上市公司TAIF發出的合約頒發書，向當地的項目提供上述裝置，為期28個月。

文告指出，計劃期限將從合約執行開始計算，預計將貢獻至截至今年、2014年及2015年底財年收入，將面對風險包括當地能源、油氣及綠色能源條例等。

TAIF是1995年8月在俄羅斯證券交易所上市，主要業務為生及投資，旗下共有67家 子公司及關聯公司，業務遍佈油氣加工、石油化工、電訊等。[中国报财经]

The SRU is estimated to be completed within 28 months from date of the execution of contract. 2. Information on KNMPS and TAIF-NK KNMPS was incorporated as a private limited company under the laws of Malaysia on 28 June 1990. Its registered address is at 15 Jalan Dagang SB 4/1, Taman Sungai Besi Indah, 43300 Seri Kembangan, Selangor Darul Ehsan. KNMPS is principally involved in the design, engineering, procurement and manufacturing of process equipment, including without limitation pressure vessels, reactors, columns and towers, drums, heat exchangers, air finned coolers, process gas waste heat boilers and specialised shell and tube heat exchangers, condensers, spheres, process tanks, mounded bullets, process skid packages and turnkey storage facilities as well as technical and project management services in relation to process equipment, plant facilities and general facilities for the oil, gas, petrochemicals, minerals processing and renewable energy industries worldwide. The Project does not alter the risk profile of KNM as KNM Group is already operating in these industries and hence would continue to be exposed to risk factors that they currently face whilst operating in the industry. Although KNM Group with its vast experience may undertake efforts to mitigate the various risks, there is no assurance that any change in the above factors will not have a material adverse effect on the business and operations of KNM and/or KNMPS. （吉隆坡26日訊）受工程進度良好和賺幅持穩帶動，科恩馬集團（KNM，7164，主板工業產品組）截至2012年12月31日止第四季和全年業績雙雙轉虧為盈，分別報淨利1千759萬1千令吉和1億3千零60萬2千令吉。

全年淨賺1.3億

第四季營業額報5億9千零24萬令吉，按年成長5.16%，全年營業額則上揚20.8%至23億7千226萬4千令吉。

該公司董事部透過文告說，集團去年業績整體改善，歸功於工程執行進度良好促進訂單兌現，其中亞洲區運作成功扭轉前期頹勢，成本和產能效率持續改善提昇業務賺幅，歐洲業務龐大訂單也持續為集團作出正面貢獻。

“董事部今年將繼續強化亞洲運作，預料有助該業務保持正面表現，歐洲業務賺幅也相信因現有合約支持下持穩，美洲業務則預計保持挑戰，整體而言，董事部對今年財務表現持謹慎樂觀看法。＂（星洲日報／財經）

科恩馬集團的最新動態是獲得一項1億美元合約，不過，這仍難以扭轉分析員對其前景憂慮，因新合約營收貢獻不大，恐難抵銷彼得波勒（Peterborough）再生能源計劃潛在延宕衝擊。

科恩馬集團獲得俄羅斯總值1億零3萬美元（約3億零860萬令吉）的硫磺復原單位（SRU）供應合約，估計對公司未來3年盈利正面貢獻。

肯納格研究表示，有關計劃是科恩馬集團2013年首項勝出合約，更是2011年杪來首項工程，相信相關設計和工程工作在第二季開始進行。

“該項工程年均1億令吉營業額料佔科恩馬2013至2014財政年營業額的4%，符合我們的合約更新預期，預見不會提振未來淨利目標。＂

相關合約入袋將提振科恩馬訂單至43億令吉，其中約50%貢獻自總值21億令吉的彼得波勒再生能源計劃。

興業研究認為，以16%至18%賺益計算，相關工程將對2013至2015財政年代來900萬至1千200萬令吉，營業額則為1億至1億3千萬令吉。

“上述工程僅佔科恩馬2013財政年營業額的3%至4%，仍不足以抵銷我們對彼得波勒工程潛在延宕可能對營運前景帶來衝擊的憂慮。＂

馬銀行研究指出，科恩馬集團股價過去一年回退44%，營運也開始出現起色，但礙於遺留問題，令該股士氣持續低落，彼得波勒工程執行將是一大催化因素，而子公司Borsig在新加坡上市將有利釋放價值，因此維持“持有＂評級不變。

knm公司很好笑一下，別家上市公司賺百萬也是有錢分給小股東，knm賺過億，卻講沒什麼賺錢，原來是開消過大，可怕的開消費用

科恩馬澳洲子公司 欠1220萬遭清盤訴訟

（吉隆坡22日訊）科恩馬（KNM，7164，主要板工業）獨資子公司科恩馬程序系統（KNM Process Systems），無法償還380萬澳元（約1220萬令吉）債務，遭澳洲上市公司Mission NewEnergy發出清盤訴訟。

Mission NewEnergy今日發佈文告指出，子公司Mission Biofuels私人有限公司已向科恩馬程序系統，發出清盤訴求；聆訊日落在7月18日。

“子公司此舉是因為科恩馬程序系統，無法償還包括利息在內，共380萬澳元的債務。”

該公司說，這筆債務是與Mission Biofuels私人有限公司在大馬第2座生化燃料（Biofuel）提煉廠的工程、採購、建築及委外（EPCC）合約有關，確認的損害賠償。

“有關的單已在過去2年，送至科恩馬程序系統，縱然Mission Biofuels私人有限公司透過律師，發出追付信（letter of demand），該公司仍未能付款。”[中国报财经]

On late evening of 19 April 2013, KNM Group Berhad's wholly-owned subsidiary, KNM Process Systems Sdn Bhd (“KNMPS”) was served with a Petition for winding-up under Section 218(1)(e) & (i) and Section 218(2)(c) of the Companies Act 1965 (the “Act”) dated 15 April 2013 by Mission Biofuels Sdn Bhd (“Mission”) purportedly in respect of works done by KNM Process Systems Sdn Bhd pursuant to an EPCC-Engineering, Procurement, Construction and Commissioning Contract (“EPCC”) dated 25 July 2007 for “The design, engineering, procurement, manufacture, supply, erection, construction, installation, completion, testing and commissioning of a continuous Acid Conditioning and Silica Pretreatment, FFA pre-treatment and Methyl Ester Transesterification Plant with biodiesel output of 750 tpd (250,000) tpa and 98% pure technical grade glycerine output of 82 tpd (27,308 tpa) along with the associated balance of plant at Kuantan Port, Malaysia"(“Project”). The said Petition is fixed for hearing on 18 July 2013. By this Petition, Mission alleges that KNMPS is allegedly indebted to them for the sum of RM12.2 million together with interest and cost being the alleged Liquidated Ascertained Damages claimed by Mission as a result of KNMPS’s purported failure to achieve Final Performance Acceptance under the EPCC. KNMPS has previously filed various proceedings against Mission, namely suit no. KLHC 22NCC-320-03/2012 for outstanding payments in excess of RM49.9 million being outstanding payments due and owing by Mission to KNMPS under the EPCC and further, the Kuala Lumpur High Court vide suit no. KLHC 24NCC(ARB)-33-08/2012 on 25 October 2012, has by a Consent Order, ordered that Mission deposit the sum of AUD4 million pending the resolution of KNMPS’s claim via arbitration as provided for under the EPCC. As previously announced on 9 November 2012, KNM has vide suit no. SAHC 28-461-11/2012, also filed a winding up petition based on the insolvency of Mission. The Shah Alam High Court had on 12 March 2013 dismissed KNMPS’s petition and KNMPS has appealed to the Court of Appeal against the decision. KNMPS therefore deems the present Petition by Mission against KNMPS as nothing but retaliatory in nature. It is also relevant to note that Mission:- (a)        did not obtain any judgment from the Court on the amount which is allegedly due and owing to them by KNMPS; nor (b)        make a demand on KNMPS as prescribed under the Section 218(2)(a) of the Act before proceeding with the filing of the said Petition. In light of the above, KNMPS’s solicitors are of the opinion that Mission’s action in filing the said Petition is not only frivolous and vexatious but is also tainted with malicious intent and a clear and blatant abuse of process. Hence, KNMPS has today, 22 April 2013 filed an Injunction to restrain Mission from proceeding further with the Petition and will also be applying to strike-out the Petition as, among other things, an abuse of process. There is no impact to the Group arising from this Petition. As advised by its solicitors, KNMPS and the KNM Group expressly reserves all rights to claim against Mission and/or its solicitors for damages arising from what KNMPS deems a malicious prosecution and read in context, a clear and blatant abuse of process. 澳商申请清盘子公司 科恩马： 不符司法程序

（吉隆坡23日讯）针对子公司被澳商申请要求清盘，科恩马（KNM，7164，主板工业产品股）喊冤指申请清盘是没有法律基础的报复性举动，也不符司法程序。

针对上述事件，科恩马今日特邀《南洋商报》出席汇报，冀厘清整个事件的来龙去脉，并重申集团立场。

科恩马企业公关主管法利兹表示，Mission生物燃油的清盘申请完全没有法律基础。

法利兹说，集团向律师咨询后得知，根据大马公司法，任何一方提出清盘申请须给予对方21天通知及回应，到期后如果相关公司没有回应或付款，才可进入申请清盘程序。

“明显地，Mission生物燃油不符司法程序，因为我们根本没收到通知。”[南洋网财经]

阻澳商清盘子公司 科恩马获禁令股价回升

（吉隆坡24日讯）科恩马（KNM，7164，主板工业产品股）获得法庭禁令，禁止澳商对子公司清盘。

此消息激励下，科恩马今日股价也追回昨日的“失地”。

科恩马今日向马交所报备，今早获得莎阿南高庭授予临时禁令（Interim Injunction）、成功阻止Mission生物燃油私人有限公司对科恩马子公司--KNM处理系统私人有限公司采取申请清盘进一步行动。

此项申请将在2013年5月9日庭审，届时法庭将决定Mission生物燃油的申请清盘是否有效，或直接撤销。

科恩马的报备文件也显示，根据马交所上市条例，因集团对KNM处理系统的持股仅约40%，故不能称“主要子公司”。

不符司法程序

受清盘事件影响，科恩马股价昨日重挫5.26%。

然而，就在科恩马立即作出澄清事件来龙去脉、及成功获得法庭禁后，股价今早展现回升之势。

截至中午休市，科恩马扬升0.5仙或1.1%，暂企于46仙，半日成交量为329万1400股。

闭市时，该股收报46仙，全日共涨0.5仙或1.1%，成交量为672万2200股。

针对子公司被澳商申请清盘，科恩马曾表示Mission生物燃油是在“没有法律基础下的报复性行动，也不符司法程序。”

Mission生物燃油指KNM处理系统未履行支付380万澳元（约1220万令吉）欠款和利息的责任。

Mission生物燃油表示，欠款源自KNM处理系统为Mission生物燃油在关丹港口承包建筑厂房工程中、未能达到工程、采购、建筑和启用（EPCC）合约的最终验收标准，因此需承担工程延误赔偿责任。

（吉隆坡1日讯）科恩马（KNM，7164，主板工业产品股）截至2012年12月31日全年净利，经过审计后出现高达37.2%误差率。

科恩马今天向马交所报备，今年2月26日公布的净利为1亿3060万2000令吉，经审计后应为8202万6000令吉，误差达4857万6000令吉。

科恩马表示，除了日常营运账目调整，公司的巴西营运，是造成误差的主要因素。

科恩马业务在今年4月份执行新策略，与当地业者联盟，提供石油、天然气和油化领域所需器械。

科恩马2008年收购巴西公司后，迄今无法录得更高营收；所以决定采取新策略。

因此，巴西业务（包括商誉、递延税款、产业、厂房和机械）的减值总额高达3617万2000令吉。

科恩马也针对未来亏损与呆账，分别拨备699万4000令吉和656万1000令吉。[南洋网财经]

The Brazil operations unit has in April 2013 executed a new business strategy and alliances with a local partner in pursuing the process equipment supplies to oil, gas and petrochemical industries. The decision was made after having evaluated that the ability of the Brazil operating unit is not expected to generate sufficient revenue on its own which is the operating model inherited since KNM Group acquired the Brazil operation entities in 2008. Accordingly, the goodwill of RM29.557 million, which was attributed to the skills and technical talent of the business acquired in 2008 has been fully impaired during the year. Where the remaining adjustments arising from KNM Brazil operations are due to impairment of deferred tax assets and property, plant & equipment and provision for contingency cost.
