（吉隆坡31日讯）莫实德重工业有限公司（BHIC，8133，工业产品组）子公司BHIC航空服务有限公司已获得政府一份总值6258万令吉合约，为3架直升机提供维修和支援服务。

它说，BHIC航空服务将为大马海事执法局（MMEA）3架多芬AS365N3型号直升机提供维修和后勤支援服务。

上述合约为期33个月，已于10月1日生效。

该集团董事经理兼执行副主席丹斯里阿末兰利表示，获颁发上述合约，反映了政府对我们在维护国家策略利益资产的能力表示有信心。

他称：“大马海事执法局在确保马来西亚广阔海洋区域的安全和可靠方面面临着各种挑战。因此，它依赖直升机和船只的良好维修，以及保持在最佳状态下履行其职责。”

海联国际与莫实得和解

（吉隆坡13日讯）海联国际（SEALINK，5145，主板工业股）宣布，和莫实得檳城造船私人有限公司（简称BPS）就2008年造船合同纠纷进行和解，后者將支付该公司一笔总值150万美元（约631万令吉）的赔偿金。不过，双方需自行支付所有法律费用。

据文告，BPS须在和解协议生效后的14天內，全数支付这笔赔偿金给海联国际。

Description	SETTLEMENT OF ARBITRATION
Introduction We refer to Paragraph A12 of the Quarterly report on consolidated results for the financial period ended 30 June 2016 of Boustead Heavy Industries Corporation Berhad (“BHIC” or “the Company”) dated 9 August 2016 (“the Quarterly report”) pertaining to the arbitration between a customer of the Group and a subsidiary of the Company. The arbitration referred to in the Quarterly report was between a  wholly-owned subsidiary of BHIC -  Boustead Penang Shipyard Sdn Bhd (“BPS”) and Sealink Sdn Bhd (“Sealink”) arising out of the shipbuilding contract dated 3 April 2008 for the construction and sale of two (2) units of 7,000 dwt oil carriers / chemical carriers, bearing hull numbers H133 and H134 (collectively, the “Vessels”). The Board of Directors wishes to announce that BPS had entered into a settlement agreement with Sealink in couterparts on 12 October 2016 and subsequently exchanged the counterparts on 13 October 2016. In accordance to the settlement, BPS proposed and Sealink had accepted a settlement sum of USD1.5 million as full and final settlement of all claims and counterclaims in this reference, on the basis that each party is to bear its own legal costs in relation to the claims and counterclaims, including but not limited to the costs incurred in the arbitration under the Kuala Lumpur Regional Centre for Arbitration (“KLRCA”) Rules 2013. BPS and Sealink have also agreed in the settlement agreement that the property in and ownership of all and any goods and materials bought or supplied by either party for the construction of the Vessels, presently located at BPS’ premises, shall if not already so vested, vest in BPS. BPS will proceed to inform the arbitrators in this reference that the dispute with Sealink has been settled and thereafter withdraw the arbitration from the KLRCA. Summary terms of the settlement Within fourteen (14) days from the execution of this Settlement Agreement, BPS shall pay USD1.5 million (free of all bank and/or remittance charges) to Sealink as full and final settlement of all claims and counterclaims in this reference. Financial effects The above settlement is not expected to have any material impact on the earnings of BHIC Group for the financial year ending 31 December 2016. 它致函大马交易所称，营业额由之前的5788万令吉上升至6430万令吉。

“来自国防相关的维修、保养和大修活动的收入，对集团整体收入作出较大贡献。”

在另一份声明中，该集团执行副主席兼董事经理丹斯里阿末兰利表示：“第3季度的表现是符合预期在具有挑战性的环境中营运，以及配合正在进行中的转型计划。”

上述计划包括提高营运效率，以及加强核心业务运作。

展望未来，他说，鉴于近期的发展，莫实德重工业对前景表示乐观，其中包括收到来自国防部颁发志期2016年10月26日的不具约束力意向书，为马来西亚皇家海军供应4艘沿海巡逻舰。

莫实得重工获1500万合约

The Writ of Summons and Statement of Claim was filed in the High Court of Malaya at Kuala Lumpur on 2 February 2017. 莫实得重工末季转盈5560万

（吉隆坡24日讯）国防保养维修活动的营收增加和营运成本降低，带动莫实得重工（BHIC,8133,主板工业产品组）截至2016年12月31日第四季转亏为盈，共取得5559万5000令吉净利，前期亏损5226万令吉。

国防保养维修活动营收增

全年净利共7669万6000令吉，前期净亏损3073万9000令吉。

第四季营业额大涨59.62%，至1亿1047万3000令吉；全年营业额增加15.76%，至3亿零751万8000令吉。

莫实得重工在文告中表示，国防相关的保养、维修和检修活动（MRO）为集团营收做出显著贡献，同时联营公司的贡献也增加。

该集团上年蒙亏是由于以外币贷款购买化学运输船的外汇亏损影响。

展望未来，联号公司莫实得海军船坞预计在2017年推出首艘战斗舰（LCS）和在2019年交付。同时该集团正持续和大马皇家海军洽谈4艘近海巡逻舰（LMS）事宜。

随着油气业回稳，该集团将继续寻求新的油气项目。

该集团展开的内部重组和转型计划，将在2017年全面发挥效应，此持续进行的内部重组将于2017年6月杪完成。

The Contract which is a collaboration between the Government of Malaysia and the Government of People’s Republic of China, was awarded to BNS under direct negotiation, for collaboration with a Partner Shipyard in China at a price of RM1.17 billion (including Goods and Services Tax), to be implemented over four (4) years effective from the date of signing of the LOA by BNS. The Littoral Mission Ships will be designed by the Partner Shipyard and the first two (2) vessels will be built and delivered in China in 2019 and 2020, whilst the remaining two (2) vessels will be built and delivered in Malaysia in 2021. （吉隆坡24日讯）莫实得重工（BHIC，8133，主板工产品组）与技术托管机构（TDA）签署合作备忘录（MOU）发展大马国家空域政策（NAP）及国家空域管理中心（NASM）。

该公司发文告指出，于2017年3月22日与TDA签署MOU，为航空／宇航领域发展NAP及国家空域管理中心。

1. INTRODUCTION The Board of BHIC is pleased to announce that on 22 March 2017, the Company entered into a Memorandum of Understanding ("MOU") with Technology Depository Agency Berhad ("TDA") on Development of Malaysian National Airspace Policy and National Airspace Management Centre for the Aviation/Aerospace Industry. BHIC and TDA are hereinafter collectively referred to as "the Parties". 2. INFORMATION ON TDA Technology Depository Agency Berhad (Company No.: 1134653-W) (“TDA”), a company limited by guarantee duly incorporated in Malaysia and an agency under the purview of the Ministry of Finance of Malaysia, is mandated to operationalise the Policy and Guidelines on Industrial Collaboration Programme in Government Procurement. 3. DETAILS OF THE MOU 3.1 Objectives The purpose of the MOU is to establish a close cooperative relationship between the Parties which will be mutually beneficial and contribute to the growth of both organisations, and economic activities for the specified industries in Malaysia. 3.2 Salient terms The salient terms of the MOU are as follows: a. Scope of collaboration The Parties will encourage and promote co-operation which include but not limited to the establishment of Malaysian National Airspace Policy (“NAP”) and Development of the National Airspace Management (“NASM”) Centre, its related infrastructure and systems, which are mutually considered to be desirable and feasible. The Parties envisage that the collaboration contemplated by this MOU will serve as a forum for collaboration between the Parties for any matter of joint interest vis-à-vis a strategic alliance, by jointly undertaking the followings:- i. Exchanging technical know-how in the matters of common interest and share information, provided that such information is not confidential in nature and benefitting the Parties in the identified but not limited to the following areas:- Development of the Malaysian National Airspace Policy; Development of the Malaysian National Airspace Management Centre and its related infrastructure and systems; Development of its Operations and Maintenance Management Centre; Value Chain Management; and Design R&D in the related focus area (Airspace); ii. The current Industrial Collaboration Programme (ICP) Framework will be applied and used in the implementation of the program (NAP)/project (NASM Centre); and iii. Exchange of information on industries, technology, companies and human resources and commercialisation opportunities of mutual interest. b. The duration of the MOU is two (2) years effective from the execution date of the MOU, unless mutually agreed otherwise by the Parties. 4. FINANCIAL EFFECTS OF THE MOU The MOU is expected not to have any material effect on the earnings of the BHIC Group for the financial year ending 31 December 2017, but will contribute positively to its future earnings. 5. 寶實得重工業 獲頒11.7億合約

寶實得重工業向馬證交所報備，子公司寶實得海軍船塢（Boustead Naval Shipyard）獲國防部頒發意向書，將打造4艘瀕海任務艦（LMS）。

該公司指出，首2艘任務艦將會在2019年和2020年于中國完成和交付，其余2艘則將在2021年于我國完成和交付。

另外，寶實得重工業與馬來西亞國防大學（UPNM）簽署諒解備忘錄，以在平等且互利的基礎上，加強、促進和發展雙方的合作夥伴關係。

Description	BOUSTEAD HEAVY INDUSTRIES CORPORATION BERHAD ("BHIC" OR "THE COMPANY")  MEMORANDUM OF UNDERSTANDING WITH THE NATIONAL DEFENCE UNIVERSITY OF MALAYSIA
1. INTRODUCTION The Board of BHIC is pleased to announce that on 23 March 2017, the Company entered into a Memorandum of Understanding ("MOU") with the National Defence University of Malaysia ("NDUM"). BHIC and NDUM are hereinafter collectively referred to as "the Parties". 2.    INFORMATION ON NDUM NDUM, an institution of higher learning established under the Universities and University Colleges Act 1971 whose address is at Kem Sungai Besi, 57000 Kuala Lumpur, is an established University which strives to enhance and strengthen its academic and research capabilities and has taken various initiatives to compliment its educational and research excellence. NDUM has entered into various collaborative arrangements with other parties to enhance its academic and research capabilities in the engineering fields. 3. DETAILS OF THE MOU 3.1 Objectives The purpose of the MOU is to strengthen, promote and develop the partnership co-operation between BHIC and NDUM on the basis of equality and mutual benefit. 3.2 Salient terms The Parties are desirous of entering into the MOU to declare their respective intentions and to establish a basis of co-operation and collaboration between the Parties in accordance with the Parties’ needs, financial capacity and/or fund(s) availability from the Government of Malaysia. The salient terms of the MOU are as follows: a. Scope of collaboration:-     i. To jointly collaborate on academic, research and development in the areas of mutual interest to the Parties;     ii. To jointly explore on training and professional development;     iii. To jointly collaborate for the purpose of engagement, lectures and students attachment, research collaboration and career exposure;     iv. To jointly collaborate to organise seminars, workshops and conferences; and/or     v. Any other areas of co-operation to be mutually agreed upon by the Parties. b. The duration of the MOU is two (2) years effective from the date of signing, unless mutually agreed otherwise by the Parties. c. Each party will bear its own costs and expenses in relation to the MOU, unless mutually decided otherwise by the Parties. 4. FINANCIAL EFFECTS OF THE MOU The MOU is expected not to have any material effect on the earnings of the BHIC Group for the financial year ending 31 December 2017, but will contribute positively to its future earnings. 5. DIRECTORS' AND MAJOR SHAREHOLDERS' INTEREST None of the Directors or major shareholders of BHIC or any persons connected to them has any interest, direct or indirect, in the MOU. 6. STATEMENT BY DIRECTORS The Board of Directors of BHIC is of the opinion that the signing of the MOU is in the best interest of the Company. 7. APPROVALS OF SHAREHOLDERS AND THE RELEVANT GOVERNMENT AUTHORITIES The MOU is not subject to the approval of the shareholders of the Company and any relevant government authorities. 莫实得重工业洽军船合约

（吉隆坡6日讯）莫实得重工业（BHIC，8133，主板工业产品股）透露，正与数个区域军事单位，洽谈军船的供应合约。

莫实得重工业董事经理丹斯里阿末兰里称，随着公司参与主要国防与安全业务，如最近的浮罗交怡国际海事与航空展后，就有数个军队与他们接洽。

阿末兰里昨日在莫实得重工业年度股东大会后，对媒体发表谈话。

他说：“海事与航空展提供平台给公司，行销产品与服务给国际用户，这符合公司的愿景以拓展区域商机。”

“公司在配送及维修军舰的过往记录良好，所以，我们正在探索新前景，以扩展我们的国际业务，以及满足区域海军的需求。”

阿末兰里表示，预计公司的业绩表现会令人鼓舞，尤其是最近新添加的订单。

政府合约提振信心

该公司获政府颁发价值11亿7000万令吉合约，为大马皇家海军建造4艘濒海任务舰。

“这使我们感到鼓舞，因为有这‘信心的一票’，并希望维持公司作为我国首要国防承包商的地位。”

他也说，莫实得重工业目前正进行策略转型计划，通过强化营运效率及取得增长，因此，该公司对维持正面势头感到乐观。

其他推动公司营业额的合约，包括建造4艘濒海任务舰的现有合约，以及潜水艇服务，并涉及大翻修的服务。【e南洋】

国防MRO贡献显著．莫实得重工首季转盈

（吉隆坡26日讯）在国防相关保养、维修和检修活动（MRO）贡献增加、战斗舰（LCS）工程进展迅速，以及简化机构架构措施奏效支撑下，莫实得重工（BHIC,8133,主板工业产品组）截至2017年3月31日第一季成功转亏为盈，录得271万3000令吉净利，前期为1904万2000令吉净亏。

首季营业额增长21.99%至7684万1000令吉，比较去年同期为6299万2000令吉。

该公司执行副主席兼董事经理丹斯里阿末兰里在文告中指出，国防MRO为集团营收做出显著贡献，同时联营公司也成功转亏为盈，归功于皇家海军LCS工程进展逊色。

“集团通过裁员来精减企业结构措施带来效益，现互惠遣散计划（MSS）已获160位雇员接受，遣散费现达1010万令吉，整个活动将使集团强化效率，以及降低员工成本，从而强化营运成本，以及改善净利表现。

展望未来，他有信心在近期接获的合约支撑下，集团可维持增长潜能，并将继续竞逐皇家警察和海事执法机构，甚至是海外市场合约。

莫实得联营遭索赔1.5亿

（吉隆坡11日讯）莫实得重工业（BHIC，8133，主板工业产品股）联营公司莫实得DCNS海军有限公司被指违反合约，遭到大马国防部索赔5320万令吉和1930万欧元（约9452万令吉）。

莫实得重工业今天向交易所报备，国防部通过致函予联营公司，认为违反了Scorpene级潜艇提供支援服务的合约条例，提出上述总值1亿4772万令吉的赔偿要求。

莫实得重工业通过独资子公司莫实得重工业防御科技私人有限公司，与法国DCNS S.A.，设立的联营公司莫实得DCNS海军公司，两者分别持有当中60%和40%股权。

该海军公司在2010年7月从政府获得合约，为大马皇家海军的Scorpene级潜艇提供服务支援服务，同时共享技术。

莫实得重工业董事部认为，该公司有足够的证据来抗辩。此索赔可能会影响今年的财务和营运表现。【e南洋】

The Company wishes to announce that on 10 July 2017, Boustead DCNS Naval Corporation Sdn Bhd ("BDNC") received a letter from the Ministry of Defence Malaysia claiming against BDNC a Liquidated Damages amounting to Ringgit Malaysia Fifty-Three Million and Two Hundred Thousand (RM53,200,000.00) and Euro Nineteen Million and Three Hundred Thousand (EUR19,300,000.00) ("the Claim") for the breach of obligations under the In-service Support for the Royal Malaysian Navy SCORPENE Submarines Contract ("ISS Contract"). BDNC is currently responding to the letter of Claim. BDNC is a joint venture company between BHIC Defence Technologies Sdn Bhd (60%) - a wholly owned subsidiary of BHIC and DCNS S.A. (40%). The ISS Contract was awarded to BDNC by the Government of Malaysia, represented by the MOD, through a Letter of Award dated 12 August 2010 and the announcement was made on 13 August 2010. The Board of BHIC is in the opinion that BDNC has adequate basis to defend and to appeal against the Claim. The Claim is expected to have a material financial and operational impact on the BHIC Group for the financial year ending 31 December 2017. This announcement is dated 11 July 2017.

李勇坚．潜艇疑云

莫实得重工（BHIC，8133，主板工业产品组）上周被大马国防部以违反潜艇服务协议为由，索赔高达1亿4753万令吉，这项不利消息导致该股应声急挫。

该公司股价在上周三曾滑落8.68%或19仙，至2令吉低点，闭市时报2令吉零7仙，全日走低5.48%或12仙。

根据莫实得重工的文告，国防部认为莫实得DCNS海军有限公司（BDNC）违反了Scorpene级潜艇提供在役支援服务的合约条款，BDNC是莫实得重工与法国DCNS公司各持60%和40%股权的联营公司。

这次的索偿，也勾起了人们的回忆，在2010年，大马第一艘潜水艇还未正式服役就面对技术问题，而被讥为无法潜水的潜水艇。

随着国防部不满BDNC的服务而要求赔款，似乎意味有关潜艇可能面对更多技术和维修问题，然而文告中并未公布太多具体详情。

国防部旗下的武装部队基金局（LTAT）直接及间接持有莫实得重工8.16%和65%股权，因此国防部在该集团有全权话语权，双方若有任何争端，应可透过内部私下协商解决，如今却搬上台面，最终可能对簿公堂，显示了这次争执不简单。

国防部一向来就像关照孩子般，给予莫实得集团各种好康，许多大型国防合约如动辄亿亿声的造军舰合约，都交给该集团负责，令其它企业眼红不已，国防部这次竟然不客气地要向该集团开罚单，实属罕见。

翻查资料，BDNC是在2010年8月获颁潜艇服务合约，总值为5亿3200万令吉和1亿9300万欧元，因此这次索偿5320万令吉及1930万欧元，相等于该合约价值的10%。

莫实得重工预期上述索偿将冲击该公司2017财政年的业绩和营运表现，这相信也是导致投资者抛售该股的原因，尽管该公司表示有充份理由捍卫和上诉。

由于莫实得重工是被有密切利益关系的大股东索偿，一般相信，转圜及和解的机会比较大。

无论如何，人们更关注的是这项潜艇服务合约到底出了什么问题，莫实得重工有必要进一步说明，这不仅关系到投资者利益，也牵涉到更广的国家安全课题。

（吉隆坡21日讯）Boustead Heavy Industries Corp Bhd（BHIC）持股51%的子公司获得政府颁布一项价值2亿1500万令吉的延长合约，为马来西亚皇家空军保养直升机，续约长达3年零8天。

这项合约是由国防部颁布予BHIC AeroServices私人有限公司（BHICAS），BHICAS是一家由Prestige Pillar（持股30%）和Airbus Helicopters Malaysia（持股19%）合组的联营公司。

BHICAS最初在2014年3月21日获颁这项保养直升机的合约，当时的合约价值为2亿2000万令吉，并于3年后约满。

该集团表示，BHICAS在今年7月19日收到国防部的一封信函，并称将从3月24日开始续约。

在获得续约后，该集团指出，原有合约和续约的金额合共4亿3500万令吉。

根据这项协议，BHIC表示，该集团将为大马皇家空军的EC725直升机维修和提供零件，这是一架可载送29名部队人员，以及两名队员的双引擎飞机，但具体取决于客户的定制需求。

这架直升机用于部队运输、伤员撤离，以及作战搜救任务。

“这项延长合约将为BHIC截至2017年12月31日止的财年盈利，带来进账。”

We refer to the announcement made on 21 March 2014 on the receipt of a Letter of Award (“LOA”) by BHIC AeroServices Sdn Bhd (“BHICAS”) from the Ministry of Defence Malaysia (“MOD”) in relation to the In-Service Support (“ISS”) Contract for the Royal Malaysian Air Force EC725 Helicopters (“the ISS Contract”). The ISS Contract was for a period of 3 years at a total contract value of RM220 million. BHICAS is a joint venture between BHIC Defence Technologies Sdn Bhd (51 percent), a wholly-owned subsidiary of BHIC, Prestige Pillar Sdn Bhd (30 percent) and Airbus Helicopters Malaysia Sdn Bhd (19 percent). The Company wishes to announce that on 20 July 2017, BHICAS received a Letter from the MOD dated 19 July 2017 for the purpose of extending the obligations in relation to the ISS Contract for another three (3) years and eight (8) days, effective from 24 March 2017 (“the Extended LOA”). The consideration under the LOA and the Extended LOA is now revised to RM435 million only. The Extended LOA will contribute positively on the earnings of BHIC Group for the financial year ending 31 December 2017 and its future earnings. 莫实得重工次季净利跌5%

（吉隆坡9日讯）业（BHIC，8133，主板工业产品股）截至6月杪次季，净利按年跌5.24%至2394万令吉，或每股9.64仙。

莫实得重工业今日向交易所报备，上财年同期赚2526万4000令吉，或每股10.17仙。

次季营业额则从去年的6974万5000令吉，按年萎缩37.24%，报4377万令吉。

半年赚2665万

累计首6个月，该公司净利报捷，按年劲升3.28倍，报2665万3000令吉或每股10.73仙；营业额则年减9.135%，录得1亿2061万1000令吉。

根据文告，旗下国防相关的维护、修理和改造（简称MRO）业务，是上半年营业额的主要贡献者。

不过，本季营业额走低，主要是因为去年同期，Belum Topside油气项目获得订单批准，进而推高了其营业额。

另一方面，由于应付账款具有利好的外汇因素，推动了联营公司的盈利走高。

尽管政府宣布削减今年的国防预算费用，该公司预计联营公司近期获得的合约，可在未来为公司贡献盈利。【e南洋】

Further to the announcement dated 16 August 2017, the Company wishes to inform that a joint venture company under the name of BHIC Systems Integration Sdn Bhd (1244255-P) (“BHICSI”) has been incorporated on 22 August 2017. The principal activity of BHICSI is to set-up, establish and run the activities relating to business of project management, contract administration, and related services for defence industry in Malaysia, especially but not limited to the Littoral Combat Ship (“LCS”) for the Royal Malaysian Navy, Combat System Equipment and Combat Management System procurement, Combat System Engineering and Combat System Integration activities. BHICSI shall be the recipient of the LCS Programme Transfer of Technology obligations to be fulfilled by Naval Group (previously known as “DCNS S.A”), France, which is the design authority for the LCS as well as the combat management system or Combat Ship Equipment Original Equipment Manufacturer, except those for manufacturing activities subject to the terms and conditions of the Joint Venture Agreement dated 16 August 2017. The current paid-up share capital of BHICSI is RM1,000,000.00, comprising of 1,000,000 ordinary shares. The Shareholders and their respective shareholding in BHICSI are as follows:- a) BHIC Defence Technologies Sdn Bhd - 51%; and b) RD Investment AG - 49%. The said incorporation would have material effect on the consolidated earnings of the BHIC Group for the financial year ending 31 December 2017. None of the Directors and Substantial Shareholders of the Company and persons connected with the Directors and Substantial Shareholders of the Company has any interest, direct or indirect, in the incorporation of BHICSI.
