Further to the Company’s First Announcement dated 26 February 2013 and the announcement made on 27 May 2013 pursuant to Paragraph 4.1(b) of PN17, the Board of Directors of PM CAP wishes to announce that the Company is still in the process of formulating a plan to regularise the Company’s financial condition. The Board of Directors of PM CAP wishes to inform that the Company has been holding discussions with external parties with a view towards restructuring and regularising the Company’s financial condition. These may include disposal of its universal broking subsidiary, PM Securities Sdn Bhd (“PMS”). Disposal of PMS, if materialised, would result in a significant change in the business direction of the Group. However, the discussions have been mainly exploratory in nature and no agreement has been reached at this point of time. The Company will continue to explore other opportunities and options to regularise the Company’s financial condition. Any further development on the Regularisation Plan will be announced in due course. The Company has approximately two (2) months to submit its Regularisation Plan to the relevant authorities for approval. This announcement is dated 2 December 2013.

（吉隆坡5日讯）PN17公司泛马资本（PMCAP，4871，主板金融股）对2月25日前呈交重组计划表示不乐观，导致股价大步滑落，一度下跌43%，写下9个月以来最大跌幅。

泛马资本周二向马交所报备，尽管已尽全力寻求机会，其中包括与潜在的白武士进行洽谈，惟却对在期限内交出重组计划一事感到不乐观。

此消息一出，该股股价周三应声走跌。泛马资本以6.5仙的全天最高水平开盘后，便一度大跌3仙，或43%，至4仙的全日低点。该股最后以5仙挂收，全天跌2仙，或28.57%。

另外，该股也面临庞大卖压，成交量激增至1894万9500股；周二交投量仅为21万股。

泛马资本是在2013年2月被列入PN17行列。当时，该公司截至2012年12月31日财年的股东权益低于缴足资本的25%，因而触及大马交易所的PN17条例。【南洋网财经】

We refer to the Company’s First Announcement dated 26 February 2013 and the announcement made on 27 May 2013 pursuant to Paragraph 4.1(b) of PN17. We also refer to the Company’s announcement made on 2 January 2014. Further to the said announcement, the Board of Directors of PM CAP wishes to inform that despite trying its best to seek opportunities and options, including discussions with potential white knight, the Company is at this point of time not optimistic of being able to submit a Regularisation Plan to the relevant authorities for approval on or before the deadline of 25 February 2014. In the event the Company fails to submit a Regularisation Plan to the relevant authorities for approval by 25 February 2014: 1) The trading of the Company's securities will be suspended on the next market day after five (5) market days from the date of notification of suspension by Bursa Securities; and 2) Bursa Securities will de-list the Company's securities subject to the Company's right to appeal against the de-listing. Notwithstanding the above, the Company will in the meantime continue to explore other opportunities and options that may be available to regularise the Company’s financial condition. Any further development on the Regularisation Plan will be announced in due course. This announcement is dated 4 February 2014.

（吉隆坡4日讯）泛马资本（PMCAP，4871，主要板金融）因无法在规定的时间內，提交该公司正规化计划，遭马交所勒令在本月16日正式在马证交所上除名。

马证交所今日发佈文告指出，泛马资本触主要板上市条例8.04(3)(a)(i)，宣布该公司证券交易將在本月14日生效暂停交易。

根据文告声明，该公司可在本月11日（上诉时期），提交该公司规划计划，一旦过了上诉时期，提交任何上诉文件將不被马交所考虑。

以非上市公司名义营运

文告还指，该公司虽被除名，但仍然能以非上市公司名义，继续营运；股东仍可通过该公司的表现获得奖励，但该股东持有的股票將不再纳入在马证交所上。

泛马资本早前因財报蒙亏，並触及主要板上市条例2.1(a)，遭列入PN17公司行列。

LISTING'S CIRCULAR NO. L/Q : 70255 OF 2014

PAN MALAYSIA CAPITAL BERHAD ("PMCAP" or "the Company") has failed to submit its regularisation plan to Bursa Malaysia Securities Berhad ("Bursa Securities") for approval within the timeframe stipulated under paragraph 8.04(3)(a)(i) of the Bursa Securities Main Market Listing Requirements ("Main LR") and the Company's application for further extension of time has been rejected by Bursa Securities.

In the circumstances and pursuant to paragraph 8.04(5) of the Main LR:-

(a) the trading in the securities of the Company will be suspended with effect from 14 April 2014; and
(b) the securities of the Company will be de-listed on 16 April 2014 unless an appeal is submitted to Bursa Securities on or before 11 April 2014 ("the Appeal Timeframe"). Any appeal submitted after the Appeal Timeframe will not be considered by Bursa Securities.

In the event the Company submits an appeal to Bursa Securities within the Appeal Timeframe, the removal of the securities of the Company from the Official List of Bursa Securities on 16 April 2014 shall be deferred pending the decision on the Company’s appeal.

With respect to the securities of the Company which are currently deposited with Bursa Malaysia Depository Sdn Bhd ("Bursa Depository"), the securities may remain deposited with Bursa Depository notwithstanding the de-listing of the securities from the Official List of Bursa Securities. It is not mandatory for the securities of a company which has been de-listed to be withdrawn from Bursa Depository.

Alternatively, shareholders of the Company who intend to hold their securities in the form of physical certificates, can withdraw these securities from their Central Depository System (CDS) accounts maintained with Bursa Depository at anytime after the securities of the Company have been de-listed from the Official List of Bursa Securities.



This can be effected by the shareholders submitting an application form for withdrawal in accordance with the procedures prescribed by Bursa Depository. These shareholders can contact any Participating Organisation of Bursa Securities and/or Bursa Securities’ General Line at 03-2034 7000 for further information on the withdrawal procedures.

Upon the de-listing of the Company, the Company will continue to exist but as an unlisted entity. The Company is still able to continue its operations and business and proceed with its corporate restructuring and its shareholders can still be rewarded by the Company’s performance. 遭勒令除牌‧泛馬資本再上訴

（吉隆坡11日訊）遭交易所勒令在下週三（16日）除牌的泛馬資本（PMCAP,4871,主板金融組），再次針對交易所決定提出上訴。

該公司發文告說，交易所在本月4日宣佈駁回泛馬資本要求延長呈交重組計劃的申請，並勒令公司在下週一（14日）暫停交易，隨即在16日除牌，惟表明公司可在11日（今日）前提出上訴。

有鑑於此，泛馬資本董事部表示，公司已經於今日向交易所提出上訴，等待交易所回應。

泛馬資本週五交投熱烈，全天寫下2千870股成交量，以5.5仙平盤收市。（星洲日報／財經）
