起诉8造须付堂费200万　商联会索地失败

（吉隆坡25日讯）高庭裁决马来西亚中华工商联合会（现称中华总商会）无法证明本身就是沙巴土地的实益业主，因此驳回商联会向商联控股、商联帝沙及另6名大股东要求18项补偿的诉讼，並諭令商联会支付总额200万令吉的堂费。

高庭法官拿督林玉兰今日宣读判词时指出，商联会无法提供文件支持本身委託商联控股或商联帝沙来管理有关的沙巴土地，並认为诉方所提出的诉讼是徒劳、琐碎以及滥用法律程序。

她说，商联会並非商联帝沙的小股东，因此没地位以小股东的身份起诉商联控股、商联帝沙以及相关公司的董事及大股东。

本案的8名答辩人分別为已故丹斯里顏清文、丹斯里林源德、张福財、杨耀才、繆进新、拿督陈法盛、商联控股有限公司以及商联帝沙种植有限公司。

林玉兰指出，商联会的委託概念在《沙巴土地法典》下並不成立，而商联会的控诉也与所提呈的文件、证据以及事实不符。

她认为，倘若商联会要捍卫本身在有关土地上的权益，就必须在当时按照沙巴土地法典申请土地冻结令。

法官指出，商联帝沙种植有限公司是上市公司，法庭不能將土地拥有权判给商联会，这对商联帝沙的股东而言是不公平的。

她也认同答辩方的陈词，即在这项课题上，社会契约並不存在，即使存在也只能被视为是道德价值，这並不符合公司法令及公司章程。

为此，她驳回诉方的索偿要求，並諭令诉方分別支付15万至50万令吉的堂费给相关的答辩人，总额达200万令吉。

法官在聆听了双方针对堂费所作出的陈词后，裁定第一答辩人获得50万令吉、第二、第五以及第六答辩人共获得45万令吉、第三及第四答辩人个別获得15万令吉、第七答辩人获得45万令吉以及第八答辩人获得30万令吉。

商联会將提出上诉

基于诉辩双方在堂费方面无法取得共识，因此法官按照诉讼天数、证人、法庭上所提及的课题以及各方为这场诉讼所付出的努力后，决定堂费。

商联会代表律师汤米汤姆斯表示將向上诉庭提出上诉，因此要求法官批准诉方暂缓支付堂费。为此，法官諭令他向法庭入稟正式的上诉申请。

商联会是由总会长丹斯里钟廷森以及署理总会长拿督林国璋代表下，于2008年10月8日入稟吉隆坡高庭，起诉已故丹斯里顏清文等8造违背商联会的信託，乖离商联会当初创办商联控股及商联帝沙的宗旨及方针，损害商联会的所有权益和公信力，以及眾多小股东的利益。

案件从2010年3月4日开审，共传召14名证人，其中顏清文于去年3月因肺炎病逝，惟因已完成供证而不影响案情。

商联会约有50人前来聆听裁决，包括钟廷森、林国璋、副总会长拿督陈维年、丹斯里陈国平、拿督陈成龙、拿督黄国忠、执行顾问丹斯里宋兆雄、总秘书拿督蔡国治、副总秘书拿督卢成全、总財政拿督戴良业、副总財政陈怀安、中央理事顏荣发、洪宝德、拿督张昌国、拿督刘瑞裕、陈凯希、蔡文洲、孔令龙、黄炎发、黄哲强以及黄位寅等。

资料档：商联控股削减资本引纷爭

商联控股于80年代由马来西亚中华工商联合会（现称中华总商会）及各州华人商会所倡办，集资时发出的股票由其商联会会员及公眾人士认购，因此其股东包括了其会员及公眾人士。

商联会通过商联会投资臂膀与乡村发展合作社于80年代展开合作，设立联营公司商联帝沙种植有限公司，以在沙巴取得土地进行种植活动。

尔后，沙巴州政府退出有关联营计划，商联帝沙完全由商联控股接管，並于2000年5月25日完成上市。

2007年9月，商联控股在股东大会中提出削减资本及回退资本的议案，而引起高度关注，陈凯希发起捍卫商联控股小股东权益运动。

商联会与商联控股之间的纠纷持续升温，商联会于2008年10月8日入稟吉隆坡高庭，起诉8造违背商联会的信託，乖离商联会当初创办商联控股以及商联帝沙的宗旨及方针，导致损害商联会的所有权益和公信力，以及眾多小股东的利益。

商联帝沙种植净利挫97%

（吉隆坡13日讯）商联帝沙种植（Unico，5019，主板种植股）2014财年首季（截至6月30日）净利大跌97%至34万8000令吉，上财年同期为1089万7000令吉，每股盈利为0.04仙。

商联帝沙种植在文告中表示，虽然鲜果串产量获得改善，但却被原棕油平均价格以及棕仁油（PK）售价走低而冲淡，导致盈利走跌。

营业额则从5227万3000令吉，走跌35%至3381万令吉。[南洋网财经]

欲脱售帝沙种植29.77%股权 商联控股派钱小股东

（士拉央21日讯）为了让久候长达33年的小股东初尝甜果，商联控股有限公司董事部已委任投资银行物色买家，以购买公司所持有的2亿5600万股商联帝沙种植（Unico，5019，主板种植股）股票或29.77%股权，脱售净所得将按股东在公司的股权比例，悉数派发给所有股东。

苦等33年逢甘露

这对于持股长达33年的小股东来说，可说是久逢甘露，因为以商联帝沙种植截至昨日（20日）闭市价格1.10令吉，每持有1000股商联控股股票，可获得分配2816令吉现金。

根据商联帝沙种植2013年年报，截至2013年6月18日，商联控股持有该公司2亿5600万股，或29.77%股权，是该公司单一最大股东。

非上市公司的商联控股是于该公司志期今年8月19日发出的2013年常年报告书，主席张国樑的致词中，初次透露该公司正寻求买家，洽购该公司于商联帝沙种植全部股权的消息。

委投资银行找买家

在该简短的声明中，张国樑透露，该公司董事部经过多番考虑和探索，已委任投资银行为上述股权寻求买家。如果脱售成功，公司将悉数把所得分发给股东。

接着于8月26日，即一个星期后，商联控股在致股东通知书中正式宣布，董事部已委任投资银行物色买家，以购买公司在商联帝沙种植的全部股权。

董事部另建议，在脱售建议完成后，把出售净所得按股东在公司的股权比例，悉数派发给所有股东。

吴亚西：让小股东取回老本

如果董事部接获值得考虑的献议，董事部将会召开股东特别大会（EGM），寻求股东批准脱售建议，及把脱售所得派发给股东。

据了解，商联控股曾于2008年建议，将所持有的商联帝沙种植股权，悉数按比例分配给小股东，每持有1000股的小股东，可获得2560股商联帝沙的股票，小股东可选择长期持有或脱售股票；后来有关建议受到前董事陈凯希的激烈反对，而最后胎死腹中。

孟加兰盂兰胜会主席，也是商联控股小股东吴亚西今日针对商联控股将商联帝沙整批脱售表示欢迎，他赞扬董事部体恤小股东的困境，他呼吁陈凯希同情小股东等待了33年的漫长时间，让小股东能在暮老之年取回老本，安享晚年而切勿再反对这项建议。

吴亚西说，人生究竟有多少个33年？他强调商联控股不应挂上民族事业的招牌，因为商联的成败根本与华社无关；反之，商联是时候针对投资的成败作出总结，因为许多小股东持有商联已长达33年，许多甚至已不在人间。

商联帝沙是商联控股的子公司，也是商联控股旗下最有商业价值的企业，此次商联委托投资银行脱售商联帝沙，势必引起争购。。[南洋网财经]

傳IOI擬購商聯帝沙30%

（吉隆坡25日訊）市場盛傳，IOI集團（IOICORP,1961,主板種植組）有意向商聯控股收購商聯帝沙（UNICO,5019,主板種植組）的30%股權，以在產業集團分拆上市後，打造更龐大的種植集團。

消息指出，按照IOI集團的佈局，預計第四季分拆IOI產業上市，並積極物色新的種植資產和作新部署。

不過，有關消息並未獲得IOI集團證實。

也有分析員對有關傳言存疑，因相信IOI集團目前料“專心”處理產業分拆上市事宜，而不會在現階段探討擴展種植業務的計劃。

聯昌研究種植股分析員受詢時說，多年前，也傳出IOI集團洽購種植資產，惟最終可能因賣主是否願意脫售和價格問題而告吹。

售價決定成果

“目前商聯帝沙大股東欲脫售有關資產的意願非常重要，而售價也將決定有關脫售洽商是否可以取得成果。”

她指出，有關售股事宜，最好通過競購方式進行。提到有關種植資產的價碼，她說，至少需不低於目前市值。

商聯：脫售所得悉數派給股東

週二，商聯控股在股東大會前夕建議脫售其30%商聯帝沙股權，然後把脫售淨所得悉數派發給股東。週三商聯控股股東已經通過這項議程。

以周芝簡特許會計師為首的商聯控股小股東，要求董事部儘快脫售商聯帝沙股票；在成功脫售後，希望商聯控股根據股權比例，把脫售淨所得悉數派發給股東。

周芝簡說，商聯控股董事主席張國樑在會上透露有關動向，雖沒有言明需多少時限完成上述行動，不過相信一年內需有交待。

他說，有關脫售股權的選項非常多，可以由屬意買家在市場購買約5%持股，再增至約30%股權而觸動全面獻購。

他指出，有關獻售行動也可與洽商聯營產業作為配套交易，這是有無限可能的；若最終可使控股公司上市，相信可符合追隨30多年廣大股東的期許，不過這需要董事部的智慧與運籌帷幄。

商聯帝沙週三跌6仙，掛1令吉24仙。IOI集團跌1仙，收5令吉39仙。

周芝簡說，若以平均每股1令吉10仙至1令吉20仙計，其市值約2億8千萬令吉至3億令吉之間。

根據2013年年報，商聯帝沙在沙巴京那峇當岸與拿篤一帶，總共擁有1萬3千660公頃油棕園，平均樹齡18年以上；其中36.72公頃受徵用作為公路用途。

周芝簡說，商聯帝沙在種植管理上，不如大集團IOI集團、吉隆坡甲洞（KLK,2445,主板種植組）等有效益和專精。（星洲日報／財經）

（吉隆坡2日讯）IOI集团（IOICorp，1961，主板种植股）宣布,以3亿9663令吉或每股1.17令吉，收购商联种植（Unico，5019，主板种植股）39.55%的股权。

此外，也將以同样价格全面收购其余60.45%的股权，並且不打算维持其上市地位。

IOI集团子公司IOI种植通过场外直接交易，向永联集团私人有限公司，永联信贷私人有限公司，永联资本私人有限公司，以及Amity企业私人有限公司，买入商联种植，3亿3900万股或39.55%的股权。总成交价是3亿9663万令吉，或相等於每股1.17令吉。

在完成这项股票收购行动之后，IOI种植在商联种植的持股將超过33%，这触动了强制性全面收购机制，因此，IOI种植必须以同样的价格，也就是每股1.17令吉，向其余所有共持有5亿1811万股商联种植股票，或相等於60.45%股权的股东，提出全面献购献议。

IOI种植週三已向商联种植董事局提交通知书。IOI集团及商联种植今日双双於3时零4分起暂停交易1个小时，以作出这项宣布，並于4时零4分恢复交易。

市场早前已经传出商联种植大股东之一--商联控股有意脱售商联种植的股票，將资金回退给股东。之后，也有报道指，IOI集团有兴趣收购商联种植的股权。

另外，通过永联集团私人有限公司，永联信贷私人有限公司及永联资本私人有限公司持有商联种植30.22%股权的张福財，週二（1日）经以要专注於本身的生意为由，辞去商联种植董事经理的职务。同时，商联种植非独立非执行董事林敬真也在同一天宣佈卸下的职务。

商联种植成立於1981年12月11日，並在2000年5月25日起在大马交易所上市。该公司是商联控股旗下的公司，主要业务为油棕种植，经营油较厂，以及分销棕油及棕仁。商联种植的园丘主要是在沙巴拿篤及京那巴登岸。

IOI集团的文告指出，商联种植截至2013年3月31日止的经审核每股净资產值为0.85令吉，而每股1.17令吉的收购价是將该公司未来的盈利潜能及与IOI集团及子公司的潜在协同效应纳入考量之后，双方同意的价格。

这价格也比商联种植至10月1日止的5天成交量加权平均价格低4.1%。商联种植今日闭市收在1.18令吉，与昨日平盘。该股今日最高曾做到1.28令吉。

商联种植將除牌

IOI集团表示，在完成收购39.55%的股权之后，该公司將展开全面收购行动。此外，该公司也强调，无意维持商联种植的上市地位。

IOI集团表示，这项收购將让公司的油棕种植地，增加1万3660公顷或7.5%，从目前的18万3207公顷，增至19万6867公顷。也让该公司拥有商联种植在沙巴种植业务的控制权，为公司现有业务带来协同效应，IOI集团目前在沙巴有9万8088公顷的棕油园。

这项收购也预计將为IOI集团未来的盈利带来正面的贡献。

李耀祖入主商联种植

(吉隆坡3日讯)商联种植(Unico，5019，主板种植股)今日宣布，拿督李耀祖即日起担任该公司的首席执行员。

在IOI集团（IOICorp，1961，主板种植股）週三宣布向商联种植两大股东收购共39.55%的股权之后，IOI集团今日已经委任代表进入商联种植董事局。        

现年47岁的李耀祖，是IOI集团的执行董事，也是丹斯里李深静的长子。

另外，商联种植的副董事经理杨耀財在脱售股权予IOI集团之后，今日也宣布卸下公司的职务。另一名董事张盛辉，则从执行董事，转任非执行董事。[东方日报财经]

独立顾问：IOI集团出价公平合理 商联帝沙股东应接受全购

（吉隆坡4日讯）独立顾问建议商联帝沙种植（UNICO，5019，主板种植股）股东，接受IOI集团（IOICORP，1961，主板种植股）的全面献购，并认为这项献购“公平和合理”。

独立顾问丰隆投资银行指出，每股1.17令吉献购价，高于商联帝沙种植每股1.13令吉的净资产价值（RNAV），而在10月2日宣布献购前12个月的多数时候，商联帝沙种植的股价都低于1.13令吉。

另外，商联帝沙种植每日平均交易量很低，而且3年平均周息率为3.49%，低于同类型公司的3.91%。

该行认为，商联帝沙种植的未来取决于油棕产量与棕油价格。对于棕油价前景，各方则有不同的看法。

“根据我们的评估，整体而言，我们认为献购是公平和合理的，我们因此建议股东接受全购献议。”

IOI集团是在10月2日宣布，以每股1.17令吉收购商联帝沙种植。

该公司表示，已经以3亿9663万令吉或每股1.17令吉，向商联帝沙种植大股东张福财相关公司，收购商联帝沙种植近40%股权。

IOI集团因而触动强制性全面收购（MGO）条例，建议同样以每股1.17令吉，收购其余5亿1811万股，或60.45%的股权。

商联帝沙种植其他大股东，包括商联控股有限公司，持有约30%股权。[南洋网财经]

商联帝沙种植董事局变动

（吉隆坡19日讯）随着IOI集团（IOICORP，1961，主板种植股）持有商联帝沙种植（UNICO，5019，主板种植股）的股权达到88%后，后者今日宣布多项董事局人事变动，拿督李耀祖被委任为执行主席，其弟李耀昇与拿督冯宏宗（译音）则分别被委任为非独立非执行董事和执行董事。

至于商联帝沙种植原任非独立非执行主席缪进新、两名非独立非执行董事拿督张盛辉和杨耀才则以要专心在其他业务投资为由，宣布离职。

李耀祖已在上月受委担任商联帝沙种植总执行长。

与此同时，商联帝沙种植也宣布2014财年第二季（截至9月30日）业绩成功转亏为盈，从206万4000令吉亏损，转为254万5000令吉净利。营业额则从4772万令吉，下跌18.15%至3906万1000令吉。

至于首半年净利则从883万3000令吉，挫跌67.2%至289万3000令吉；营业额则从9999万3000令吉，下滑27.1%至7287万7000令吉。[南洋网财经]
