聯熹（RANHILL，5030；主板建築組）接獲一家公司的法庭單方面申請，以向該公司索償432萬2771.11美元（約1383萬2867令吉）。

該公司發文告指出，該公司在徵詢律師意見後，認為該公司有機會進行抗辯，以便解除由紐約法庭發出的單方面索償申請。

該公司文告指出，該公司旗下獨資子公司─聯熹工程及建築有限公司接獲FH Bertling控股公司提出訴訟，通過紐約南部省法庭發出單方面申請，以向該公司索取432萬2771.11美元的賠償。這關係到雙方於2006年7月27日達致的一項後勤服務合約有關。

該公司董事部已採取行動，以便通過律師進行抗辦，以便解除有關的法庭單方面申請。
蘇丹工程被索償8380萬

另一方面，聯熹旗下獨資子公司─聯熹國際機構與Petroneeds服務國際公司未注冊聯營公司，接獲MAM承包及建築公司從蘇丹喀土穆北部省份法庭發出的庭令，以要求索償2619萬230.50美元（約8380萬8736令吉）。

該公司在另一項文告指出，聯熹國際機構在上述未注冊聯營公司持有55%股權，其餘45%由Petroneeds服務國際公司持有。

MAM承包及建築公司為未注冊聯營公司的美路盤地油發展計劃的上游土木工程的二手承包商。
上述聯營公司管理層認為MAM承包及建築公司的索償是沒有基礎的，並在重新衡量它提供的工作面積，反而認為該公司已經多付款項予後者，所以該聯營公司打算進行反訴訟，以便向後者索回841萬6569.28美元（約2693萬3000令吉）。

刚查阅财报，发现Disposal of EEJW，造成Ranhill亏损34mil。其他的Profit还算是跟前季一样。Ranhill长痛不如短痛，索性卖掉亏损的业务。以下是财报的一部分：


REVIEW OF PERFORMANCE   

The Group registered a turnover of RM429.4m and a loss after tax of RM31.7m for the quarter under review.

Because of the substantial increases in the cost of exploration in the oil and gas sector and the resultant effects on the future cash flow of the Group, Ranhill has determined to rationalize its presence in this sector by:

(a)        Selling its interests in EEJW, a small gas producer in Java acquired in 2004 at loss of RM34m.
(b)        Farming out of Ranhill interests in the remaining Indonesian assets with no gain or loss expected.
(c)        Farming out of Ranhill interests in the remaining Philippines assets with no gain or loss expected.


看来开采石油与天然气的行业是一门有风险的业务，需要大量资钱，人力来投资。

Announcement Details :

We refer to the announcement dated 6 June 2008 in relation to the Offer.

We wish to clarify that the following sections of the Notice should actually be read as follows:-

Section 1

“LOSB Cayman Ltd (“LOSB Cayman”) and Ranhill Berhad (“RB”) (collectively to be referred to hereinafter as the “Joint Offerors”) intend to implement a take-over offer (“Offer”) on Ranhill Utilities Berhad (“RUB”). LOSB Cayman Ltd is a wholly-owned subsidiary of Lambang Optima Sdn Bhd (“LOSB”), which owns a 0.39% stake in RUB. RB also presently already holds a 70.00% stake in RUB. The entire Offer will be financed solely by LOSB Cayman.”

As such, all references made to the “Ultimate Offeror” shall be deleted from the Notice.

“The persons deemed to be acting in concert with the Joint Offerors are as follows:-

Ahmad Zahdi bin Jamil, a Director of RUB, LOSB Cayman and LOSB, and a substantial shareholder of LOSB.”

Section 4.1

“LOSB Cayman was incorporated in the Cayman Islands on 4 June 2008 under the Companies Law (2004) Revision as an Exempted Company with limited liability. It was incorporated as a special purpose vehicle. It is a wholly-owned subsidiary of LOSB.

It has an authorised share capital of USD50,000 comprising 50,000 ordinary shares of USD1.00 each, of which one (1) ordinary share of USD1.00 each has been issued and fully paid-up.”

Section 5.2

“However, the Offer is conditional upon the approvals being obtained from the following:-
(a) the Equity Compliance Unit of the SC (“ECU”) approving under the Foreign Investment Committee’s Guideline on the Acquisition of Interests, Mergers and Take-Overs by Local and Foreign Interests;

(b) the shareholders of RB at an extraordinary general meeting to be convened; and

(c) any other relevant parties, if required.”

Section 7

“The total cash consideration payable for the Offer, assuming that all Holders of the Offer Shares as at 30 May 2008 accept the Offer, is RM305,115,615 for 87,175,890 Offer Shares.”

Contents : We refer to the announcement dated 6 June 2008 in relation to the Notice from OSK Investment Bank Berhad, on behalf of LOSB Cayman Ltd. and Ranhill Berhad (collectively referred to as the "Joint Offerors") to acquire the remaining 87,175,890 ordinary shares 0f RM1.00 each in RUB ("RUB Shares"), representing approximately 29.60% of the issued and paid-up share capital of RUB as at 30 May 2008 ("Offer Shares") not held by the Joint Offerors and persons acting in concert with them ("PAC"), at a cash consideration of RM3.50 per Offer Share ("Offer Price").
