不然就等拿到Empresa的控制权后，再要求股东加钱，慢慢夹死这30％股份的小股东呀(我很坏吧  )。

能想到这idea，我真觉得自己很厉害一下。。。

CBIP被掏空的速度真是越来越快。就算你不认为这些收购活动是掏空公司的行为，你也应该会觉得收购活动来的太快太多了吧？？我个人觉得收购活动完成之后，CBIP的股价就会下跌了。其实CBIP的股价的上涨可能是为不久之后的附加股，private placement或loan stock而铺路。。。

我有个想法：
Luas Gaya是一间很新的公司，才于05/10/2007创立，只是间两块钱的公司，主要大股东和董事是Nor Izam Faizal Bin Ahmad Dahlan和Zaidel Bin Yacob。

我觉得Luas Gaya是为了卖Empresa的30％股份给CBIP而特地开的公司。为何这么做呢？很可能之前的小股东Oricon Sdn Bhd跟CBIP的老板有利害关系，所以要掩饰。

PS：Sachiew Plantations Sdn Bhd, a wholly-owned subsidiary of CBIP, has been appointed as the managing agent of Empresa’s oil palm plantation since 1 November 2005.

KUALA LUMPUR: CB Industrial Product Holding Bhd (CBIP) has proposed to acquire the remaining of the 30% stake in Empresa (M) Sdn Bhd from Luas Gaya Sdn Bhd for RM21mil cash.

Last week, CBIP had proposed to acquire 70% stake in Empresa (M) Sdn Bhd for RM35.436mil from Ann Joo Steel Bhd and three other individuals.

我觉得CBIP短期内还会升，希望你不会后悔哦。。。

看看过往的纪录就可以知道这间公司老板的诚信。
当然，我不是说在未来这位老板不可能成为另一个杨天才。我是说，以以前的表现来判断这位老板是不是真的要带小股东去荷兰。

最近种种的商业举动，牵涉的数额的确是很大，如生意兄指出的。
可是，如果你是那位老板，看到有潜能的相关行业，又对该行业了解的不错， 你会走这步棋吗？
要记得，当初用了超过20年的时间才有CBIP如今的规模；这位老板如今还需要冒险，可能是更大的风险呢？

PS:
以前我看到的是CBIP的专利权。通常，在我国这种玩意不流行，而CBIP却去申请来保护自己，我觉得有远见，所以就不断有注意CBIP的新闻。

CBIP在19/11/2007的文告放上一张地图，很有趣。。。

牵涉的数额差不多达RM180 million，如此仓促，另人担心,好象是要赶在同一个EGM批准似的, 管理层不应该出来解释解释吗？
CBIP的equity只有RM169.46 million而已咯。。。

transmile在市场几十年，赚过不少大钱，股票有大起大落过，终于被糖王看上，还进了composit index，前景一篇光明。这么多年来，gan都为公司尽心尽力。

结果是：。。。。。。。。。。。。。。。。。。。。。。。。。。

要收购有收购的方法，真正为公司着想的管理层很容易看出来的。没有诚信的人收购的方法当然就会有不同。

CBIP早两年买进这些油棕园我就说她聪明。。。而且听说棕油价钱现在处于顶峰，接下来的结果只有一个，就是下跌。几时下跌我不知道，不过我想到时CBIP应该还没回本。。。整天说生物柴油的生产将促进棕油的需求，可是棕油在这个价钱，生物柴油根本没有盈利，也不会大量生产，那大量需求又从哪里来呢？没人看到这问题的存在吗？

No plans for palm oil fuel

KUCHING: The state government has no immediate plans to venture into the production of biofuel using crude palm oil (CPO).

Land Development Minister Datuk Dr James Masing said the current high price of CPO made it untenable for it to be used in producing biofuel.

"Therefore I do not think it is wise to use CPO for biofuel at the moment," he said to a supplementary question from Chiew Chiu Sing (DAP-Kidurong) at the Sarawak State Assembly on Tuesday.

Earlier, he told Awang Bemee Awang Ali Basah (BN-Nangka) that up to October this year the federal government had issued 91 licences for the production of biodiesel in the country.

"Out of the total, five are in Sarawak with a combined capacity of 520,500 tonnes a year. All of these are still at the planning stage," he said.

He added that the state had earned some RM1.31bil from the export of oil palm products and about RM65mil from sales tax on CPO and crude palm kernel oil (CPKO) in the first six months of this year.

KUALA LUMPUR: CB Industrial Product Holding Bhd (CBIP) is acquiring an additional 30% stake in Empresa (M) Sdn Bhd for RM21 million cash as it expands upstream in the palm oil industry.

CBIP said yesterday it had signed an agreement with Luas Gaya Sdn Bhd to acquire the stake, raising its total shareholding in Empresa to 100%.

The RM21-million acquisition would be from its own funds and borrowings, it said. Empresa owns a 5,936ha oil palm estate, of which 4,946.8ha is already planted.

Last week, CBIP announced it was acquiring 70% stake in Empresa from Ann Joo Steel Bhd and the Toh family for RM35 million.

CBIP said yesterday the acquisition would provide the CBIP group with further sustainable long term earnings and enable the group to mitigate the risks and cyclical nature of the palm oil mill equipment industry.

"The board envisages several potential areas of benefits to the CBIP group for its cultivation of oil palm segment of business such as synergies resulting from sharing of common resources, economies of scale and improvement to the supply chain," it said.

我肯定CBIP在14/11/2007宣布收购Empresa的70%股份时就已经在计划收购其余30％的股份。CBIP有讲出来吗？没有。

买Empresa的70%股份时的价钱是每股RM3.37；
5天后买其余的30%股份时的价钱是每股RM4.67！

这是老板诚信的表现？
