李文龙.森那美的瘦身行动

森那美(SIME,4197,主板贸服组)过去力图瘦身改善体质,不但没有为投资者带来激励,反而多在场外观望或甚至卖股退场,静待马股这个财团巨无霸,能否就此华丽转身。

森那美业务遍布全球各地、偏偏如今全球经济情况飘摇不定,特别是在2008年全球经济危机后,复苏期已达8年之久,市场普遍担心若是下跌周期重来,料对森那美造成冲击。企业大财团如森那美者,未雨绸缪积极瘦身改善体质,实是无可厚非,也是明智之举。

这里的问题关键,投资者关注森那美庞大企业身驱,要进行瘦身及重组业务架构,特别是涉及巨额资金,实非短期内可落实或可视其成败。所以任何动静与新进展,都牵动投资者神经。

就拿最近发展为例,森那美近年来的一些企业动作已浮现一些效果,使业绩表现超越市场预测,不过,在投资者尚未做出反应的同时,森那美的私下配售新股筹钱计划,马上使投资者不进反退,使森那美面对股价不起反跌的窘境。

森那美推行私下配售5%股权的筹资计划,预料可筹得23亿7580万令吉的资金,其中一半用来偿还债务,另外9亿5000万令吉作为旗下公司的资本开销用途,这些动作效果,需要一段时日才可浮现。

不过,投资者眼前所看到,却是股权及盈利被冲稀,可说是不见其利、先见其弊。一些分析员老实不客气地下调森那美的股价目标,持续建议沽售其股票,使其股价欲振乏力。

近年来,森那美动作频频,忙着脱售旗下的一些资产,特别是一些非核心业务筹钱还债之余,也进行去芜存菁行动,为主要核心业务注入新资金,以期在恶劣环境竞争甚至求存,这些动作似乎没有受到市场或投资者完全认同。

市场最为担心中国及澳洲经济走低,料将冲击森那美的盈利表现。同时,在目前全球经济前景不明朗之际,森那美的全球性业务,将充斥海外扩展风险。

森那美的减债及汱弱留强的瘦身计划,能否扭转劣势,重新获得投资者的青睐,在很大程度上需胥视全球经济的变化与兴衰而定。好比这艘遇过无数风浪的巨轮,能否再度冲出大海涌现的任何巨浪,实是市场拭目以待的关键!

产量缩减 库存趋降 棕油价格料将挺稳

(吉隆坡23日讯)艾尔尼诺现象为东南亚带来炎热与干旱现象,严重打压我国及领国印尼首要种植者的油棕产量。

根据彭博社,森那美有限公司(SIME,4197,贸易服务组)日前表示,艾尔尼诺现象对于油棕产量的打击,造成棕油库存大幅趋降,因此直至明年3月为止,原棕油价格预料将保持挺稳。

据了解,倘若仅依据种植土地面积来看,森那美可谓是全球最大油棕种植者。该公司董事经理弗兰基安托尼指出,摆脱超级艾尔尼诺现象的影响后,油棕产量正逐渐复苏,料将在今年末季出现改善。

他表示,森那美所持面积高达4万公顷的种植园地,预计可在今年至2017年之间开始收割。同时,他也补充,“截至今年秒,棕油价格料将在2600至2700令吉之间交易。”

不过,弗兰基也表示,基于艾尔尼诺现象的持续影响,森那美的原棕油产量或会在2017年期间下跌约10%。据闻,该公司介于2015至2016年的棕油产量约为960万吨。

推介负责任农业宪章

原棕油生产商森那美种植私人有限公司(Sime Darby PlantationSdn Bhd)推介一项负责任农业宪章(Responsible Agriculture Charter,简称RAC),旨在透过负责任兼持续性农业发展,进一步改善农业规范。

根据该宪章,森那美种植拟实现其愿望及承诺,持续改善及应对围绕着“不砍伐森林、不开发泥炭地及不剥削”政策所带来的挑战。

缓解贫困改善生计

该公司总裁兼集团首席执行员丹斯里莫哈末巴克表示,该公司目前正积极寻求进一步的发展,因此对森那美而言,上述宪章不仅代表了全新起点,同时也是公司落实持续性发展过程中非常重要的关口。同时,该公司相信负责任农业规范将扮演决定性角色,除了确保食品安全需求达标之外,同时有助于持续性缓解农村贫困问题,以及利于改善生计。

负责任农业宪章将适用于森那美种植旗下的所有油棕业务,并且将即刻生效。该公司也计划从今起至2020为止,将其涵盖范围分阶段扩展至第3方油棕供应商以及其它农业供应网络。

当然,森那美种植也表示,该公司将定时检讨该宪章,以进一步界定其范围,纳入全新课题,甚至是扩大其志向。

欲加入棕油创新组织

另一方面,莫哈末巴克也表明了森那美种植欲加入棕油创新组织( Palm Oil Innovation Group)的意愿。该组织成员包括带有渐进式思维的棕油企业及非政府组织,致力于推动当前可持续棕油圆桌会议(Roundtable on Sustainable Palm Oil,简称RSPO)准则的界限。【光华日报财经】

(吉隆坡27日讯)森那美(SIME,4197,主板贸服股)宣布,降低脱售东家(E&O,3417,主板产业股)的献售价,从总值3.422亿令吉,降至3.233亿令吉。

凭单售价维持30仙

森那美向马交所发出文告,买卖双方已于今日同意修订脱售价格,由3.422亿令吉或每股2.60令吉,下调至3.233亿令吉或每股2.45令吉,凭单售价则维持在每凭单30仙。

文告表示,公司是基于业务环境充满挑战而进行有关调整,尽管如此,双方皆热衷于完成该交易。

森那美是于今年6月3日,宣布脱售东家的1亿2590万股和4880万张凭单,给东家大股东兼董事经理拿督斯里谭家汉掌控的Paramount Spring私人有限公司。

有关宗交易是公司套现资产的一部分,脱售所得将作为营运资本。 【e南洋】

森那美股价一直跌.业务还行吗?

烦恼者问:
森那美(SIME,4197,主板贸服组)最新的盈利不错,但股价却一直跌,我想是因为私下配售的关系,但各项业务的盈利前景还行吗?

答:森那美2016财政年核心净利虽下跌18.7%,但仍符合甚至高于市场预期,分析员直言,其营运恶化程度并没有原先预估般严重,更看好未来营运可望进一步改善。

艾芬黄氏研究指出,森那美全年业绩高于预期,除产业业务外,所有核心业务都录得更高营收和盈利,促使全年核心盈利报17亿8610万令吉,高于该行预测的14亿5800万令吉。

虽然营运上的挑战仍在,管理层却预见一些亮点,包括煤炭价有所复苏、棕油价走稳和工业业务过去4季盈利都取得增长等。

马银行研究表示,有迹象显示森那美的汽车和工业部门盈利已经见底,加上厄尔尼诺(El-Nino)对鲜果串产出的影响趋向暂时性,产量可望在2017财政年复苏,更高棕油价也强化了种植臂膀复苏潜力。

该行预测森那美将在2017财政年取得15%税前盈利增长,但净利可能按年下跌5%,原因是印尼特别税务奖掖不再。

联昌研究预计森那美可在2017财政年取得更强劲业绩,原因是棕油价走高和英国巴特西计划带来贡献,该公司也透露计划释放土地价值和找寻成长机会。

有鉴于此,联昌上调森那美2017和2018年财测4至5%。

至于森那美建议私下配售5%股权,分析员多认为是预料之外的发展,并认为发股集资虽有助降低负债比,每股盈利却将被侵蚀,侵蚀幅度料介于2至5%不等。

MIDF研究认为,森那美的净负债比将在发股后下降至0.31倍,但2017年每股盈利可能被侵蚀约2%。

肯纳格研究则直言对私下配售持相对负面的意见,原因是还债所省下的利息开销,并不足以抵销每股盈利稀释幅度。

分析员给予中和或卖出的评级,目标价介于7令吉15仙至8令吉20仙之间。

森那美2.5亿减持新加坡资产

(吉隆坡29日讯)森那美(SIME,4197,主板贸服组)以 8255万新元(合2亿4922万9181令吉)总代价,减持新加坡 资产。

该公司在文告中说,间接独资子公司新加坡森那美 产业(SDPSL)脱售所有森那美(亚历山德拉)公司股权予 Aster投资控股。

由于新加坡森那美产业间接拥有Aster的25%股权, 因此在上述交易完成后,森那美(亚历山德拉)公司将成 为森那美的联号公司。

森那美(亚历山德拉)公司主要涉足产业投资和管理 业务。

私下配售获股东放行 森那美不排除发附加股

(吉隆坡30日讯)森那美(SIME,4197,主板贸服股)私下配售5%股权的建议,在今天获得99%的股东投票通过;同时,该集团不排除在未来发售附加股。

森那美今日召开股东特大,寻求股东通过私下配售不超过3亿1635万3626股新股,或相等于总股本5%的议案。该批新股是私下配售给土著信託基金(Amanah Saham Bumiputera)和雇员公积金局(EPF)。

目前,土著信託基金和公积金局,分別持有森那美的42.15%和11.84%股权。

以上配售所筹得的资金,將用作偿还银行债务(50.51%)、充当旗下业务的资本支出(40%)和流动资金(8.9%),以及支付私下配售股份开销(0.59%)。

若以每股参阅发售价7.51令吉计算,森那美將从是次的私下配售活动集资23亿7580万令吉。

森那美首席执行员丹斯里巴克沙烈在股东特大后,向记者表示,目前还没有確实的定价日期和发行价格,但对于发售价已设定一个底线。

「对于新股的分配比例,我们还无法透露更多,但我们不会在低于特定的价格下,配售新股。而且,我们不排除將来会配售附加股。」

忧股价下跌

他还补充,股东对于这次的特大议程都很满意。

不过,有小股东过后向《东方財经》披露,股东特大的情况並未像巴克沙烈说的那么平静。

他透露,部份小股东担心股价隨后会一路下跌,届时,小股东的权益將会受到局部影响。

巴克沙烈在会上回应说,这次的私下配售计划相对来说,將会节省更多的时间和开销,而且还能以更合理的股价,筹得更多的资金。

该集团將集资所得用来偿还债务后,有助于减少利息开销,並將总资產负债率降低至0.38倍,这有助于提升股东的利益。该项私下配售活动预计最快將在今年杪前完成。

棕油价2500以上利好

另一方面,对于森那美的种植业务,巴克沙烈指出,原棕油价格处在每公吨2500令吉以上的水平,对该公司最有利,因为该公司的成本大致上处在每公吨1500令吉。

当股东询问最近的业绩表现时,巴克沙烈解释道,「因为经济低靡,而我们的业务性质容易受外在因素影响,例如原棕油价格的走势和匯率。」

巴克沙烈还说,正计划在吉隆坡第2国际机场(KLIA2)附近开发一片土地,但並未披露更多详情。【东方网财经】

森那美倒购最善产托失败

(吉隆坡4日讯)森那美(SIME,4197,主板贸服股)董事部指出,无法在倒置收购新加坡最善房地产信托(Saizen Reit)的框架协议期限届满前签署最终合约,因此这项协议正式失效。

不过,森那美旗下新加坡森那美产业和澳洲Hastings Deering(HDAL),目前仍与日本住宅资产管理人(JRAM)仍在洽谈当中。

森那美产业续洽谈

“如果能解决剩下的课题,森那美产业与HDAL将签署最终合约。”

根据双方在8月15日的协议,HDAL将会脱售位于澳洲的特定工业产业给最善产托,并回租相关产业。

而新加坡森那美产业或是受委公司,将会获得最善产托的新单位,作为倒置收购该产托的一部分活动。

完成收购交易后,新加坡森那美产业将持有最善产托超过30%股权,并能通过申请,豁免向最善产托的股东提出全面收购献议。【e南洋】

最新进展:

森那美(SIME,4197,主板贸服股)以8255万新元(约2亿4922万918令吉),脱售间接独资子公司森那美产业(Alexandra)私人有限公司,给Aster投资控股私人有限公司。

该公司向马交所报备,产业臂膀森那美产业的独资子公司新加坡森那美产业,于上月29日(周四)进行了上述交易。 根据文告,这是森那美在新加坡的第三个套现资产活动,对公司截至6月杪的2017财年表现,不会构成任何影响。

行家建议:

对于脱售计划,我们不感到讶异,因为森那美早前已做宣布,第三个套现资产活动将在2017财年完成。

据悉,Alexandra在新加坡的亚历山大路,拥有一座商用建筑物。

另一方面,森那美早前宣布,以较低的价格,脱售东家(E&O,3417,主板产业股)的股权予Paramount Spring私人有限公司,售价从总值3.422亿令吉,降至3.233亿令吉。

我们估计,降低售价将把脱售盈利从之前预测的4700万令吉,减少至2800万令吉。

在脱售股权后,森那美目前持有东家12%股权。

综合所有因素,我们维持“守住”的投资评级,7.56令吉的目标价也保持不变。

森那美配售新股獲超額認購

(吉隆坡5日訊)森那美(SIME,4197,主要板貿服)今日正式配售23億6000萬令吉的新股,並獲得超過62億令吉的認購申請。

年內最大股票交易

森那美共發售3億1635萬股新股,或是大馬股市迄今最大宗的股票交易。配售計劃的發售價介于7.40令吉至7.45令吉,相當于該股7.61令吉閉市價的折價2.1%至2.8%,或 5日加權平均股價(VWAP)7.67令吉折價3%。

根據森那美發布的文告,是項計劃已獲得來自機構投資者,超過62億令吉的認購申請;料集資23億6000萬令吉。

森那美總裁兼集團總執行長丹斯里莫哈末巴基稱:“這將降低負債股權比率(debt-to-equity ratio)約38%。”

森那美指出,配售計劃的集資所得將用于償還部分貸款、充作資本開銷和營運開銷,及支付配售活動經費。

同時,“路透社”旗下金融雜誌《IFR》報導,這將是繼新加坡的星獅物流(Fraser Logistics)以首發股籌資6億6500萬美元(約27億5167萬令吉)后,東南亞于年內第2大的股市交易。【中国报财经】

On behalf of the Board, Maybank IB wishes to announce that the book-building exercise in relation to the Placement has been completed attracting demand from both local and foreign institutional investors.  

The total number of Placement Shares to be issued pursuant to the book-building exercise is 316,353,600 Placement Shares, representing 5% of Sime Darby’s issued and paid-up share capital as at 4 October 2016.

The issue price for the Placement Shares has been fixed at RM7.45 per Placement Share (“Issue Price”), representing a discount of 3.0% to the VWAP of Sime Darby Shares for the five (5) market days up to and including 4 October 2016 of RM7.6796. Accordingly, the gross proceeds to be raised from the Placement is approximately RM2,356.8 million.

森那美I&P集团交换资产

(吉隆坡6日讯)森那美(SIME,4197,主板贸服股)与I&P集团交换资产,涉及共5亿3550万令吉的两项买卖交易。

在该项交易下,集团旗下森那美产业的子公司Glengowrie Rubber公司以总值4亿2880万令吉,脱售两块位于士毛月(Semenyih)占地大约805英亩的地皮给I&P集团子公司Petaling Garden私人有限公司。

同时,森那美独资子公司森那美种植有限公司,则以1亿670万令吉收购位于柔佛,两块占地近769公顷的种植地,以及一间棕油厂。

森那美在文告中指,这是集团自2007年以来首次扩展大马种植地,而I&P集团将获得士毛月庞大的地皮。

这意味着森那美产业将可释放士毛月地皮,以融资策略产业发展项目。

森那美总裁兼集团总执行长丹斯里巴基沙烈表示:“这是一项对双方有意义的交易。我们能够满足彼此的需求,符合我们的增长计划。”

他说,种植部分将购买已开发资产,这将会立即对净利带来贡献。

与I&P交换5.3亿资产
森那美释放价值受看好

(吉隆坡7日讯)森那美(SIME,4197,主板贸服股)将与I&P集团交换总值达5亿3550万令吉的资产,分析员看法普遍向好,因为森那美持续释放资产价值套现。

森那美昨日宣布,旗下子公司Glengowrie Rubber公司以总值4亿2880万令吉,脱售两块位于士毛月共805英亩地皮,给I&P集团子公司Petaling Garden私人有限公司。

同时,独资子公司森那美种植有限公司,则以1亿670万令吉收购位于柔佛,两块占地近769公顷的种植地,及一座棕油厂。

针对上述交易,分析员多持中和至正面看法。

土地交易价合理

丰隆投行研究认为,士毛月的土地交易价格合理,因为每平方尺12令吉的售价,符合独立估价介于每平方尺11.85至11.97令吉的估价,且符合森那美释放资产价值策略。

至于种植地,该行分析员指出,尽管每公顷10万1000令吉的收购价,高过独立估价师每公顷8万5000至9万6000令吉的股价,但溢价合理,因为该种植地非常靠近森那美在柔佛州现有的种植地。

分析员说,因为靠近,所以有协同潜能,可共用园丘和研磨厂的管理层,进而节省成本。

MIDF投资研究分析员也乐观看待该项交易,因为所脱售的士毛月土地,不是森那美产业臂膀的发展焦点。

且该行预期长期内的原棕油价格走势良好,所以也看好种植地的交易。

虽然艾芬黄氏投行维持森那美“卖出”评级,但该行分析员认为,森那美完成配售股票、脱售更多资产和保留盈利,可降低公司债务水平,达到债务对股权比0.3倍的目标。



房产汽车业务拖累

丰隆投行研究补充,虽对森那美资产价值释放和煤炭价格恢复感到乐观,但该公司的表现,将被产业和汽车需求疲弱因素所抵销,所以维持“守住”,目标价7.70令吉。

肯纳格投行分析员也持同样意见,尽管短期内,获原棕油价格支撑,但本地疲弱情绪,料持续压抑该公司在国内的产业和汽车业务表现。

达证券分析员还说,虽然脱售士毛月的土地,森那美料获得2亿9570万令吉的收益,但不会派发特别股息。

因为该公司管理层已透露,将把脱售资金用在产业臂膀,未来2年内的策略发展计划。【e南洋】

获11.2亿令吉澳洲资产
森那美倒置收购最善产托

(吉隆坡10日讯)森那美(SIME,4197,主板贸服股)旗下独资子公司森那美东方投资私人有限公司(SDEIPL)和新加坡森那美产业,与日本住宅资产管理人(JRAM)就新加坡最善房地产信托(Saizen Reit)倒置收购计划达成协议。

森那美今日向马交所报备,SDEIPL独资子公司澳洲Hastings Deering(HDAL)和Austchrome Pty Ltd,将脱售澳洲20个工业产业单位,给新加坡最善房地产信托,总值达3亿5580万澳元(约11.2亿令吉)。

根据文告,该些产业将租给HDAL的独资子公司Hastings Deering 产业服务Pty. Ltd.,同时,森那美东方投资将担保Hastings Deering产业服务的表现,森那美工业控股私人有限公司也将给予支持信。

该租约平均期限为16.7年。

针对倒置收购计划,新加坡森那美产业将以每股0.03604新元(约0.11令吉),认购新加坡最善房地产信托的单位。

完成了配售活动后,新加坡森那美产业将持有新加坡最善房地产信托至少25%股权。同时,也将收购新加坡最善房地产信托管理人JRAM的80%股权。

本月初,森那美董事部指出,无法在倒置收购新加坡最善房地产信托的框架协议期限届满前,签署最终合约,因此这项协议正式失效。

不过,森那美旗下新加坡森那美产业和澳洲Hastings Deering,仍与日本住宅资产管理人继续洽谈。若能解决剩下课题,森那美产业与HDAL将签署最终合约。 【e南洋】

惠誉上修森那美评级

(雅加达11日讯)国际评级机构惠誉(Fitch)宣布,将森那美(SIME,4197,主板贸服股)的展望,从“负面”上修为“稳定”。

同时,该机构也重申,森那美的长期外币和本地货币发行人违约评级(IDR)、高级无担保评级(senior unsecured rating),以及回教债券评级为“BBB+”。

随着森那美宣布成功配售公司股票,所筹得的资金将会降低公司的负债率,惠誉因而上修该公司的展望。

此外,今年原棕油价格恢复后,公司主要业务油棕种植的前景也显著改善。

该机构认为,种植业务的高现金流,也支撑森那美的减债行动。

上周,森那美通过配售股票活动,发售3亿1635万股新股,并筹得24亿令吉,新股占扩大资本后的4.7%。

惠誉预测,股票配售会降低截至2017财年6月杪经调整的债务和营运现金流负债率(FFO-adjusted net leverage)至3倍,相比2016财年未审计财报时的4倍。

该公司预计所筹得的款项,用来偿还债务,剩余则会充作资本开销(CAPEX)和营运资本。

在配售活动后,国民投资机构(PNB)仍然是森那美的最大股东,持有近53%股权。

40%派息率料不变

惠誉也预料,配售活动不会改变公司将40%净利用来派息的政策。

由于原棕油库存减少,加上需求未定,原棕油价从今年1月的每公吨565美元(2358令吉),上涨30%至8月的每公吨736美元(3072令吉)。

惠誉预测,原棕油价会维持在现有水平或进一步上升,这将改善森那美2017至2018财年的营运利息、税务、折旧与摊销前盈利(EBITDA)赚幅,达至11.5%(2016财年为10.8%)。

森那美赚幅改善,将使2018财年的负债率低于3倍。【e南洋】

On behalf of the Board of Directors of Sime Darby, Maybank Investment Bank Berhad (“Maybank IB”) wishes to announce the following:

(i)         the issue price of the new Sime Darby Shares to be issued pursuant to the 4th DRP (“New Shares”) has been fixed today (“Price-Fixing Date”) at RM7.55 per New Share.

The issue price is computed based on the 5-day volume weighted average market price (“VWAMP”) of RM8.15 per Sime Darby Share up to and including 1 November 2016, being the last full trading day prior to the Price-Fixing Date after adjusting for the following:
            (a)        a dividend adjustment of 21 sen to the 5-day VWAMP (“Ex-Dividend VWAMP”); and
            (b)        a discount of RM0.39 which is approximately 5% discount to the Ex-Dividend VWAMP of RM7.94; and

(ii)         the entitlement date pursuant to the Final Dividend and 4th DRP has been fixed on 16 November 2016.

Barring any unforeseen circumstances, the New Shares will be listed on the Main Market of Bursa Malaysia Securities Berhad on 16 December 2016.
