SINDORA BERHAD (“SINDORA” OR “COMPANY”)

COMPLIANCE WITH PARAGRAPH 8.15 OF THE LISTING REQUIREMENTS (“LR”) ON PUBLIC
SHAREHOLDING SPREAD
The Company wishes to announce that it is not in compliance with the required
public shareholding spread pursuant to Paragraph 8.15(1) of the Listing
Requirements (“Required Shareholding Spread”) of Bursa Malaysia Securities
Berhad ("Bursa Securities"). Based on the Company’s Record of Depositors as at
31 December 2007, the public shareholding spread was 24.17% in the hands of
2,865 public shareholders holding not less than 100 shares each.

Pursuant to the above, the Company has on 14 January 2008, made an application
to seek the approval of Bursa Securities for an extension of time until 30 June

2008 to meet the Required Shareholding Spread.  The decision from Bursa
Securities is currently still pending.

As at to date, the Company has not formulated any rectification plan to address

the shortfall in the Required Shareholding Spread, as the shortfall is only
0.83%. The Board of Directors of the Company (“Board”) believes that over a
period of time and based on the current market conditions, the public
shareholding spread will be restored to comply with the LR. The Board of
Directors will monitor the situation and if necessary, will take steps to
restore the public shareholding spread as soon as possible.

The Company will make the required announcements in relation to the status of
its efforts to comply with the public shareholding spread requirements in
compliance with the LR.

PUBLIC SHAREHOLDING SPREAD

COMPLIANCE WITH PARAGRAPH 8.15 OF THE LISTING REQUIREMENTS (“LR”) ON PUBLIC SHAREHOLDING SPREAD Further to the announcement dated 14 January 2008 and 25 January 2008, the Board of Directors ("the Board") of Sindora Berhad ("Sindora" or "the Company") would like to make further clarification in relation to the above. Proposed take-over of Sindora by Kulim (Malaysia) Berhad Kulim (Malaysia) Berhad (“Kulim”) had announced on 13 November 2007 that it has entered into a Conditional Sale & Purchase Agreement (“CSPA”) with Johor Corporation and its wholly-owned subsidiary, Johor Capital Holdings Sdn Bhd in relation to the proposed acquisition of 59,533,289 ordinary shares of RM1.00 each in Sindora, representing approximately 62.01% shareholding in the Company for RM102,397,257.08 cash (“Proposed Acquisition”). Upon completion of the Proposed Acquisition, Kulim shall, in accordance with the provisions of the Malaysian Code on Take-Overs and Mergers 1998, be obliged to undertake a mandatory offer to acquire the remaining Sindora shares not already held by Kulim and parties acting in-concert with it, at an offer comparable to the terms of the CSPA (“Mandatory Offer”). A notice of the take-over offer will be issued upon completion of the CSPA. The acceptance of Mandatory Offer by the minority shareholders of Sindora may result in further deterioration of the public shareholding spread. Rectification plans to restore the public shareholding spread In view of the above, the Board of Directors of Sindora will only formulate and implement rectification plans to restore the public shareholding spread to a minimum of 25% after the Proposed Acquisition has been completed and the outcome of the Mandatory Offer has been determined. In this respect, Bursa Malaysia Securities Berhad had vide its letter dated 25 January 2008 granted Sindora an extension of time of 9 months until 30 September 2008 to comply with the public shareholding spread requirements. 辛多拉卖Metro Parking 45%

（吉隆坡15日讯）辛多拉（Sindora，6106，主板工业产品股）持股75%的子公司--Metro Parking（马）私人有限公司（简称Metro），以225万港元（约90万令吉）现金脱售Metro Parking（香港）私人有限公司（简称香港Metro）的45%股权。

据辛多拉呈交予交易所的文告，Metro以200万港元（约80万令吉）脱售香港Metro的40%股权（200万股）给保罗伊曼纽尔，以及以25万港元（约10万令吉）脱售香港Metro的5%股权给迪隆罗伯兹。

文告指出，保罗伊曼纽尔是香港Metro的总执行长，迪隆罗伯兹则是Metro Parking（新加坡）私人有限公司董事经理，也是香港Metro的董事。

完成这脱售活动后，Metro在香港Metro的持股权将减少至55%，而这计划所筹集的资金将作为前者的营运资本。

KUALA LUMPUR: Kulim (Malaysia) Bhd, which owns 74.99% of SINDORA BHD could be planning to privatise Sindora Bhd.

Trading in the securities of both companies has been suspended since 2.30pm on Monday, Aug 15 until  5pm on Tuesday.

At the midday break, Sindora had hit limit-up, surging to 60 sen or 30% to RM2.65 with 270,200 shares done. The price surge prompted a query from Bursa Malaysia Securities Bhd.

Kulim was down three sen to RM3.66 before trading was suspended.

獲居林集團全面收購 辛多拉早盤大漲後停牌

（吉隆坡15日訊）居林集團（KULIM，2003，主要板種植）將全面收購獨資子公司辛多拉（SINDORA，6106，主要板工業）剩余的25%股權，兩家公司股項及憑單一律停牌至明日下午5時。

有如早接獲消息的投資者，早盤大量買進辛多拉股票，帶動公司股價飆升漲停板，遭馬證交所發出“異常交易活動”（UMA）質詢。

該公司在午盤時即向馬證交所報備指出，由于一項宣佈，公司將與母公司居林集團齊齊在下午2時30分停牌。

儘管如此，居林集團未透露是否保持辛多拉上市地位，亦未揭曉回購股票價格。

辛多拉為柔佛機構（Johor Corp）旗下居林集團的獨資子公司；該公司成立于1972年12月30日，近期企業發展新聞乏善可陳。

辛多拉股價今早突然跳高20仙，以2.25令吉迎市，爾后買盤不斷，在投資者扯購下，早上11時大漲60仙或29%，寫下2.65令吉水平。

雙雙停牌
該股爾后再挑高，以61仙或30%漲幅揚高到2.66令吉，達到漲停板水平。

馬證交所因而發出“異常交易活動”質詢，要求辛多拉解釋股價暴漲的原因。

辛多拉未報備股價暴漲原因，惟午盤即向馬證交所報備指出，公司將做一項宣佈，要求股項在下午2時30分暫停交易。

無獨有偶，母公司居林集團亦做相同報備，並要求同時在下午2時30分暫停交易。
