Proposed Debt Restructuring Scheme of Megasteel Sdn Bhd The Board of Directors of Lion Corporation Berhad ("LCB") hereby announce that the High Court has on 5 February 2008 granted an order pursuant to Section 176 subsection (1) of the Companies Act, 1965 (“Act”) for Megasteel Sdn Bhd (“Megasteel”), a subsidiary of LCB, to convene a meeting with its term loan lenders (“Scheme Creditors”) within 3 months of the Court order for the purpose of considering and, if thought fit, approving a scheme of compromise and arrangement to facilitate the settlement of debts owing to the Scheme Creditors under the proposed debt restructuring scheme of Megasteel. A restraining order effective for 3 months from the date of the Court order had also been obtained by Megasteel, under Section 176 subsection (10) of the Act, to restrain legal proceedings by the Scheme Creditors against Megasteel. The restraining order does not apply to other creditors and lenders of Megasteel as these creditors and lenders are and will be paid in the ordinary and usual course of Megasteel’s business. Megasteel is currently finalising its proposed debt restructuring scheme for the Scheme Creditors and an announcement shall be made by LCB of its details after finalisation thereof by Megasteel.

Proposed Debt Restructuring Scheme of Megasteel Sdn Bhd

Proposed Debt Restructuring Scheme of Megasteel Sdn Bhd Reference is made to Lion Corporation Berhad’s ("LCB") announcement on 5 February 2008 regarding the above matter and Bursa Malaysia Securities Berhad’s letter dated 6 February 2008 requesting additional information in relation to the same. The Board of Directors of LCB hereby announce that: 1)   The restraining order granted by the High Court on 5 February 2008, which is effective for 3 months from the date of the order, will expire on 4 May 2008. 2)   Megasteel Sdn Bhd ("Megasteel") is a major subsidiary of LCB. 3)  The restraining order has no material financial and operational impact on the LCB Group as the restraining order affects only the term loan lenders of Megasteel and was obtained solely to facilitate the smooth implementation of the proposed debt restructuring scheme of Megasteel and its term loan lenders. The restraining order does not apply to Megasteel’s normal trade creditors and other lenders and they are and will be paid in the ordinary and usual course of Megasteel’s business. The LCB Group (including Megasteel) remains a going concern.

提出的债务重组计划的megasteel私人有限公司参考了金狮公司Berhad（下称" lcb " ）宣布，对2008年2月5日就上述问题，并在大马证券Berhad公司的函件2008年2月6日要求提供更多有关的资料相同的。

董事局lcb特此宣布：

1 ）禁止令授予高等法院对2008年2月5日，
是有效的3个月，自公布之日起一声令下，将到期， 5月4日
2008 。

2 ） megasteel私人有限公司（简称" megasteel " ）是一个主要的子公司lcb 。

3 ）限制令并无重大的财务和业务的影响
该lcb集团作为限制令仅影响长远的贷款放款人
megasteel ，并获得了单，以方便顺利实施
拟议的债务重组计划的megasteel及定期贷款放款。
该限制令并不适用于megasteel的正常贸易债权人和
其他贷款者和他们，并会支付，在一般正常的
megasteel的生意。该lcb集团（包括megasteel ）仍然是一个持续经营关注。

金獅機構獲庭令
美嘉准談債務重組
（吉隆坡5日訊）金獅機構（LIONCOR，3581，主板工業）獲高等法庭庭令，3個月內與債主商討美嘉鋼鐵（Megasteel）債務重組計劃。

該公司向馬證交所報備說，根據1965年公司法令第176條文在今日獲庭令，針對子公司美嘉鋼鐵債務問題，3個月內與債主商議。

該公司指出，根據所獲得的庭令，協商期間，所有債權人不得對美嘉鋼鐵展開法律訴訟。

“子公司目前正和債主完成債務重組談判，完成后將另作利好宣佈。”

此外，金獅多元控股（LIONDIV，2887，主板消費）澄清說，子公司Apex Gem和中冶南方工程技術裝置完整的高爐計劃，每年產能為250萬公噸。

該公司指出，滿12個月的產能料將帶來近30億令吉營業額。

“比起我們截至去年6月尾的52億令吉營業額，額外的鋼鐵生產量代表著營業額約60%增長。”
