Acquisition of subsidiary
Ranhill Berhad (“RB or the Company”) wishes to announce that it has on 15
January 2008 acquired 2 ordinary shares of RM1.00 each representing the entire
issued and paid up share capital of a dormant company, Ranhill Global Systems
Sdn Bhd (“RGSSB”) for a total cash consideration of RM2.00 only, making it a
wholly-owned subsidiary of RB (“the Acquisition”).





Rationale for the Acquisition
RGSSB is acquired for the purpose to make it as the centre for regional shared
IT services to meet the IT needs of the various business units of RB and its
group of companies.

Financial effects
The acquisition of RGSSB does not have any material effect on the share
capital, earnings per share and net assets per share, gearing, and substantial
shareholding of the Company.

Interest of Directors, Major Shareholders and Connected Persons
Save for Amran Awaluddin who is a substantial shareholder of RGSSB (before the
Acquisition) and also its director, none of the other Directors, major
shareholders of Ranhill and/or persons connected to them has any interest,
direct or indirect, in the Acquisition.

Approvals
The Acquisition is not subject to the approval of shareholders and the relevant
government authorities.
Statement by the Board of Directors.

The board of directors of the Company, excluding Amran Awaluddin, an interested
director, is of the view that the Acquisition is in the best interest of the
Company.

Securities Commission’s Policies and Guidelines on Issue/Offer of Securities
The Acquisition does not depart from the Securities Commission’s Policies and
Guidelines on Issue/Offer of Securities.
