Incorporation of a Subsidiary

Incorporation of a Subsidiary The Board of Directors of Parkson Holdings Berhad (“Parkson Holdings” or the “Company”) wishes to announce that Parkson Investment Holdings Co Ltd (“Parkson Investment Holdings”), a wholly-owned subsidiary of Parkson Retail Group Limited ("Parkson Retail"), which in turn is a 53.54% owned subsidiary of the Company listed on The Stock Exchange of Hong Kong Limited had on 30 January 2008, received the Business Licence pursuant to the incorporation by Parkson Investment Holdings of Hangzhou Parkson Retail Development Co. Ltd (“Hangzhou Parkson Retail”), in the People’s Republic of China on 22 January 2008. The registered capital of Hangzhou Parkson Retail is RMB30 million (equivalent to approximately RM13.5 million) and the total investment will be RMB60 million (equivalent to approximately RM27 million). (For the purpose of this announcement, the exchange rate of RMB1.00: RM0.45 is assumed). Hangzhou Parkson Retail will be principally involved in operation of department stores. The incorporation of Hangzhou Parkson Retail is not expected to have a material impact on the earnings of the Parkson Holdings Group for the financial year ending 30 June 2008 and is not expected to have a material impact on the net assets of the Parkson Holdings Group based on the proforma audited consolidated balance sheet as at 30 June 2007.

集体疯狂打出货？？

应该只是其中一或两家公司抛售 Parkson 的股票。由于钟老板的公司群，关系错综复杂，所以若其中一两家抛售子公司股票，就会造成所相关公司和人士对该子公司的股权减少，于是才会有这种“集体疯狂出货”的假象。

我相信，Liondiv 一定是其中一家直接抛售 Parkson 股票的公司。说实话，Liondiv 的钢铁业务，暂时还无法真正贡献盈利，其他业务更不必说，没亏钱就算不错了。过往一两年来，Liondiv的高盈利，都是靠抛售股票（HK Parkson）赚来的，所以所谓的低本益比，都是假象。现在又把Parkson卖光光，手头可以再变卖的值钱资产已经不多了。我也相信，近期内Liondiv股价大跌，原因正是如此，由于手头上已经没有王牌，所以投资者也对Liondiv不再有任何眷恋。尽管抛售Parkson后Liondiv又有一笔很高的盈利，不过，对长期投资者来说，那都是假的。

呵呵，原来除了拥有Cepat 之外，弹姐姐和我一样也把 Liondiv 放在 watchlist 中。我之前看好Liondiv，也是因为它手中仅剩的 Parkson 股权。现在好了，也不需要再看它了。其实Liondiv若好好经营它的钢胚厂新业务，前景应该还是不错的。只是，若你有看Liondiv上一季(Sept 2007)的财务报告，管理层在里头也坦诚地说，新的钢铁业务在下一季（Dec 2007)应该还是不能有所作为。所以，我相信二月时Liondiv出的季报（Dec 2007）应该是相当令人失望的。而这一季（March 2008），因为有出售Parkson的特别盈利，整个季报又会再扭转过来（Liondiv惯用的把戏），以至于这一年的年报（Jun 2008）也会好看很多。

若弹姐姐对 Liondiv 的钢铁业务有兴趣，我觉得最佳的时机应该是等他的 Dec 2007季报出来之后吧。

Acquisition of a Subsidiary

Acquisition of a Subsidiary The Board of Directors of Parkson Holdings Berhad (the "Company") wishes to announce that Sea Coral Limited, a wholly-owned subsidiary of the Company, had on 5 February 2008, acquired 1 ordinary share of HK$1.00, representing 100% of the issued and paid-up share capital of Victory Hope Limited ("Victory Hope"), a company incorporated in Hong Kong SAR which has not commenced operation, for a total consideration of HK$1.00 ("Acquisition of Subsidiary"). Victory Hope was incorporated on 10 December 2007 and has an authorised share capital of HK$10,000 comprising 10,000 shares of HK$1.00 each. The Acquisition of Subsidiary does not have any material impact on the earnings of the Group for the financial year ending 30 June 2008 and on the net assets of the Group based on the audited consolidated balance sheet as at 30 June 2007.

市場及業務回顧
據中國國家統計局報告，二零零七年中國經濟持續快速增長，國內生產總值增長約11.4%。國內生產總值增長由出口及固定資產投資的持續增長推動，尤其是國內消費的顯著增長。中國政府持續致力推動國內消費的努力開始顯現成效，特別是在零售行業。二零零七年，零售行業增長逾16.8%，增幅連續第二年超出全國經濟增長。
二零零七年，中國零售市場規模超逾人民幣8.9萬億元，預計將擠身全球前五大零售市場。該項成就是可支配收入不斷上升及中產階級強勢冒起的結果。
於回顧年度，隨著零售市場的增長，本集團的銷售所得款項總額增加46.0%至人民幣9,000,000,000元，相同百貨店銷售（「同店銷售」）大幅增長約18.4%。同店銷售顯著增長得益於以下舉措：i)增加客戶量的有效促銷活動，包括為慶祝馬來西亞獨立五十週年與馬來西亞旅遊局聯合推出的促銷活動、與「Vogue」雜誌聯合推出的促銷活動及Beauty & Scents Rendezvous化妝品促銷活動，ii)向忠實客戶推出更具價值及創意的優質品牌產品。就此而言，本公司的旗艦店引進了Hermes、Tumi、Cartier、Mont Blanc等價格適中的特色奢侈名牌，及iii)不斷優化樓面的使用，伺機將位置優越及人流暢旺的樓面調配給價值高及效益好的商品。
於回顧年度，本集團透過開設新店及進行有利可圖的收購，持續擴大市場份額及增加股東回報。本公司已分別在北京及西安開設一間新店以鞏固市場領導地位，並於十二月在成都開設旗艦店以增加市場份額。
本公司在四月份收購了位於江西省省會南昌市的江西K&M百貨店，並於九月將其更名為南昌百盛。管理層計劃利用該百貨店在南昌市的良好聲譽，作為進一步擴充江西省業務網絡的平台。
二零零七年六月，本公司成功收購本集團尚未擁有的鞍山百盛百貨店餘下49%權益。鞍山百盛於二零零一年開業以來一直表現出色，現為本公司東北地區旗艦店。在收購鞍山百盛49%權益的同時，本公司亦訂立了一項買賣協議，收購鞍山百盛所佔用物業的土地使用權及物業使用權的100%權益，該項收購已於二零零八年一月完成。鞍山物業收購符合本集團收購旗艦店戰略位置的意圖。

二零零七年十月，本公司完成收購本集團尚未擁有的綿陽百盛百貨店餘下40%權益，並於二零零七年九月訂立一項買賣協議，收購本集團尚未擁有的西安長安百盛百貨店餘下49%權益。收購預計於二零零八年第一季度完成。
於二零零七年十二月底，本公司在中國26個城市經營及管理合共41家百貨店，其中29家為本公司對其業務經營擁有多數股權的自有百貨店，餘下12家為本公司無任何股權但提供管理服務的管理百貨店。經營及管理的零售面積總計約906,000平方米，自有百貨店約佔610,000平方米，管理百貨店佔餘下的296,000平方米。
本集團將繼續物色新店址以擴展業務及網絡，進一步鞏固在此快速發展市場上作為百貨店擁有者及營運商翹楚的地位。於回顧期間，本集團已訂立額外租賃協議，該等協議將為本集團現有組合增加合共約105,000平方米的零售面積。
前景
美國經濟預計放緩及次級抵押貸款危機，令世界經濟面臨不確定因素及威脅。儘管如此，我們仍然相信中國經濟在未來數年將保持強勁增長，因為中國政府將繼續調控經濟增長，使之由出口及固定資產投資轉向國內消費。預計國內消費將成為日後經濟發展的主要支柱。人口統計中具較高消費能力的年輕一代中產階級的強勢冒起，使有組織的現代百貨店成為發展最快的零售模式。市場為具備良好地域覆蓋及往績記錄的現代百貨店連鎖營運商帶來勃勃商機。憑藉強勢品牌及對中國零售市場的深入了解，百盛將繼續把握日趨時尚及富裕的中國消費者對優質品牌時裝及生活時尚產品的殷切需求。
本集團將繼續推行透過有機增長及收購實現增長的擴充計劃。本集團將繼續透過進一步發展百盛品牌提升顧客忠誠度，根據本公司經營業務市場的發展，不斷改造百貨店、向市場推出創新品牌及新產品系列及不斷改變百貨店的商品及品牌組合，以維持穩健的同店銷售增長。未來數年，本集團擬透過開設新店，每年為本集團的組合增加不少於15%的樓面面積。二零零八年，本集團確認將開設至少五家或更多新百貨店。收購方面，本集團將繼續專注實施以可使股東獲利的價格收購現有附屬公司少數股東權益及管理百貨店控股權益的三叉收購策略，並繼續物色符合本集團策略目標及資本回報要求的第三方收購機會。
