1. INTRODUCTION

On behalf of the Board of Directors of Parkson Holdings Berhad (formerly known as Amalgamated Containers Berhad) (“Parkson Holdings” or the “Company”) (“Board”), AmInvestment Bank Berhad (“AmInvestment Bank”) wishes to announce that PRG Corporation, had on 8 January 2008 entered into a placement agreement for the placement of 8,000,000 ordinary shares of HK$0.10 each of Parkson Retail (“Shares”), representing approximately 1.44% of the issued and paid–up capital of Parkson Retail as at 7 January 2008 via a placement to investors by way of a book building exercise (“Placement”).

(Exchange rates of HK$1.00 = RM0.42 and RMB1.00 = RM0.45 are assumed for the purposes of this announcement)


2. DETAILS OF THE PLACEMENT

2.1 Salient Terms of the Placement Agreement

PRG Corporation and Parkson Holdings had entered into a placement agreement dated 8 January 2008 (“Placement Agreement”) with BNP Paribas Capital (Asia Pacific) Limited (“BNP”) and J.P. Morgan Securities Limited (“JP Morgan”) (collectively “Placing Agents”).

BNP is a company duly incorporated under the laws of Hong Kong whose registered office is at 59/F to 63/F, Two International Finance Centre, 8 Finance Street, Central, Hong Kong.

J.P. Morgan is a company duly incorporated under the laws of England whose registered office is at 125 London Wall, London, EC2Y 5AJ.

Pursuant to the Placement Agreement, PRG Corporation and Parkson Holdings undertake to each of the Placing Agents that for a period of 90 days from 11 January 2008, they will not and will procure that none of their nominees and companies controlled by them will offer, lend, pledge, issue, sell, contract to sell or otherwise transfer or dispose of any Shares held by PRG Corporation.
